These Mapsly Terms of Service (this “Agreement”) are between Mapsly LLC, a California limited liability company (“Mapsly”), and the entity on whose behalf these Terms of Service are accepted or, if they are not accepted on behalf of an entity, the individual accepting them (“User”), collectively referred to as the “Parties” and individually as the “Party”. By accessing or using the Service, registering for an account, or clicking to accept these Terms of Service, User agrees to be bound by this Agreement. Quotes and order forms (collectively, “Quotes”) executed between Mapsly and User shall be governed by this Agreement. Any capitalized terms used herein but not defined shall have the meanings respectively set forth in the applicable Quote.

1. Mapsly 서비스 (“서비스”),

1.1 The Service. The Service is designed to provide User with the capability to visualize location data, analyze it and use it to manage User’s sales and service workforce and business. The Service is based on the Mapsly Internet-based geo-intelligence software platform (the “Mapsly Software”) that is hosted by Mapsly or on Mapsly’s behalf and accessible by User remotely through the Mapsly website and mobile applications.

1.2 Business Use. The Service is intended solely for use in User’s trade or business and not for personal, family, or household purposes.

1.3 Third-Party Services. The Service interoperates with third-party products, platforms, and services, including CRM systems, spreadsheet platforms, and mapping and data providers (“Third-Party Services”). Third-Party Services are not part of the Service, and User’s use of them is governed by the applicable third party’s terms. Mapsly does not control Third-Party Services and is not responsible for their availability, accuracy, security, or continued interoperability with the Service. If a third party materially changes, restricts, or withdraws an API or other integration mechanism on which an integration depends, Mapsly may modify, suspend, or discontinue the affected integration without liability to User, and will use commercially reasonable efforts to notify affected Users.

1.4 AI Features. Certain features of the Service use artificial intelligence or machine learning technologies, including features that generate, summarize, transcribe, or suggest content or actions (“AI Features”). AI Features are probabilistic in nature: outputs may be inaccurate, incomplete, or unsuitable for User’s purposes, and may vary for similar inputs. User is responsible for configuring, authorizing, reviewing, and supervising AI Features, and remains solely responsible for outputs generated and actions taken through the Service on User’s behalf — including communications sent, transactions or workflows initiated, and data created, modified, or deleted in User’s systems. AI Features are provided “as is” and may be modified, supplemented, or discontinued over time. Mapsly does not use User Data or User’s Confidential Information to train generalized artificial intelligence or machine learning models; User Data may be processed by AI model providers acting as Mapsly’s sub-processors solely to provide the Service to User. Where User elects to use its own AI provider account or API keys with the Service, User’s relationship with that provider is governed solely by User’s agreement with that provider; User is responsible for all fees charged by the provider, and Mapsly is not responsible for the provider’s availability, performance, or acts or omissions. As between Mapsly and User, to the extent Mapsly acquires any right, title, or interest in output generated by AI Features for User, Mapsly assigns such rights to User, subject to applicable law and applicable third-party provider terms. AI-generated output may not be unique, and other users may receive the same or similar output. Mapsly does not represent that AI-generated output is copyrightable, exclusively owned, or free of third-party rights. AI usage performed through User’s own AI provider credentials is not charged by Mapsly and does not draw on the AI Allowance or Credits described in Sections 3.11 and 3.12; Mapsly may meter such usage for display and for the purposes of Section 6.7. AI Features may be made available on a limited-availability or beta basis — including activation by Mapsly on request — and Mapsly may limit their availability by plan, region, or otherwise; nothing in this Agreement commits Mapsly to make any AI Feature generally available.

3. 결제

3.1 서비스 구독. 서비스는 서비스 구독 및 해당 구독료(“서비스 요금”) 결제 후 사용자에게 제공됩니다. 모든 요금은 선불로 지급되어야 하며, 본 계약에 명시적으로 규정된 경우 또는 관련 법률에서 요구하는 경우를 제외하고, 선불로 지급된 연간 구독 요금을 포함하여 환불 및 크레딧 처리가 불가능합니다. Mapsly는 특정한 경우에 단독 재량으로 환불 또는 크레딧을 제공하기로 선택할 수 있습니다; 그렇게 한다고 해서 Mapsly가 다른 경우에 환불 또는 크레딧을 제공할 의무를 지는 것은 아니며 본 조항을 포기하는 것도 아닙니다.

3.2 청구일 및 청구 기간. 서비스는 월별 또는 연간으로 청구됩니다. 월간 구독의 경우, “청구일”은 첫 서비스 요금 결제일에 해당하는 월의 날짜이며, “청구 기간”은 어느 달의 청구일에 시작되어 다음 달의 청구일까지 지속됩니다. 연간 구독의 경우, 청구일은 첫 결제일에 해당하는 연중 날짜이며, 청구 기간은 어느 해의 청구일에 시작되어 청구일의 1년 기념일까지 지속됩니다. 구독은 사용자가 다음 청구 기간 시작 전에 구독을 취소하지 않는 한, 당시 적용되는 요금으로 연속되는 청구 기간마다 자동 갱신됩니다. 연간 구독의 경우, Mapsly는 갱신일 전에 사용자의 계정과 연결된 이메일 주소로 갱신 알림을 보냅니다.

3.3 동적 가격 책정. 각 월의 서비스 요금은 Mapsly에 게시된 가격에 따라 사용자의 현재 사용량 지표(사용자가 구매한 사용자 시트 수, 사용자 데이터의 양 및 활성화된 추가 유료 기능을 포함하되 이에 국한되지 않음)를 기준으로 결정됩니다, https://mapsly.com/pricing 및 사용자의 사용 지표에 따라 월별로 변경될 수 있습니다.

다음 달 예상 서비스 요금이 변경될 때마다, Mapsly는 해당 변경이 Mapsly 소프트웨어의 결제 섹션에서 사용자가 직접 시작한 변경이 아닌 경우 이메일로 사용자에게 알립니다.

가격 구조, 특정 기능의 가격 및 청구 방법은 시간이 지남에 따라 업데이트될 수 있습니다. 이러한 변경 사항은 현재 청구 기간 내의 사용자에게 영향을 미치지 않으며, 사용자는 그러한 변경 사항에 대해 최소 30일 전에 통지받습니다. 단, 제3.9조에 규정된 바와 같이 제3자 제공업체가 요금에 부과하는 변경 사항은 예외이며, 이는 사용 시점부터 적용될 수 있습니다. Mapsly와 사용자가 개별 가격이 포함된 견적서를 체결한 경우, 견적서의 개별 가격이 우선합니다.

3.4 업그레이드 및 다운그레이드. 사용자가 상위 결제 플랜으로 업그레이드하거나 추가 사용자 좌석을 구매하면 Mapsly는 현재 결제 기간 종료 시까지 비례 요금을 청구합니다. 사용자가 하위 결제 플랜으로 다운그레이드하거나 사용자 좌석을 제거하면 새로운 서비스 요금이 다음 결제 주기부터 적용됩니다.

3.5 평가판 기간. 제한된 기간 동안, Mapsly는 사용자에게 결제 없이 서비스를 이용하도록 제공할 수 있습니다(“체험 기간”), 다음에 명시된 바와 같이, https://mapsly.com/pricing. 서비스의 일부 기능은 체험 기간 동안 제공되지 않거나 더 엄격한 사용 한도 내에서 제공될 수 있습니다. 체험 기간이 종료된 후 사용자가 서비스를 계속 이용하려면 유료 계정에 가입해야 합니다.

3.6 서비스 중단. If any amounts owed by User for the Service are fourteen (14) or more days overdue, Mapsly may, without limiting Mapsly’s other rights and remedies, suspend User’s subscription and access to the Service until the overdue amounts are paid in full. Mapsly may also suspend User’s access to the Service, in whole or in part, if Mapsly reasonably determines that (i) User’s use of the Service violates Section 6 or poses a security risk to the Service or any third party, or (ii) continued provision of the Service to User could expose Mapsly to liability or is prohibited by applicable law. Mapsly will limit any such suspension in scope and duration to what is reasonably necessary and will restore access promptly once the grounds for suspension are cured. Suspension does not relieve User of its payment obligations, and no Service Fees will be refunded or credited for periods of suspension under this Section.

3.8 결제 지연. 기한 내에 지급되지 않은 금액에는 지급 기한일부터 전액 지급될 때까지 월 1.5% 또는 관련 법률에서 허용하는 최대 이율 중 더 낮은 이율로 이자가 발생합니다.

3.9 사용량 기반 요금; 할당량. 서비스의 특정 기능 및 리소스에는 포함된 사용 할당량 및/또는 사용량 기반 요금이 적용됩니다. 포함된 할당량, 측정 단위 및 포함된 할당량을 초과한 사용에 대한 요금은 서비스에 게시된 내용에 따르며, 위치는, https://mapsly.com/pricing, at https://mapsly.com/usage-limits-and-add-ons (또는 후속 페이지), 또는 다음에서 제공되는 Mapsly 사용자 문서 https://help.mapsly.com (the “Documentation”), in each case as updated from time to time. Usage-based fees are calculated at the rates in effect at the time of consumption. Continued use of a metered feature or resource beyond an included allotment may require the purchase of additional capacity. Usage-based fees are charged as part of the Service Fee for the applicable Billing Period or, where a feature is offered on a prepaid basis, by deduction from prepaid capacity; a feature may pause when an allotment or prepaid capacity is exhausted (Section 6.6). Except for changes reflecting a change imposed by the applicable third-party provider to the provider’s rate for the relevant model or service (Section 3.3), changes to usage-based rates are subject to the notice requirements of Section 3.3. Material reductions to included allotments or Published Limits (as defined in Section 6.6) applicable to a paid subscription are likewise subject to the notice requirements of Section 3.3, except where an immediate change is reasonably necessary to protect the security or integrity of the Service. Included allotments reset as published (for example, daily for routing credits and monthly for visit-planner packages) and unused allotment does not carry over. AI usage is additionally governed by Sections 3.11 through 3.13.

The “Guarantee Period” is: (x) for User’s first monthly subscription, thirty (30) days from the first monthly payment, covering a refund of that first monthly payment; and (y) for User’s first annual subscription (including an annual subscription first purchased by a User previously subscribed monthly), ninety (90) days from the first annual payment, covering a refund of all subscription fees paid for that annual subscription. Where the applicable subscription is also User’s first paid subscription, the request must in any event be made no later than one hundred eighty (180) days after User’s Mapsly account was created. Trial periods do not start a Guarantee Period. Mapsly may verify that a request originates from User or, if User is an entity, from an authorized representative of User. The refund is issued to the original payment method, normally within ten (10) business days. Exercising this guarantee cancels User’s subscription; access to the Service ends upon cancellation, and User Data is handled in accordance with Section 11.2 and the DPA. This guarantee: (i) may be exercised once per User, including User’s affiliates, successors, and any related accounts or entities under common control or operation, across both Guarantee Periods combined, and does not apply to renewals or to subscriptions started after a prior refund under this Section; (ii) does not cover fees for professional services, purchases of Credits (Section 3.12), or other amounts under Section 3.9 to the extent consumed; for clarity, the AI Allowance (Section 3.11) has no separately refundable value and its consumption does not reduce the refund; (iii) will never exceed the amounts actually paid, net of credits or refunds already issued; and (iv) may be refused where the request follows a material violation of Section 6, fraudulent conduct, or abuse of the guarantee. Requests made after the applicable Guarantee Period will not be processed, and Section 3.1 applies.

3.12 AI 크레딧. User may purchase AI usage credits in advance, in the packages and at the prices offered in the Service in the currency of User’s subscription (“Credits”). AI usage draws first on the AI Allowance for the current period and then on Credits, at the rates published under Section 3.13 at the time of use. When both are exhausted, or when a budget User has configured is reached, Mapsly pauses new AI usage until the next allowance period, a further purchase, or a budget change; because metering may occur after an interaction has begun, a limited amount of usage may occur after a balance or budget is reached, and such usage does not create a charge to User or a negative balance. If User enables automatic replenishment (“Autopay”), User authorizes Mapsly and its payment processor to charge User’s payment method on file for a package purchase in the amount User has set whenever User’s Credit balance falls below the threshold User has set; each replenishment is a purchase under this Section, User may change or disable Autopay at any time in Setup with effect for future replenishments, and Mapsly will notify User’s administrators when a replenishment is declined or paused. Mapsly limits the Credit balance User may hold at any time (the “Max Balance”), as published in the Documentation, and may set a different Max Balance for User’s account; no purchase may raise User’s balance above it. Credits are a prepaid entitlement to AI usage within the Service and nothing else: they are not currency, stored value, a deposit, or a gift card; they have no independently redeemable cash value and may not be redeemed or exchanged for cash except as expressly provided in this Agreement; they may not be transferred to another organization or account; and they may be used solely for AI usage within the Service. Except as provided in the next sentence, purchases of Credits are final — non-refundable whether or not consumed and not covered by the guarantee in Section 3.10 — and Section 3.1 applies. Except as otherwise expressly provided in this Agreement, Mapsly will refund User’s unconsumed Credits — valued at the amounts actually paid for those Credits, as determined from Mapsly’s transaction records — only if Mapsly discontinues AI Features generally, or if User cancels under Section 14.1 because of an amendment that materially and adversely changes this Section, the rates under Section 3.13, or the availability of AI Features for which the Credits were purchased. Purchased Credits do not expire for as long as User’s subscription remains active and may be consumed until User’s access to the Service ends under Section 11, including, after cancellation, for the remainder of the paid period; Credits remaining when access ends are forfeited without refund or compensation. Controls Mapsly provides for AI spend, such as budgets, alerts, and limits, are conveniences; they do not relieve User of responsibility for activity initiated through User’s account (Section 6.3), and usage after a balance or budget is reached is treated as described above.

3.13 AI 사용 요금. Mapsly는 AI 사용이 AI Allowance 및 Credits에서 차감되는 요율을 — 소비 단위당 Credits로 표시되며 모델 및 기능에 따라 달라짐 — 서비스 및 문서(“Rate Card”)에 게시합니다. 사용 시점에 유효한 Rate Card가 적용되며, Credits는 특정 요율 또는 패키지 가격에 대한 어떠한 권리도 부여하지 않습니다. Mapsly는 섹션 3.3에 따라 Rate Card 및 패키지 가격을 장래에 대해 변경할 수 있습니다. 단, 해당 제3자 제공업체가 관련 모델 또는 서비스에 대한 제공업체 요율에 부과한 변경을 반영하는 변경은 소비 시점부터 효력이 발생할 수 있습니다. 서로 다른 모델 또는 기능이 서로 다른 요율로 제공되는 경우, 사용자의 선택에 따라 적용되는 요율이 결정됩니다. 서비스에 표시된 Rate Card와 문서가 다른 경우, 사용 시점에 서비스에 표시된 Rate Card가 우선합니다.

4. 서비스 가동 시간 약정

4.1 유지보수. Mapsly는 서비스를 유지 및 향상하기 위해 수시로 예정된 유지보수, 시스템 업그레이드 및 인프라 개선을 수행할 수 있으며, 이로 인해 서비스가 일시적으로 이용 불가할 수 있습니다. Mapsly는 예정된 유지보수에 대해 최소 사십팔 (48) 시간 전에 사용자에게 사전 통지를 제공하고, 해당 유지보수 기간의 지속 시간과 영향을 최소화하기 위해 합리적인 노력을 기울일 것입니다.

4.2 면책 조항. MAPSLY는 높은 가용성을 유지하고 다운타임을 최소화하기 위해 노력하지만, 사용자는 일부 중단이 불가피하다는 점을 인정합니다. 따라서 본 계약에 명시적으로 규정된 경우를 제외하고, MAPSLY는 유지보수 또는 업데이트 기간을 포함하여 서비스 이용 불가로 인해 발생하는 모든 사업, 수익 또는 데이터 손실이나 간접적, 부수적 또는 결과적 손해에 대해 책임을 지지 않습니다.

4.3 다운타임 정의. “다운타임”은 Mapsly의 시스템 또는 인프라 내에서 발생한 예기치 않은 이벤트 또는 사고의 결과로 서비스가 이용 불가능하거나 핵심 기능을 수행하지 못하는 기간을 의미하며, 이용 불가능 상태가 감지되거나 보고된 시점부터 해결될 때까지 측정됩니다.

다운타임에는 다음에 해당하는 사용 불가 또는 성능 저하 기간이 포함되지 않습니다:,

(A) 예정된 유지보수로 인한 경우, 이 기간 동안 Mapsly는 앱 내 메시지 또는 이메일을 통해 최소 사십팔 (48)시간 전에 사전 통지합니다;

(B) 시스템 무결성 또는 보안을 보호하는 데 필요한 긴급 유지보수로 인한 경우;

(C) 불가항력 사건, 정부 행위, 광범위한 인터넷 중단 또는 호스팅 제공업체나 타사 통합의 장애를 포함하되 이에 국한되지 않는, Mapsly의 합리적인 통제를 벗어난 요인으로 인해 발생한 경우;

(D) 사용자의 시스템, 소프트웨어, 네트워크, 인터넷 액세스 또는 본 계약을 위반한 서비스 오용에 기인하는 경우; 또는,

(E) Beta, 미리 보기 또는 일반적으로 제공되지 않는 기능으로 식별된 기능으로 인해.

4.4 월간 가동 시간 비율. Mapsly는 각 역월을 기준으로 측정하여 서비스가 최소 99.0%의 월간 가동률(“최소 서비스 약정”)로 제공되도록 상업적으로 합리적인 노력을 기울입니다. 특정 구독 플랜에는 더 엄격한 가동률 약정(예: 99.5% 또는 99.9%)이 포함될 수 있으며, 이 경우 해당 플랜 또는 견적서에 명시된 더 높은 약정이 적용됩니다. “월간 가동률”은 역월의 총 분 수에서 “다운타임” 분 수를 뺀 값을 해당 월의 총 분 수로 나눈 것으로 정의됩니다.

4.5 서비스 크레딧. 제4.4조에 따른 해당 가동 시간 약정이 2개월 (2) 연속 역월 동안 충족되지 않는 경우, 사용자는 일할 계산된 서비스 수수료의 1주일분에 해당하는 서비스 크레딧을 요청할 수 있습니다.

4.6 서비스 크레딧 자격. 서비스 크레딧을 받을 자격을 얻으려면, 사용자는 Mapsly 지원팀에 서면 요청을 제출해야 합니다. 제출처는, [email protected] 영향을 받은 두 번째 월이 종료된 후 15일(달력일) 이내, 포함:
• 각 다운타임 발생 날짜 및 시간,,
• 서비스 가용성에 미치는 영향에 대한 간략한 설명, 및,
• Any supporting information or logs reasonably available to User.

승인된 크레딧:
• 향후 구독 청구서에 적용됩니다,
• 양도할 수 없으며, 환불할 수 없으며, 현금으로 교환할 수 없습니다.

4.7 Exclusive Remedy. The credit described above constitutes User’s sole and exclusive remedy for Mapsly’s failure to meet the applicable uptime commitment under Section 4.4.

5. 사용자 데이터; 집계 데이터

5.1 User Data. 사용자가 Mapsly Software에 업로드하거나 그 안에서 생성한 모든 데이터(“사용자 데이터”)는 사용자의 재산으로 남습니다. 사용자는 사용자 데이터에 대한 모든 권리, 소유권 및 이익을 보유합니다. AI 생성 출력물은 섹션 1.4의 적용을 받습니다. 기간 동안 사용자는 Mapsly에 서비스를 사용자에게 제공하고 서비스를 모니터링 및 개선하기 위해 사용자 데이터에 액세스하고 이를 사용할 수 있는 전 세계적, 비독점적, 로열티 없는, 재라이선스 불가(서비스 제공에 필요한 경우 제외) 권리 및 라이선스를 부여합니다. 이 라이선스는 기간 동안 계속됩니다; 사용자는 섹션 11.2에 따라 구독을 취소하는 경우를 제외하고 기간 동안 이를 철회할 수 없으며, 이 경우 라이선스는 본 계약이 종료될 때 종료됩니다. 사용자 데이터에는 개인정보 처리방침에 설명된 바와 같이 Mapsly가 독립적인 컨트롤러로서 처리하는 계정, 인증, 청구, 지원, 텔레메트리 및 사용 정보가 포함되지 않습니다.

사용자는 본 계약 기간 동안 사용자 데이터를 백업해야 하며, 서비스 구독이 취소되거나 계약이 기타 사유로 종료된 경우 서비스 통해 사용자 데이터에 접근할 수 없을 수 있습니다.

5.2 Privacy Policy. Mapsly의 개인정보 처리방침 (“개인정보 처리방침”), 게시 위치, https://mapsly.com/privacy-policy, describes how Mapsly processes personal information as an independent controller, including account, authentication, billing, support, usage, website, and marketing information. Mapsly’s processing of personal data on User’s behalf is governed by the DPA (Section 5.4), not the Privacy Policy. User acknowledges the Privacy Policy and that Mapsly may update it as described therein.

5.3 Statistical Data. Mapsly는 다음에 해당하는 사용자 데이터를 기반으로 통계, 벤치마크, 측정값 및 기타 정보(“통계 데이터”)를 수집, 개발, 생성, 추출, 컴파일, 종합 및 분석할 수 있습니다:

Such “Statistical Data” will be owned solely by Mapsly and may be used for any lawful business purpose without a duty of accounting to User. Mapsly will not attempt to re-identify Statistical Data.

5.4 Data Processing Addendum. To the extent Mapsly processes personal data on behalf of User in providing the Service, the Mapsly Data Processing Addendum available at https://mapsly.com/dpa (the “DPA”) is incorporated into and forms part of this Agreement. With respect to the processing of personal data, in the event of a conflict: (i) the Standard Contractual Clauses (as defined in the DPA) control to the extent required by their terms; (ii) the DPA controls over these Terms of Service; and (iii) for all matters other than the processing of personal data, these Terms of Service control.

6. 사용자 의무

• 제3자의 권리를 침해하는 자료를 저장하거나 전송하는 행위;
• 서비스, 그 무결성 또는 성능을 방해하거나 중단시키는 행위;
• test, probe, or scan vulnerability of the Service, or attempt to gain unauthorized access to the Service or its related systems or networks;

6.5 Export Control and Sanctions. User represents and warrants that User (i) is not located in, organized under the laws of, or ordinarily resident in any country or territory that is subject to comprehensive sanctions administered by the United States (including by the Office of Foreign Assets Control), the European Union, or the United Kingdom; (ii) is not identified on any applicable government list of prohibited, denied, or restricted parties; and (iii) will not use or access the Service, or permit any End-User to use or access the Service, in violation of any applicable export control or sanctions laws.

Mapsly may enforce Published Limits automatically, including by rate-limiting, pausing, or declining the affected feature when a limit or allotment is reached; Section 3.9 governs fees for usage beyond included allotments. For features and resources without Published Limits, User’s consumption must remain within reasonable volumes consistent with ordinary business use of the Service by comparable customers. Mapsly may apply technical measures, such as rate limits, to protect the integrity and performance of the Service for all customers. If User’s consumption of such unmetered features materially exceeds reasonable volumes or imposes a disproportionate load or cost on the Service, Mapsly will notify User and the Parties will discuss in good faith an appropriate plan, limit, or fee adjustment; Mapsly may throttle the excess consumption if it continues more than ten (10) business days after notice. This Section does not limit Mapsly’s rights under Sections 3.6 and 6.1.

6.7 AI 공정 사용. USER UNDERSTANDS AND AGREES THAT MAPSLY’S SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MAPSLY, ITS AFFILIATES, AND SUPPLIERS DO NOT MAKE, AND HEREBY DISCLAIM, ALL WARRANTIES OF ANY KIND, EXPRESS, STATUTORY OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, QUALITY, SUITABILITY, OPERABILITY, SYSTEM INTEGRATION, NON-INTERFERENCE, WORKMANSHIP, TRUTH, ACCURACY, ABSENCE OF DEFECTS, WHETHER LATENT OR PATENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WHATSOEVER SHALL EITHER MAPSLY OR ITS AFFILIATES, OR THEIR RESPECTIVE EMPLOYEES, OFFICERS, SHAREHOLDERS, AGENTS, LICENSORS OR REPRESENTATIVES, NOR USER OR ITS AFFILIATES, OR THEIR RESPECTIVE EMPLOYEES, OFFICERS, SHAREHOLDERS, AGENTS, LICENSORS OR REPRESENTATIVES, BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUE, INCLUDING BUT NOT LIMITED TO LOSS OF SALES, DATA, PROFIT, REVENUE, GOODWILL, BUSINESS INTERRUPTION, LOSS OF INFORMATION OR UNAUTHORIZED ACCESS TO INFORMATION AND THE LIKE, EVEN IF EITHER PARTY OR AN AFFILIATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL EITHER PARTY OR ITS AFFILIATES BE LIABLE TO THE OTHER PARTY FOR AN AMOUNT IN EXCESS OF THE TOTAL MONETARY AMOUNT ACTUALLY RECEIVED BY MAPSLY FROM USER FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT WHICH GAVE RISE TO THE CLAIM. THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION DO NOT APPLY TO: (I) USER’S OBLIGATION TO PAY FEES AND TAXES DUE UNDER THIS AGREEMENT; (II) USER’S INDEMNIFICATION OBLIGATIONS UNDER SECTION 12.2; (III) USER’S BREACH OF SECTION 6.1 (ACCEPTABLE USE POLICY) OR USE OF THE SERVICE IN VIOLATION OF APPLICABLE LAW; OR (IV) USER’S BREACH OF SECTION 9 (MUTUAL CONFIDENTIALITY). MAPSLY’S INDEMNIFICATION OBLIGATIONS UNDER SECTION 12.1 ARE SUBJECT TO THE LIMITATIONS IN THIS SECTION.

9. 상호 기밀 유지

9.1 Definition. “Confidential Information” is oral, electronic, or written information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of its disclosure. Mapsly’s Confidential Information includes without limitation the non-public information about pricing, features, and performance of the Service. User’s Confidential Information includes, without limitation, User Data.

9.3 Protection of Confidential Information. The Recipient may only use the Discloser’s Confidential Information in relation to this Agreement. The Recipient shall maintain the confidentiality of the Discloser’s Confidential Information with at least the same degree of care that it uses to protect its own confidential and proprietary information, implement reasonable administrative, physical, and technical safeguards, and no less than a reasonable degree of care. The Recipient shall not disclose any of the Discloser’s Confidential Information except to the Recipient’s employees, contractors, agents, and professional advisers who have a need to know the information to exercise the Recipient’s rights or perform the Recipient’s obligations under this Agreement, in which case Recipient shall cause these recipients to agree to and abide by commercially reasonable confidentiality terms. The obligations in this Section 9 survive for five (5) years after termination of this Agreement, except that obligations with respect to trade secrets continue for as long as the information remains a trade secret under applicable law, and obligations with respect to personal data continue as required by the DPA and applicable law.

11. 기간 및 해지

11.1 기간. This Agreement starts when User accepts these Terms of Service and continues until the end of the paid period after the subscription to Service has been canceled, unless the Agreement is terminated earlier by either Party.

11.2 Cancellation of Service by User. User may terminate this Agreement by canceling the subscription to Service at any time, without providing notice. After the subscription has been canceled, User may continue to use the Service until the end of the paid period, after which the Agreement is terminated. User is not charged after the date of cancellation but is responsible for all charges incurred up until the date of cancellation. Mapsly is not obligated to refund any of the already paid fees. After this Agreement is terminated, User can no longer access User Data via the Service. User is responsible for exporting User Data before this Agreement terminates. Following termination, Mapsly will delete User Data in accordance with the DPA, no later than ninety (90) days after termination, except to the extent applicable law requires retention. Mapsly may, but is not obligated to, provide reasonable assistance with the export of User Data during that period at Mapsly’s then-current rates.

11.3 정당한 사유에 따른 해지. Either Party may terminate the Agreement with immediate effect and without incurring any additional liability by serving written notice, if: (i) the other Party files a petition for bankruptcy or is adjudicated as bankrupt; (ii) a petition in bankruptcy is filed against the other Party and such petition is not removed or resolved within thirty (30) calendar days; (iii) the other Party makes an assignment for the benefit of its creditors or an arrangement for its creditors pursuant to bankruptcy law; (iv) the other Party discontinues its business; (v) a receiver is appointed over all or substantially all of the other Party’s assets or business; or (vi) the other Party is dissolved or liquidated.

11.4 Mapsly에 의한 해지. 12. 면책

12.1 Mapsly의 배상.

일반. Mapsly는 사용자에 대한 제3자의 청구와 관련하여, 해당 청구가 Mapsly 소프트웨어 단독으로, 사용자의 또는 제3자의 소프트웨어나 하드웨어와 결합된 것이 아니라, 저작권, 특허, 상표 또는 기타 지적 재산권을 침해하거나 부정 사용한다고 주장하는 범위 내에서, 이를 방어하거나 합의합니다 (각각 “청구”), 단 다음을 조건으로 합니다: (i) 사용자는 해당 청구를 Mapsly에 즉시 통지해야 합니다; (ii) 사용자는 Mapsly가 해당 청구의 방어 및 합의를 단독으로 통제하도록 허용해야 합니다; 그리고 (iii) Mapsly의 요청 및 비용 부담으로, 사용자는 해당 청구의 방어에 필요한 모든 합리적인 지원을 제공해야 합니다.

비용. Mapsly는 위 Mapsly의 의무의 일부로 발생한 합리적인 침해 청구 방어 비용, Mapsly가 협상한 합의 금액, 및 법원이 인정한 손해배상액을 지급합니다. Mapsly는 소득 또는 사업 손실을 포함하되 이에 국한되지 않는 모든 간접 손해에 대해 사용자에게 책임을 지지 않습니다.

배타적 구제 수단. “MAPSLY 면책” 섹션은 MAPSLY가 어떠한 소유권 침해에 대해 가지는 전체 책임을 명시하며, 사용자는 이에 대해 MAPSLY의 기타 모든 책임이나 의무를 명시적으로 포기합니다.

12.2 사용자 면책. User will defend, indemnify, and hold harmless Mapsly and its affiliates, and their respective officers, directors, employees, agents, partners, and licensors, from and against any third-party claim, demand, or proceeding, and all resulting damages, settlements, costs, and reasonable attorneys’ fees, to the extent arising out of: (i) User Data, including any claim that User Data infringes or misappropriates a third party’s rights or violates applicable law; (ii) User’s or its End-Users’ use of the Service in violation of this Agreement or applicable law, including any unlawful monitoring or tracking of End-Users; (iii) User’s instructions, configurations, or integration of the Service with systems, software, or data not provided by Mapsly; or (iv) User’s material breach of Section 6 or Section 9, to the extent giving rise to the claim. Mapsly will: (a) promptly notify User of the claim, provided that delayed notice relieves User of its obligations only to the extent User is materially prejudiced by the delay; (b) permit User to control the defense and settlement of the claim, except that User may not settle any claim in a manner that imposes any liability, admission, or non-monetary obligation on Mapsly without Mapsly’s prior written consent; and (c) provide reasonable cooperation in the defense at User’s expense.

13. 준거법 및 중재

THIS AGREEMENT IS GOVERNED BY THE LAWS OF DELAWARE, WITHOUT REGARD TO CONFLICT OF LAWS PRINCIPLES. THE PARTIES AGREE THAT THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS IS SPECIFICALLY EXCLUDED FROM APPLICATION TO THESE TERMS. ANY DISPUTE BETWEEN USER AND MAPSLY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL BE REFERRED TO AND FINALLY RESOLVED BY BINDING ARBITRATION BEFORE A SINGLE ARBITRATOR, ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS COMMERCIAL ARBITRATION RULES. THE SEAT OF ARBITRATION IS WILMINGTON, DELAWARE; HEARINGS MAY BE CONDUCTED REMOTELY; AND THE PROCEEDINGS SHALL BE CONDUCTED IN ENGLISH AND KEPT CONFIDENTIAL. JUDGMENT ON THE AWARD MAY BE ENTERED IN ANY COURT OF COMPETENT JURISDICTION. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING, AND THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF MORE THAN ONE USER. TO THE EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY. NOTWITHSTANDING THE FOREGOING, EITHER PARTY MAY SEEK TEMPORARY OR PRELIMINARY INJUNCTIVE RELIEF IN ANY COURT OF COMPETENT JURISDICTION TO PRESERVE THE STATUS QUO OR PROTECT ITS CONFIDENTIAL INFORMATION OR INTELLECTUAL PROPERTY PENDING ARBITRATION. THE PREVAILING PARTY IN ANY ARBITRATION OR LITIGATION IS ENTITLED TO RECOVER ITS REASONABLE ATTORNEYS’ FEES AND COSTS FROM THE OTHER PARTY.

14.1 완전한 합의 및 변경. 본 계약은, 본 계약에 따라 체결된 모든 견적서를 포함하여, 서비스와 관련하여 사용자와 Mapsly 간의 완전한 합의를 구성하며, 구두 또는 서면 여부를 불문하고 이전 및 동시에 존재하는 모든 계약, 제안, 양해 및 커뮤니케이션을 대체하고 대신합니다. 본 계약과 그러한 이전 계약 간에 충돌이 있는 경우, 본 계약을 명칭으로 언급하고 양 당사자가 서명한 서면 계약에서 달리 명시적으로 규정하지 않는 한, 본 계약의 조건이 우선합니다. 본 계약은 당사자 간에 이전에 체결된 어떠한 비공개 또는 기밀유지 계약도 대체하지 않습니다. 다만 해당 계약이 본 계약에 의해 대체된다고 명시적으로 규정하는 범위는 예외로 합니다; 본 계약과 그러한 계약이 동일한 기밀 정보에 모두 적용되는 경우, 더 큰 보호를 제공하는 조항이 우선합니다.

Mapsly는 수정된 버전을 다음 위치에 게시함으로써 본 계약(제13조, 준거법 및 중재 제외)을 수시로 개정할 수 있습니다 https://mapsly.com/terms and updating the last-modified date. An amended version applies, from the time of acceptance, to subscriptions first accepted under it. For subscriptions already in effect when an amended version is posted: (i) amendments that materially reduce User’s rights or materially increase User’s obligations take effect for that subscription no earlier than thirty (30) days after Mapsly notifies User of the amendment by email and/or in-app notification, and the previously applicable version continues to govern that subscription until then; and (ii) amendments that are not material — including corrections, clarifications, and changes required to comply with applicable law — take effect upon posting. User’s continued use of the Service after an amendment takes effect for User’s subscription constitutes acceptance of the amended Agreement. If User does not agree to an amendment described in clause (i), User’s sole and exclusive remedy is to stop using the Service and cancel the subscription pursuant to Section 11.2 before the amendment takes effect for User’s subscription; if User cancels on this basis, Mapsly will refund the prepaid fees prorated for the unused portion of the then-current Billing Period. This Section does not authorize Mapsly to unilaterally modify any term expressly set forth in a mutually executed Quote or Order Form for so long as that Quote or Order Form remains in effect (see Section 14.2). Amendments to Section 13, and any other amendment or waiver not made in accordance with this Section, require the signed written consent of both Parties. Neither failure nor delay on the part of any Party in exercising any right, power, or privilege hereunder shall operate as a waiver of such right, nor shall any single or partial exercise of any such right, power, or privilege preclude any further exercise thereof or the exercise of any other right, power, or privilege.

14.2 우선순위. 본 서비스 약관과 본 약관을 명시적으로 참조하는 상호 체결된 견적서, 주문서 또는 기타 서면 계약의 조항 간에 충돌이 발생하는 경우, 해당 견적서 또는 계약의 조항은 해당 문서에서 다루는 사항에 한해서만 우선합니다. 본 약관의 다른 모든 조항은 계속해서 완전한 효력을 유지합니다.

14.3 독립 계약자. Mapsly와 사용자는 독립 계약자이며, 양자 간의 관계는 파트너십, 합작 투자 또는 대리 관계를 구성하지 않는다는 데 명시적으로 동의합니다.

14.4 분리 가능성. 본 계약의 어떤 조항이 무효이거나 집행할 수 없다고 판단되는 경우에도 그러한 판단은 본 계약의 나머지 부분에 영향을 미치지 않으며, 나머지 부분은 계속 효력을 유지합니다.

14.5 불가항력. 금전 지급을 제외하고, 어느 당사자도 불가항력 사건을 포함하되 이에 국한되지 않는, 합리적인 통제를 벗어난 사건에 대해 책임을 지지 않습니다. “불가항력”이란 천재지변, 국가 또는 국민국가의 민간 또는 군사 당국의 작위 또는 부작위, 전염병, 팬데믹, 화재, 파업, 홍수, 폭동, 전쟁을 포함하되 이에 국한되지 않는, 당사자의 합리적인 통제를 벗어난 모든 원인을 의미합니다. 이러한 면책되는 지연이 발생한 경우, 해당 의무의 이행 기간은 지연으로 인해 손실된 시간과 동일한 기간만큼 연장됩니다. 본 조항의 혜택을 주장하는 당사자는 불가항력 사건이 발생한 후 합리적으로 실행 가능한 한 빨리, (a) 그러한 불가항력 상태의 성격과 범위에 대해 상대방에게 서면 통지를 제공해야 하며; 그리고 (b) 그러한 원인을 피하거나 제거하고 본 계약에 따른 이행을 합리적으로 실행 가능한 한 빨리 재개하기 위해 상업적으로 합리적인 노력을 기울여야 합니다.

14.6 홍보. Mapsly는 사용자가 본 서비스의 구독자임을 식별하기 위해 Mapsly의 웹사이트 및 마케팅 자료에 사용자의 회사명 및 상표를 표시할 권리가 있습니다. 단, 사용자가 본 서비스 약관을 수락한 후 삼십 (30) 일 이내에 사용자가 Mapsly에 그러한 권리를 부여하지 않는다는 사실을 서면으로 Mapsly에 통지한 경우는 예외입니다. Mapsly는 사용자가 Mapsly에 제공하는 브랜드 가이드라인에 따라 사용자의 상표를 사용하며, 사용자의 사전 서면 동의 없이 보도자료를 발행하거나, 사용자의 이름을 언급하는 사례 연구를 게시하거나, 사용자가 Mapsly를 지지한다고 명시하거나 암시하지 않습니다.

14.7 약관의 존속. 제5.3조, 제7조, 제8조, 제9조, 제10조, 제11.5조, 제12조, 제13조 및 제14조와 종료 전에 발생한 모든 지급 의무 및 그 성격상 존속되어야 하는 기타 모든 조건은 본 계약의 종료 또는 만료 후에도 존속합니다.

14.8 피드백. 사용자가 Mapsly에 피드백, 제안, 평가, 기능 요청 또는 아이디어를 제공하는 경우(총칭하여 “피드백”), 사용자는 이에 따라 피드백과 관련된 모든 지식재산권을 Mapsly에 취소 불가능하게 양도하며, Mapsly(및 그 고객)는 사용자에 대한 의무 없이 이를 사용할 수 있습니다.

14.9 권한. 각 당사자는 본 계약을 체결할 완전한 권리, 권한 및 권능을 보유하고 있음을 진술하고 보증합니다. 귀하가 회사 또는 기타 법인을 대신하여 본 약관에 동의하는 경우, 귀하는 해당 법인을 본 계약에 구속할 권한이 있음을 진술합니다.

14.10 언어. 본 계약 및 모든 관련 문서는 영어로 작성되었습니다. mapsly.com에 표시되는 모든 번역은 편의를 위한 것일 뿐입니다. 번역본과 다음에서 제공되는 영어 버전 간에 불일치 또는 충돌이 있는 경우, https://mapsly.com/terms, 영어 버전이 우선합니다.

14.11 통지. Mapsly는 본 계약에 따라 사용자의 계정과 연결된 이메일 주소로 이메일을 보내거나, 앱 내 알림을 통해, 또는 서비스 내 게시를 통해 사용자에게 통지를 제공할 수 있으며, 이러한 통지는 전송되거나 게시된 때 수신된 것으로 간주됩니다. 사용자는 자신의 계정 이메일 주소를 정확하고 최신 상태로 유지할 책임이 있습니다. Mapsly에 대한 통지는 이메일로 다음 주소로 보내야 합니다, [email protected] 또는 우편으로 Mapsly LLC, 440 N Barranca Ave #4985, Covina, CA 91723, USA, 앞으로 보내야 하며, 배송이 확인되면 수신된 것으로 간주됩니다.

14.12 할당. 사용자는 Mapsly의 사전 서면 동의 없이 본 계약의 전부 또는 일부를 양도하거나 이전할 수 없으며, 본 조항을 위반한 양도 시도는 무효입니다; 단, 사용자는 Mapsly에 서면으로 통지한 후, 합병, 인수 또는 사용자 자산의 전부 또는 실질적으로 전부의 매각과 관련하여, 해당 승계자가 Mapsly의 경쟁사가 아닌 경우에 한해 본 계약 전체를 승계자에게 양도할 수 있습니다. Mapsly는 본 계약을 계열사에 양도하거나 합병, 인수, 기업 구조조정 또는 Mapsly 자산의 전부 또는 실질적으로 전부의 매각과 관련하여 양도할 수 있습니다. 전술한 사항을 전제로, 본 계약은 당사자 및 그 허용된 승계인과 양수인을 구속하며 이들에게 이익을 부여합니다.
