\u672c Mapsly \u670d\u52a1\u6761\u6b3e\uff08\u672c\u201c\u534f\u8bae\u201d\uff09\u7531 Mapsly LLC\uff08\u4e00\u5bb6\u52a0\u5229\u798f\u5c3c\u4e9a\u6709\u9650\u8d23\u4efb\u516c\u53f8\uff0c\u201cMapsly\u201d\uff09\u4e0e\u4ee3\u8868\u5176\u63a5\u53d7\u672c\u670d\u52a1\u6761\u6b3e\u7684\u5b9e\u4f53\uff0c\u6216\u5728\u5e76\u975e\u4ee3\u8868\u5b9e\u4f53\u63a5\u53d7\u7684\u60c5\u51b5\u4e0b\u63a5\u53d7\u672c\u670d\u52a1\u6761\u6b3e\u7684\u4e2a\u4eba\uff08\u201c\u7528\u6237\u201d\uff09\u8ba2\u7acb\uff0c\u53cc\u65b9\u5408\u79f0\u201c\u5404\u65b9\u201d\uff0c\u5355\u79f0\u201c\u4e00\u65b9\u201d\u3002\u901a\u8fc7\u8bbf\u95ee\u6216\u4f7f\u7528\u670d\u52a1\u3001\u6ce8\u518c\u8d26\u6237\uff0c\u6216\u70b9\u51fb\u63a5\u53d7\u672c\u670d\u52a1\u6761\u6b3e\uff0c\u7528\u6237\u540c\u610f\u53d7\u672c\u534f\u8bae\u7ea6\u675f\u3002Mapsly \u4e0e\u7528\u6237\u4e4b\u95f4\u7b7e\u7f72\u7684\u62a5\u4ef7\u548c\u8ba2\u5355\uff08\u7edf\u79f0\u201c\u62a5\u4ef7\u201d\uff09\u5e94\u53d7\u672c\u534f\u8bae\u7ba1\u8f96\u3002\u672c\u6587\u4e2d\u4f7f\u7528\u4f46\u672a\u5b9a\u4e49\u7684\u4efb\u4f55\u5927\u5199\u672f\u8bed\u5e94\u5177\u6709\u9002\u7528\u62a5\u4ef7\u4e2d\u5206\u522b\u89c4\u5b9a\u7684\u542b\u4e49.,<\/p>\n\n

1. Mapsly \u670d\u52a1 (\u201c\u670d\u52a1\u201d),<\/strong><\/h2>\n\n

1.1 \u670d\u52a1.<\/strong> \u672c\u670d\u52a1\u65e8\u5728\u4e3a\u7528\u6237\u63d0\u4f9b\u53ef\u89c6\u5316\u4f4d\u7f6e\u6570\u636e\u3001\u5206\u6790\u4f4d\u7f6e\u6570\u636e\u5e76\u4f7f\u7528\u5176\u6765\u7ba1\u7406\u7528\u6237\u7684\u9500\u552e\u548c\u670d\u52a1\u4eba\u5458\u53ca\u4e1a\u52a1\u7684\u80fd\u529b\u3002\u672c\u670d\u52a1\u57fa\u4e8e Mapsly \u57fa\u4e8e\u4e92\u8054\u7f51\u7684\u5730\u7406\u667a\u80fd\u8f6f\u4ef6\u5e73\u53f0\uff08\u201cMapsly Software\u201d\uff09\uff0c\u8be5\u5e73\u53f0\u7531 Mapsly \u6216\u4ee3\u8868 Mapsly \u6258\u7ba1\uff0c\u7528\u6237\u53ef\u901a\u8fc7 Mapsly \u7f51\u7ad9\u548c\u79fb\u52a8\u5e94\u7528\u7a0b\u5e8f\u8fdc\u7a0b\u8bbf\u95ee\u3002<\/p>\n\n

1.2 \u5546\u4e1a\u7528\u9014.<\/strong> \u672c\u670d\u52a1\u4ec5\u4f9b\u7528\u6237\u5728\u5176\u8d38\u6613\u6216\u4e1a\u52a1\u4e2d\u4f7f\u7528\uff0c\u4e0d\u5f97\u7528\u4e8e\u4e2a\u4eba\u3001\u5bb6\u5ead\u6216\u5bb6\u5c45\u76ee\u7684\u3002<\/p>\n\n

1.3 \u7b2c\u4e09\u65b9\u670d\u52a1.<\/strong> \u672c\u670d\u52a1\u53ef\u4e0e\u7b2c\u4e09\u65b9\u4ea7\u54c1, \u5e73\u53f0\u548c\u670d\u52a1\u4e92\u64cd\u4f5c, \u5305\u62ec CRM \u7cfb\u7edf, \u7535\u5b50\u8868\u683c\u5e73\u53f0, \u4ee5\u53ca\u5730\u56fe\u548c\u6570\u636e\u63d0\u4f9b\u5546 (\u201c\u7b2c\u4e09\u65b9\u670d\u52a1\u201d). \u7b2c\u4e09\u65b9\u670d\u52a1\u4e0d\u5c5e\u4e8e\u672c\u670d\u52a1\u7684\u4e00\u90e8\u5206, \u7528\u6237\u5bf9\u5176\u7684\u4f7f\u7528\u53d7\u9002\u7528\u7b2c\u4e09\u65b9\u6761\u6b3e\u7684\u7ea6\u675f. Mapsly \u4e0d\u63a7\u5236\u7b2c\u4e09\u65b9\u670d\u52a1, \u4e5f\u4e0d\u5bf9\u5176\u53ef\u7528\u6027, \u51c6\u786e\u6027, \u5b89\u5168\u6027\u6216\u4e0e\u672c\u670d\u52a1\u7684\u6301\u7eed\u4e92\u64cd\u4f5c\u6027\u8d1f\u8d23. \u5982\u679c\u7b2c\u4e09\u65b9\u5bf9\u67d0\u9879\u96c6\u6210\u6240\u4f9d\u8d56\u7684 API \u6216\u5176\u4ed6\u96c6\u6210\u673a\u5236\u4f5c\u51fa\u91cd\u5927\u53d8\u66f4, \u9650\u5236\u6216\u64a4\u56de, Mapsly \u53ef\u4ee5\u4fee\u6539, \u6682\u505c\u6216\u7ec8\u6b62\u53d7\u5f71\u54cd\u7684\u96c6\u6210, \u4e14\u65e0\u9700\u5bf9\u7528\u6237\u627f\u62c5\u8d23\u4efb, \u5e76\u5c06\u91c7\u53d6\u5546\u4e1a\u4e0a\u5408\u7406\u7684\u52aa\u529b\u901a\u77e5\u53d7\u5f71\u54cd\u7684\u7528\u6237.<\/p>\n\n

1.4 AI \u529f\u80fd.<\/strong> Certain features of the Service use artificial intelligence or machine learning technologies, including features that generate, summarize, transcribe, or suggest content or actions (\u201cAI Features\u201d). AI Features are probabilistic in nature: outputs may be inaccurate, incomplete, or unsuitable for User\u2019s purposes, and may vary for similar inputs. User is responsible for configuring, authorizing, reviewing, and supervising AI Features, and remains solely responsible for outputs generated and actions taken through the Service on User\u2019s behalf \u2014 including communications sent, transactions or workflows initiated, and data created, modified, or deleted in User\u2019s systems. AI Features are provided \u201cas is\u201d and may be modified, supplemented, or discontinued over time. Mapsly does not use User Data or User\u2019s Confidential Information to train generalized artificial intelligence or machine learning models; User Data may be processed by AI model providers acting as Mapsly\u2019s sub-processors solely to provide the Service to User. Where User elects to use its own AI provider account or API keys with the Service, User\u2019s relationship with that provider is governed solely by User\u2019s agreement with that provider; User is responsible for all fees charged by the provider, and Mapsly is not responsible for the provider\u2019s availability, performance, or acts or omissions. As between Mapsly and User, to the extent Mapsly acquires any right, title, or interest in output generated by AI Features for User, Mapsly assigns such rights to User, subject to applicable law and applicable third-party provider terms. AI-generated output may not be unique, and other users may receive the same or similar output. Mapsly does not represent that AI-generated output is copyrightable, exclusively owned, or free of third-party rights. AI usage performed through User\u2019s own AI provider credentials is not charged by Mapsly and does not draw on the AI Allowance or Credits described in Sections 3.11 and 3.12; Mapsly may meter such usage for display and for the purposes of Section 6.7. AI Features may be made available on a limited-availability or beta basis \u2014 including activation by Mapsly on request \u2014 and Mapsly may limit their availability by plan, region, or otherwise; nothing in this Agreement commits Mapsly to make any AI Feature generally available.<\/p>\n\n

2. \u8bb8\u53ef\u6388\u4e88\u548cService\u7684\u4f7f\u7528<\/strong><\/h2>\n\n

2.1 \u8bb8\u53ef\u6388\u4e88.<\/strong> \u6839\u636e\u672c\u534f\u8bae\uff0cMapsly \u6388\u4e88\u7528\u6237\u4e00\u9879\u6709\u9650\u7684\u3001\u4e0d\u53ef\u8f6c\u8ba9\u7684\u3001\u975e\u6392\u4ed6\u6027\u7684\u3001\u4e0d\u53ef\u518d\u8bb8\u53ef\u7684\u6743\u5229\u548c\u8bb8\u53ef\uff0c\u4ee5\u4fbf\u5728\u672c\u534f\u8bae\u671f\u9650\u5185\u8bbf\u95ee\u548c\u4f7f\u7528\u670d\u52a1\uff08\u201cLicense\u201d\uff09\uff0c\u9664\u975e\u63d0\u524d\u7ec8\u6b62\u3002<\/p>\n\n

2.2 \u7528\u6237\u5458\u5de5\u548c\u627f\u5305\u5546\u7684\u4f7f\u7528.<\/strong> \u7528\u6237\u53ef\u4ee5\u5141\u8bb8\u5176\u5458\u5de5\u548c\u627f\u5305\u5546\uff08\u7edf\u79f0\u4e3a\u201c\u6700\u7ec8\u7528\u6237\u201d\uff09\u8bbf\u95ee\u670d\u52a1\uff0c\u4e14\u987b\u9075\u5b88\u672c\u670d\u52a1\u6761\u6b3e\uff0c\u5e76\u4ec5\u4e3a\u7528\u6237\u7684\u5229\u76ca\u3002\u7528\u6237\u8d1f\u8d23\u786e\u4fdd\u5176\u6700\u7ec8\u7528\u6237\u9075\u5b88\u672c\u670d\u52a1\u6761\u6b3e\u3002<\/p>\n\n

3. \u4ed8\u6b3e<\/strong><\/h2>\n\n

3.1 \u8ba2\u9605\u670d\u52a1.<\/strong> \u7528\u6237\u901a\u8fc7\u8ba2\u9605\u670d\u52a1\u5e76\u5728\u652f\u4ed8\u9002\u7528\u7684\u8ba2\u9605\u8d39\u7528\uff08\u201c\u670d\u52a1\u8d39\u201d\uff09\u540e\uff0c\u5373\u53ef\u4f7f\u7528\u670d\u52a1\u3002\u6240\u6709\u8d39\u7528\u5747\u5e94\u9884\u5148\u652f\u4ed8\uff0c\u5e76\u4e14\uff0c\u9664\u975e\u672c\u534f\u8bae\u4e2d\u660e\u786e\u89c4\u5b9a\u6216\u9002\u7528\u6cd5\u5f8b\u8981\u6c42\uff0c\u5426\u5219\u5747\u4e0d\u53ef\u9000\u6b3e\u4e14\u4e0d\u53ef\u62b5\u6263\uff0c\u5305\u62ec\u9884\u5148\u652f\u4ed8\u7684\u5e74\u5ea6\u8ba2\u9605\u8d39\u7528\u3002Mapsly\u53ef\u81ea\u884c\u51b3\u5b9a\u5728\u7279\u5b9a\u60c5\u51b5\u4e0b\u53d1\u653e\u9000\u6b3e\u6216\u4fe1\u7528\u989d\u5ea6\uff1b\u8fd9\u6837\u505a\u5e76\u4e0d\u4f7fMapsly\u6709\u4e49\u52a1\u5728\u4efb\u4f55\u5176\u4ed6\u60c5\u51b5\u4e0b\u53d1\u653e\u9000\u6b3e\u6216\u4fe1\u7528\u989d\u5ea6\uff0c\u4e5f\u4e0d\u6784\u6210\u5bf9\u672c\u6761\u6b3e\u7684\u653e\u5f03\u3002<\/p>\n\n

3.2 \u8d26\u5355\u65e5\u671f\u548c\u8d26\u5355\u5468\u671f.<\/strong> \u670d\u52a1\u6309\u6708\u6216\u6309\u5e74\u6536\u8d39\u3002\u5bf9\u4e8e\u6708\u5ea6\u8ba2\u9605, \u201c\u8d26\u5355\u65e5\u671f\u201d\u662f\u9996\u6b21\u652f\u4ed8\u670d\u52a1\u8d39\u7684\u5f53\u6708\u65e5\u671f, \u201c\u8d26\u5355\u5468\u671f\u201d\u4ece\u67d0\u4e2a\u6708\u7684\u8d26\u5355\u65e5\u671f\u5f00\u59cb, \u6301\u7eed\u5230\u4e0b\u4e2a\u6708\u7684\u8d26\u5355\u65e5\u671f\u3002\u5bf9\u4e8e\u5e74\u5ea6\u8ba2\u9605, \u8d26\u5355\u65e5\u671f\u662f\u9996\u6b21\u4ed8\u6b3e\u7684\u5f53\u5e74\u65e5\u671f, \u8d26\u5355\u5468\u671f\u4ece\u67d0\u4e00\u5e74\u7684\u8d26\u5355\u65e5\u671f\u5f00\u59cb, \u6301\u7eed\u5230\u8be5\u8d26\u5355\u65e5\u671f\u7684\u4e00\u5468\u5e74\u3002\u9664\u975e\u7528\u6237\u5728\u4e0b\u4e00\u4e2a\u8d26\u5355\u5468\u671f\u5f00\u59cb\u524d\u53d6\u6d88\u8ba2\u9605, \u5426\u5219\u8ba2\u9605\u5c06\u6309\u5f53\u65f6\u6709\u6548\u7684\u8d39\u7387\u5728\u8fde\u7eed\u7684\u8d26\u5355\u5468\u671f\u81ea\u52a8\u7eed\u8ba2\u3002\u5bf9\u4e8e\u5e74\u5ea6\u8ba2\u9605, Mapsly\u5c06\u5728\u7eed\u8ba2\u65e5\u671f\u4e4b\u524d\u5411\u4e0e\u7528\u6237\u8d26\u6237\u5173\u8054\u7684\u7535\u5b50\u90ae\u4ef6\u5730\u5740\u53d1\u9001\u7eed\u8ba2\u901a\u77e5\u3002<\/p>\n\n

3.3 \u52a8\u6001\u5b9a\u4ef7.<\/strong> \u6bcf\u6708\u7684\u670d\u52a1\u8d39\u6839\u636e\u7528\u6237\u5f53\u524d\u7684\u4f7f\u7528\u6307\u6807\uff08\u5305\u62ec\u4f46\u4e0d\u9650\u4e8e\u7528\u6237\u8d2d\u4e70\u7684\u7528\u6237\u5e2d\u4f4d\u6570\u91cf\u3001\u7528\u6237\u6570\u636e\u91cf\u4ee5\u53ca\u5df2\u6fc0\u6d3b\u7684\u989d\u5916\u4ed8\u8d39\u529f\u80fd\uff09\u5e76\u6309\u7167\u53d1\u5e03\u4e8e\u4ee5\u4e0b\u5730\u5740\u7684 Mapsly \u5b9a\u4ef7\u786e\u5b9a, https:\/\/mapsly.com\/pricing<\/a> \u5e76\u4e14\u53ef\u80fd\u4f1a\u968f\u7740\u7528\u6237\u7684\u4f7f\u7528\u6307\u6807\u53d8\u5316\u800c\u9010\u6708\u53d8\u5316\u3002<\/p>\n\n

\u6bcf\u5f53\u4e0b\u4e2a\u6708\u7684\u9884\u8ba1\u670d\u52a1\u8d39\u53d1\u751f\u53d8\u5316\u65f6\uff0cMapsly \u5c06\u901a\u8fc7\u7535\u5b50\u90ae\u4ef6\u901a\u77e5\u7528\u6237\uff0c\u9664\u975e\u8be5\u53d8\u66f4\u662f\u7531\u7528\u6237\u5728 Mapsly \u8f6f\u4ef6\u7684\u8d26\u5355\u90e8\u5206\u4e2d\u53d1\u8d77\u7684\u3002<\/p>\n\n

\u5b9a\u4ef7\u7ed3\u6784\u3001\u7279\u5b9a\u529f\u80fd\u7684\u4ef7\u683c\u4ee5\u53ca\u8ba1\u8d39\u65b9\u5f0f\u53ef\u80fd\u4f1a\u4e0d\u65f6\u66f4\u65b0\u3002\u8fd9\u4e9b\u53d8\u66f4\u4e0d\u4f1a\u5f71\u54cd\u5f53\u524d\u8ba1\u8d39\u5468\u671f\u5185\u7684\u7528\u6237\uff0c\u5e76\u4e14\u7528\u6237\u5c06\u81f3\u5c11\u63d0\u524d30\u5929\u6536\u5230\u6709\u5173\u6b64\u7c7b\u53d8\u66f4\u7684\u901a\u77e5\uff0c\u4f46\u7b2c3.9\u8282\u89c4\u5b9a\u7684\u7b2c\u4e09\u65b9\u63d0\u4f9b\u5546\u5bf9\u5176\u8d39\u7387\u65bd\u52a0\u7684\u53d8\u66f4\u9664\u5916\uff0c\u6b64\u7c7b\u53d8\u66f4\u53ef\u80fd\u81ea\u6d88\u8d39\u65f6\u8d77\u9002\u7528\u3002\u5982\u679c Mapsly \u4e0e\u7528\u6237\u7b7e\u7f72\u4e86\u5305\u542b\u5355\u72ec\u5b9a\u4ef7\u7684\u62a5\u4ef7\uff0c\u5219\u62a5\u4ef7\u4e2d\u7684\u5355\u72ec\u5b9a\u4ef7\u4f18\u5148\u9002\u7528\u3002<\/p>\n\n

3.4 \u5347\u7ea7\u548c\u964d\u7ea7.<\/strong> \u5f53\u7528\u6237\u5347\u7ea7\u5230\u66f4\u9ad8\u7684\u4ed8\u8d39\u65b9\u6848\u6216\u8d2d\u4e70\u989d\u5916\u7528\u6237\u5e2d\u4f4d\u65f6\uff0cMapsly\u5c06\u6309\u6bd4\u4f8b\u6536\u53d6\u8d39\u7528\uff0c\u76f4\u81f3\u5f53\u524d\u8ba1\u8d39\u5468\u671f\u7ed3\u675f\u3002\u5f53\u7528\u6237\u964d\u7ea7\u5230\u8f83\u4f4e\u7684\u4ed8\u8d39\u65b9\u6848\u6216\u79fb\u9664\u7528\u6237\u5e2d\u4f4d\u65f6\uff0c\u65b0\u7684\u670d\u52a1\u8d39\u5c06\u4ece\u4e0b\u4e00\u4e2a\u8ba1\u8d39\u5468\u671f\u5f00\u59cb\u751f\u6548\u3002<\/p>\n\n

3.5 \u8bd5\u7528\u671f.<\/strong> \u5728\u6709\u9650\u65f6\u95f4\u5185, Mapsly\u53ef\u5411\u7528\u6237\u63d0\u4f9b\u514d\u8d39\u4f7f\u7528\u670d\u52a1\u7684\u673a\u4f1a\uff08\u201c\u8bd5\u7528\u671f\u201d\uff09, \u5982\u6307\u5b9a\u4e8e, https:\/\/mapsly.com\/pricing<\/a>. \u670d\u52a1\u7684\u67d0\u4e9b\u529f\u80fd\u5728\u8bd5\u7528\u671f\u5185\u53ef\u80fd\u4e0d\u53ef\u7528\u6216\u53ef\u80fd\u5728\u66f4\u4e25\u683c\u7684\u4f7f\u7528\u9650\u5236\u4e0b\u53ef\u7528. \u8bd5\u7528\u671f\u7ed3\u675f\u540e\u7528\u6237\u5fc5\u987b\u8ba2\u9605\u4ed8\u8d39\u8d26\u6237\u624d\u80fd\u7ee7\u7eed\u4f7f\u7528\u670d\u52a1.<\/p>\n\n

3.9 \u57fa\u4e8e\u4f7f\u7528\u91cf\u7684\u8d39\u7528; \u914d\u989d.<\/strong> \u670d\u52a1\u7684\u67d0\u4e9b\u529f\u80fd\u548c\u8d44\u6e90\u53d7\u6240\u542b\u4f7f\u7528\u914d\u989d\u548c\/\u6216\u6309\u4f7f\u7528\u91cf\u8ba1\u8d39\u7684\u8d39\u7528\u7ea6\u675f\u3002\u6240\u542b\u914d\u989d\u3001\u8ba1\u91cf\u5355\u4f4d\u4ee5\u53ca\u8d85\u51fa\u6240\u542b\u914d\u989d\u4f7f\u7528\u91cf\u7684\u8d39\u7387\u4ee5\u670d\u52a1\u4e2d\u53d1\u5e03\u7684\u5185\u5bb9\u4e3a\u51c6\uff0c\u7f51\u5740\u4e3a, https:\/\/mapsly.com\/pricing<\/a>, at https:\/\/mapsly.com\/usage-limits-and-add-ons<\/a> (\u6216\u540e\u7eed\u9875\u9762), \u6216 Mapsly \u7528\u6237\u6587\u6863\u4e2d\u63d0\u4f9b\uff0c\u7f51\u5740\u4e3a https:\/\/help.mapsly.com<\/a> (the \u201cDocumentation\u201d), in each case as updated from time to time. Usage-based fees are calculated at the rates in effect at the time of consumption. Continued use of a metered feature or resource beyond an included allotment may require the purchase of additional capacity. Usage-based fees are charged as part of the Service Fee for the applicable Billing Period or, where a feature is offered on a prepaid basis, by deduction from prepaid capacity; a feature may pause when an allotment or prepaid capacity is exhausted (Section 6.6). Except for changes reflecting a change imposed by the applicable third-party provider to the provider\u2019s rate for the relevant model or service (Section 3.3), changes to usage-based rates are subject to the notice requirements of Section 3.3. Material reductions to included allotments or Published Limits (as defined in Section 6.6) applicable to a paid subscription are likewise subject to the notice requirements of Section 3.3, except where an immediate change is reasonably necessary to protect the security or integrity of the Service. Included allotments reset as published (for example, daily for routing credits and monthly for visit-planner packages) and unused allotment does not carry over. AI usage is additionally governed by Sections 3.11 through 3.13.<\/p>\n\n

3.10 \u9000\u6b3e\u4fdd\u8bc1.<\/strong> \u5c3d\u7ba1\u6709\u7b2c 3.1 \u6761\u89c4\u5b9a\uff0cMapsly \u5bf9\u901a\u8fc7 Mapsly \u5728\u7ebf\u7ed3\u8d26\u8d2d\u4e70\u7684\u8ba2\u9605\u63d0\u4f9b\u4ee5\u4e0b\u4fdd\u8bc1; \u5982\u679c\u53cc\u65b9\u5df2\u7b7e\u7f72\u62a5\u4ef7\u5355\uff0c\u5219\u8be5\u4fdd\u8bc1\u4ec5\u5728\u62a5\u4ef7\u5355\u4e2d\u8f7d\u660e\u7684\u60c5\u51b5\u4e0b\u5e76\u6309\u5176\u8f7d\u660e\u7684\u8303\u56f4\u9002\u7528\u3002\u5982\u679c\u7528\u6237\u56e0\u4efb\u4f55\u539f\u56e0\u5bf9\u670d\u52a1\u4e0d\u6ee1\u610f\uff0cMapsly \u5c06\u6839\u636e\u8bf7\u6c42\u9000\u8fd8\u4ee5\u4e0b\u5b9a\u4e49\u7684\u8ba2\u9605\u8d39\u7528\uff0c\u524d\u63d0\u662f: (a) \u7528\u6237\u5df2\u4e0e Mapsly \u89e3\u51b3\u65b9\u6848\u5de5\u7a0b\u5e08\u5b8c\u6210\u4e00\u6b21\u514d\u8d39\u7684\u5165\u95e8\u57f9\u8bad\u4f1a\u8bdd \u2014 \u53ef\u5728\u63d0\u51fa\u8bf7\u6c42\u524d\u7684\u4efb\u4f55\u65f6\u95f4\u5b8c\u6210\uff0c\u4e14\u4e0d\u8fdf\u4e8e\u542f\u52a8\u4e0b\u8ff0\u9002\u7528\u4fdd\u8bc1\u671f\u7684\u9996\u6b21\u4ed8\u6b3e\u540e\u4e09\u5341 (30) \u5929\u5185\u5b8c\u6210\uff08\u6216\u8005\uff0c\u5982\u679c\u7528\u6237\u5728\u8be5\u671f\u95f4\u5185\u8bf7\u6c42\u8be5\u4f1a\u8bdd\u800c Mapsly \u65e0\u6cd5\u5728\u8be5\u671f\u95f4\u5185\u4e3e\u884c\uff0c\u5219\u5728 Mapsly \u63d0\u4f9b\u7684\u6700\u65e9\u65f6\u95f4\u4e3e\u884c; \u4ec5\u63d0\u51fa\u8bf7\u6c42\u672c\u8eab\u5e76\u4e0d\u6ee1\u8db3\u6b64\u6761\u4ef6\uff09; \u4ee5\u53ca (b) \u9000\u6b3e\u8bf7\u6c42\u901a\u8fc7\u7535\u5b50\u90ae\u4ef6\u53d1\u9001\u81f3, support@mapsly.com<\/a> within the applicable Guarantee Period. The \u201cGuarantee Period\u201d is: (x) for User\u2019s first monthly subscription, thirty (30) days from the first monthly payment, covering a refund of that first monthly payment; and (y) for User\u2019s first annual subscription (including an annual subscription first purchased by a User previously subscribed monthly), ninety (90) days from the first annual payment, covering a refund of all subscription fees paid for that annual subscription. Where the applicable subscription is also User\u2019s first paid subscription, the request must in any event be made no later than one hundred eighty (180) days after User\u2019s Mapsly account was created. Trial periods do not start a Guarantee Period. Mapsly may verify that a request originates from User or, if User is an entity, from an authorized representative of User. The refund is issued to the original payment method, normally within ten (10) business days. Exercising this guarantee cancels User\u2019s subscription; access to the Service ends upon cancellation, and User Data is handled in accordance with Section 11.2 and the DPA. This guarantee: (i) may be exercised once per User, including User\u2019s affiliates, successors, and any related accounts or entities under common control or operation, across both Guarantee Periods combined, and does not apply to renewals or to subscriptions started after a prior refund under this Section; (ii) does not cover fees for professional services, purchases of Credits (Section 3.12), or other amounts under Section 3.9 to the extent consumed; for clarity, the AI Allowance (Section 3.11) has no separately refundable value and its consumption does not reduce the refund; (iii) will never exceed the amounts actually paid, net of credits or refunds already issued; and (iv) may be refused where the request follows a material violation of Section 6, fraudulent conduct, or abuse of the guarantee. Requests made after the applicable Guarantee Period will not be processed, and Section 3.1 applies.<\/p>\n\n

3.11 AI \u4f7f\u7528\u989d\u5ea6.<\/strong> \u6bcf\u4e2a\u4ed8\u8d39\u8ba2\u9605\u90fd\u5305\u542b\u4ee5 AI \u79ef\u5206\u8868\u793a\u7684\u6bcf\u6708 AI \u4f7f\u7528\u989d\u5ea6\uff08\u201cAI \u989d\u5ea6\u201d\uff09\uff0c\u5176\u91d1\u989d\u4e3a\u9488\u5bf9\u7528\u6237\u7684\u65b9\u6848\u548c\u65b9\u6848\u53d8\u4f53\u5728\u4ee5\u4e0b\u4f4d\u7f6e\u516c\u5e03\u7684\u91d1\u989d, https:\/\/mapsly.com\/pricing<\/a> \u6216\u5728\u6587\u6863\u4e2d\u6240\u8ff0\uff0c\u6216\u5728\u62a5\u4ef7\u5355\u6ce8\u660e\u4e0d\u540c\u6570\u91cf\uff08\u5305\u62ec\u65e0\uff09\u7684\u60c5\u51b5\u4e0b\uff0c\u4ee5\u62a5\u4ef7\u5355\u4e2d\u6240\u8ff0\u4e3a\u51c6\u3002AI Allowance \u5728\u7528\u6237\u8d26\u6237\u4e2d\u7684\u5404\u7528\u6237\u5e2d\u4f4d\u4e4b\u95f4\u5171\u4eab\uff0c\u5e76\u6309\u7167\u6587\u6863\u4e2d\u63cf\u8ff0\u7684\u65f6\u95f4\u8868\u6bcf\u6708\u91cd\u7f6e\u3002\u5b83\u662f\u4e00\u9879\u5305\u542b\u7684\u4f7f\u7528\u6743\u76ca\uff0c\u5e76\u975e\u4ed8\u6b3e\u3001\u62bc\u91d1\u3001\u4fe1\u7528\u4f59\u989d\u6216\u50a8\u503c: \u672a\u4f7f\u7528\u7684 AI Allowance \u4e0d\u4f1a\u7ed3\u8f6c\uff0c\u4e0d\u5177\u6709\u73b0\u91d1\u3001\u9000\u6b3e\u6216\u8f6c\u8ba9\u4ef7\u503c\uff0c\u4e5f\u4e0d\u662f\u6839\u636e\u7b2c 3.12 \u8282\u8d2d\u4e70\u7684 Credit\u3002\u5df2\u53d1\u5e03\u7684 AI Allowance \u7684\u53d8\u66f4\u53d7\u7b2c 3.9 \u8282\u7ea6\u675f; \u62a5\u4ef7\u5355\u4e2d\u6ce8\u660e\u7684 AI Allowance \u53ea\u80fd\u6839\u636e\u8be5\u62a5\u4ef7\u5355\u8fdb\u884c\u66f4\u6539\u3002<\/p>\n\n

3.12 AI \u79ef\u5206.<\/strong> User may purchase AI usage credits in advance, in the packages and at the prices offered in the Service in the currency of User\u2019s subscription (\u201cCredits\u201d). AI usage draws first on the AI Allowance for the current period and then on Credits, at the rates published under Section 3.13 at the time of use. When both are exhausted, or when a budget User has configured is reached, Mapsly pauses new AI usage until the next allowance period, a further purchase, or a budget change; because metering may occur after an interaction has begun, a limited amount of usage may occur after a balance or budget is reached, and such usage does not create a charge to User or a negative balance. If User enables automatic replenishment (\u201cAutopay\u201d), User authorizes Mapsly and its payment processor to charge User\u2019s payment method on file for a package purchase in the amount User has set whenever User\u2019s Credit balance falls below the threshold User has set; each replenishment is a purchase under this Section, User may change or disable Autopay at any time in Setup with effect for future replenishments, and Mapsly will notify User\u2019s administrators when a replenishment is declined or paused. Mapsly limits the Credit balance User may hold at any time (the \u201cMax Balance\u201d), as published in the Documentation, and may set a different Max Balance for User\u2019s account; no purchase may raise User\u2019s balance above it. Credits are a prepaid entitlement to AI usage within the Service and nothing else: they are not currency, stored value, a deposit, or a gift card; they have no independently redeemable cash value and may not be redeemed or exchanged for cash except as expressly provided in this Agreement; they may not be transferred to another organization or account; and they may be used solely for AI usage within the Service. Except as provided in the next sentence, purchases of Credits are final \u2014 non-refundable whether or not consumed and not covered by the guarantee in Section 3.10 \u2014 and Section 3.1 applies. Except as otherwise expressly provided in this Agreement, Mapsly will refund User\u2019s unconsumed Credits \u2014 valued at the amounts actually paid for those Credits, as determined from Mapsly\u2019s transaction records \u2014 only if Mapsly discontinues AI Features generally, or if User cancels under Section 14.1 because of an amendment that materially and adversely changes this Section, the rates under Section 3.13, or the availability of AI Features for which the Credits were purchased. Purchased Credits do not expire for as long as User\u2019s subscription remains active and may be consumed until User\u2019s access to the Service ends under Section 11, including, after cancellation, for the remainder of the paid period; Credits remaining when access ends are forfeited without refund or compensation. Controls Mapsly provides for AI spend, such as budgets, alerts, and limits, are conveniences; they do not relieve User of responsibility for activity initiated through User\u2019s account (Section 6.3), and usage after a balance or budget is reached is treated as described above.<\/p>\n\n

3.13 AI \u4f7f\u7528\u8d39\u7387.<\/strong> Mapsly \u4f1a\u5728\u670d\u52a1\u548c\u6587\u6863\u4e2d\u516c\u5e03 AI \u4f7f\u7528\u91cf\u4ece AI Allowance \u548c Credits \u4e2d\u6263\u51cf\u7684\u8d39\u7387 \u2014 \u4ee5\u6bcf\u6d88\u8017\u5355\u4f4d\u7684 Credits \u8868\u793a\uff0c\u5e76\u56e0\u6a21\u578b\u548c\u529f\u80fd\u800c\u5f02 \u2014 \uff08\u201cRate Card\u201d\uff09\u3002\u9002\u7528\u4f7f\u7528\u65f6\u751f\u6548\u7684 Rate Card\uff0c\u4e14 Credits \u4e0d\u8d4b\u4e88\u4efb\u4f55\u7279\u5b9a\u8d39\u7387\u6216\u5957\u9910\u4ef7\u683c\u7684\u6743\u5229\u3002Mapsly \u53ef\u5728\u9075\u5b88\u7b2c 3.3 \u8282\u7684\u524d\u63d0\u4e0b\uff0c\u5bf9 Rate Card \u548c\u5957\u9910\u4ef7\u683c\u4f5c\u51fa\u672a\u6765\u751f\u6548\u7684\u66f4\u6539\uff0c\u4f46\u53cd\u6620\u76f8\u5173\u7b2c\u4e09\u65b9\u63d0\u4f9b\u5546\u5bf9\u76f8\u5173\u6a21\u578b\u6216\u670d\u52a1\u7684\u63d0\u4f9b\u5546\u8d39\u7387\u6240\u65bd\u52a0\u66f4\u6539\u7684\u53d8\u66f4\uff0c\u53ef\u81ea\u6d88\u8017\u65f6\u8d77\u751f\u6548\u3002\u82e5\u4e0d\u540c\u6a21\u578b\u6216\u529f\u80fd\u4ee5\u4e0d\u540c\u8d39\u7387\u63d0\u4f9b\uff0c\u7528\u6237\u7684\u9009\u62e9\u51b3\u5b9a\u9002\u7528\u7684\u8d39\u7387\u3002\u5982\u679c\u670d\u52a1\u4e2d\u663e\u793a\u7684 Rate Card \u4e0e\u6587\u6863\u4e0d\u540c\uff0c\u5219\u4ee5\u4f7f\u7528\u65f6\u670d\u52a1\u4e2d\u663e\u793a\u7684 Rate Card \u4e3a\u51c6\u3002<\/p>\n\n

4.2 \u514d\u8d23\u58f0\u660e.<\/strong> \u5c3d\u7ba1 MAPSLY \u81f4\u529b\u4e8e\u4fdd\u6301\u9ad8\u53ef\u7528\u6027\u5e76\u5c3d\u91cf\u51cf\u5c11\u505c\u673a\u65f6\u95f4\uff0c\u7528\u6237\u627f\u8ba4\u67d0\u4e9b\u4e2d\u65ad\u662f\u4e0d\u53ef\u907f\u514d\u7684\u3002\u56e0\u6b64\uff0c\u9664\u672c\u534f\u8bae\u4e2d\u660e\u786e\u89c4\u5b9a\u7684\u60c5\u5f62\u5916\uff0cMAPSLY \u4e0d\u5bf9\u56e0\u670d\u52a1\u4e0d\u53ef\u7528\u800c\u4ea7\u751f\u7684\u4efb\u4f55\u4e1a\u52a1\u3001\u6536\u5165\u6216\u6570\u636e\u635f\u5931\uff0c\u6216\u4efb\u4f55\u95f4\u63a5\u3001\u9644\u5e26\u6216\u540e\u679c\u6027\u635f\u5bb3\u627f\u62c5\u8d23\u4efb\uff0c\u5305\u62ec\u5728\u7ef4\u62a4\u6216\u66f4\u65b0\u671f\u95f4\u3002<\/p>\n\n

4.3 \u505c\u673a\u65f6\u95f4\u5b9a\u4e49.<\/strong> \u201c\u505c\u673a\u65f6\u95f4\u201d\u662f\u6307\u670d\u52a1\u56e0 Mapsly \u7cfb\u7edf\u6216\u57fa\u7840\u8bbe\u65bd\u5185\u7684\u8ba1\u5212\u5916\u4e8b\u4ef6\u6216\u4e8b\u6545\u800c\u4e0d\u53ef\u7528\u6216\u65e0\u6cd5\u6267\u884c\u5176\u6838\u5fc3\u529f\u80fd\u7684\u4efb\u4f55\u671f\u95f4\uff0c\u4ece\u4e0d\u53ef\u7528\u72b6\u6001\u88ab\u68c0\u6d4b\u5230\u6216\u62a5\u544a\u4e4b\u65f6\u8d77\u8ba1\uff0c\u76f4\u81f3\u5176\u5f97\u5230\u89e3\u51b3.<\/p>\n\n

Mapsly may enforce Published Limits automatically, including by rate-limiting, pausing, or declining the affected feature when a limit or allotment is reached; Section 3.9 governs fees for usage beyond included allotments. For features and resources without Published Limits, User\u2019s consumption must remain within reasonable volumes consistent with ordinary business use of the Service by comparable customers. Mapsly may apply technical measures, such as rate limits, to protect the integrity and performance of the Service for all customers. If User\u2019s consumption of such unmetered features materially exceeds reasonable volumes or imposes a disproportionate load or cost on the Service, Mapsly will notify User and the Parties will discuss in good faith an appropriate plan, limit, or fee adjustment; Mapsly may throttle the excess consumption if it continues more than ten (10) business days after notice. 6.7 AI \u5408\u7406\u4f7f\u7528.<\/strong> AI Features \u53d7\u5df2\u53d1\u5e03\u9650\u5236\u7684\u7ea6\u675f \u2014 \u5305\u62ec\u4f1a\u8bdd\u548c\u65f6\u957f\u4e0a\u9650\u3001\u4e0a\u4e0b\u6587\u7ba1\u7406\u9650\u5236\uff0c\u4ee5\u53ca\u5bf9\u8ba1\u5212\u6216\u81ea\u52a8\u5316 AI \u5de5\u4f5c\u6d41\u7684\u9650\u5236 \u2014 Mapsly \u53ef\u6839\u636e\u7b2c 6.6 \u6761\u81ea\u52a8\u6267\u884c\u8fd9\u4e9b\u9650\u5236\uff0c\u5e76\u53d7\u4fdd\u969c\u63aa\u65bd\u7ea6\u675f\uff1b\u5f53\u4f7f\u7528\u6a21\u5f0f\u8868\u660e\u5b58\u5728\u5f02\u5e38\u3001\u81ea\u52a8\u5316\u6216\u6ee5\u7528\u6027\u6d88\u8017\u65f6\uff0c\u8fd9\u4e9b\u4fdd\u969c\u63aa\u65bd\u4f1a\u6682\u505c AI \u4f7f\u7528\u6216\u8981\u6c42\u786e\u8ba4\u3002AI Allowance \u548c Credits \u4ec5\u4f9b\u7528\u6237\u5728\u670d\u52a1\u5185\u4e3a\u81ea\u8eab\u4e1a\u52a1\u4f7f\u7528 AI Features\u3002\u7528\u6237\u4e0d\u5f97\u5c06 AI Features \u8f6c\u552e\u3001\u518d\u8bb8\u53ef\u3001\u516c\u5f00\u6216\u4f5c\u4e3a\u72ec\u7acb\u670d\u52a1\u6216 AI \u5904\u7406\u670d\u52a1\u63d0\u4f9b\u7ed9\u7b2c\u4e09\u65b9\uff1b\u4e0d\u5f97\u5c06\u5176\u7528\u4e8e\u4e0e\u7528\u6237\u4f7f\u7528\u670d\u52a1\u65e0\u5173\u7684\u6279\u91cf\u6216\u81ea\u52a8\u5316\u751f\u6210\uff1b\u4e0d\u5f97\u63d0\u53d6\u6216\u590d\u5236\u63d0\u4f9b\u5546\u6a21\u578b\u6216\u80fd\u529b\uff1b\u4e5f\u4e0d\u5f97\u89c4\u907f\u5df2\u53d1\u5e03\u9650\u5236\u6216\u7b2c 3.12 \u6761\u6240\u8ff0\u7684\u63a7\u5236\u63aa\u65bd\u3002\u901a\u8fc7\u7528\u6237\u81ea\u5df1\u7684\u63d0\u4f9b\u5546\u51ed\u8bc1\uff08\u7b2c 1.4 \u6761\uff09\u4f7f\u7528 AI \u540c\u6837\u53d7\u672c\u6761\u7ea6\u675f\u3002\u7b2c 6.6 \u6761\u5728\u5176\u4ed6\u65b9\u9762\u9002\u7528\u3002<\/p>\n\n

8. \u8d23\u4efb\u9650\u5236<\/strong><\/h2>\n\n

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WHATSOEVER SHALL EITHER MAPSLY OR ITS AFFILIATES, OR THEIR RESPECTIVE EMPLOYEES, OFFICERS, SHAREHOLDERS, AGENTS, LICENSORS OR REPRESENTATIVES, NOR USER OR ITS AFFILIATES, OR THEIR RESPECTIVE EMPLOYEES, OFFICERS, SHAREHOLDERS, AGENTS, LICENSORS OR REPRESENTATIVES, BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUE, INCLUDING BUT NOT LIMITED TO LOSS OF SALES, DATA, PROFIT, REVENUE, GOODWILL, BUSINESS INTERRUPTION, LOSS OF INFORMATION OR UNAUTHORIZED ACCESS TO INFORMATION AND THE LIKE, EVEN IF EITHER PARTY OR AN AFFILIATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL EITHER PARTY OR ITS AFFILIATES BE LIABLE TO THE OTHER PARTY FOR AN AMOUNT IN EXCESS OF THE TOTAL MONETARY AMOUNT ACTUALLY RECEIVED BY MAPSLY FROM USER FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT WHICH GAVE RISE TO THE CLAIM. \u4e13\u5c5e\u6551\u6d4e\u3002<\/strong> \u201cMAPSLY \u8d54\u507f\u201d\u90e8\u5206\u89c4\u5b9a\u4e86 MAPSLY \u5bf9 MAPSLY \u4fb5\u72af\u4efb\u4f55\u4e13\u6709\u6743\u5229\u7684\u5168\u90e8\u8d23\u4efb, \u7528\u6237\u7279\u6b64\u660e\u786e\u653e\u5f03 MAPSLY \u4e0e\u6b64\u76f8\u5173\u7684\u4efb\u4f55\u5176\u4ed6\u8d23\u4efb\u6216\u4e49\u52a1.<\/p>\n\n

12.2 \u7528\u6237\u8d54\u507f.<\/strong> User will defend, indemnify, and hold harmless Mapsly and its affiliates, and their respective officers, directors, employees, agents, partners, and licensors, from and against any third-party claim, demand, or proceeding, and all resulting damages, settlements, costs, and reasonable attorneys\u2019 fees, to the extent arising out of: (i) User Data, including any claim that User Data infringes or misappropriates a third party\u2019s rights or violates applicable law; (ii) User\u2019s or its End-Users\u2019 use of the Service in violation of this Agreement or applicable law, including any unlawful monitoring or tracking of End-Users; (iii) User\u2019s instructions, configurations, or integration of the Service with systems, software, or data not provided by Mapsly; or (iv) User\u2019s material breach of Section 6 or Section 9, to the extent giving rise to the claim. Mapsly will: (a) promptly notify User of the claim, provided that delayed notice relieves User of its obligations only to the extent User is materially prejudiced by the delay; (b) permit User to control the defense and settlement of the claim, except that User may not settle any claim in a manner that imposes any liability, admission, or non-monetary obligation on Mapsly without Mapsly\u2019s prior written consent; and (c) provide reasonable cooperation in the defense at User\u2019s expense.<\/p>\n\n

13. \u7ba1\u8f96\u6cd5\u5f8b\u548c\u4ef2\u88c1<\/strong><\/h2>\n\n

THIS AGREEMENT IS GOVERNED BY THE LAWS OF DELAWARE, WITHOUT REGARD TO CONFLICT OF LAWS PRINCIPLES. THE PARTIES AGREE THAT THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS IS SPECIFICALLY EXCLUDED FROM APPLICATION TO THESE TERMS. ANY DISPUTE BETWEEN USER AND MAPSLY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL BE REFERRED TO AND FINALLY RESOLVED BY BINDING ARBITRATION BEFORE A SINGLE ARBITRATOR, ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS COMMERCIAL ARBITRATION RULES. THE SEAT OF ARBITRATION IS WILMINGTON, DELAWARE; HEARINGS MAY BE CONDUCTED REMOTELY; AND THE PROCEEDINGS SHALL BE CONDUCTED IN ENGLISH AND KEPT CONFIDENTIAL. JUDGMENT ON THE AWARD MAY BE ENTERED IN ANY COURT OF COMPETENT JURISDICTION. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES\u2019 INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING, AND THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF MORE THAN ONE USER. TO THE EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY. NOTWITHSTANDING THE FOREGOING, EITHER PARTY MAY SEEK TEMPORARY OR PRELIMINARY INJUNCTIVE RELIEF IN ANY COURT OF COMPETENT JURISDICTION TO PRESERVE THE STATUS QUO OR PROTECT ITS CONFIDENTIAL INFORMATION OR INTELLECTUAL PROPERTY PENDING ARBITRATION. THE PREVAILING PARTY IN ANY ARBITRATION OR LITIGATION IS ENTITLED TO RECOVER ITS REASONABLE ATTORNEYS\u2019 FEES AND COSTS FROM THE OTHER PARTY.<\/p>\n\n

14. \u5176\u4ed6\u6761\u6b3e<\/strong><\/h2>\n\n

14.1 \u5b8c\u6574\u534f\u8bae\u548c\u53d8\u66f4.<\/strong> \u672c\u534f\u8bae, \u5305\u62ec\u6839\u636e\u672c\u534f\u8bae\u7b7e\u7f72\u7684\u4efb\u4f55\u62a5\u4ef7, \u6784\u6210\u7528\u6237\u4e0eMapsly\u4e4b\u95f4\u5c31\u670d\u52a1\u8fbe\u6210\u7684\u5b8c\u6574\u534f\u8bae, \u5e76\u53d6\u4ee3\u548c\u66ff\u4ee3\u6240\u6709\u5148\u524d\u53ca\u540c\u671f\u7684\u534f\u8bae, \u63d0\u6848, \u8c05\u89e3\u548c\u901a\u4fe1\u2014\u65e0\u8bba\u662f\u53e3\u5934\u8fd8\u662f\u4e66\u9762\u5f62\u5f0f. \u5982\u679c\u672c\u534f\u8bae\u4e0e\u4efb\u4f55\u6b64\u7c7b\u5148\u524d\u534f\u8bae\u4e4b\u95f4\u5b58\u5728\u4efb\u4f55\u51b2\u7a81, \u5219\u4ee5\u672c\u534f\u8bae\u7684\u6761\u6b3e\u4e3a\u51c6, \u9664\u975e\u53cc\u65b9\u7b7e\u7f72\u7684\u4e66\u9762\u534f\u8bae\u4e2d\u53e6\u6709\u660e\u786e\u89c4\u5b9a\u4e14\u8be5\u4e66\u9762\u534f\u8bae\u6309\u540d\u79f0\u5f15\u7528\u672c\u534f\u8bae. \u672c\u534f\u8bae\u4e0d\u53d6\u4ee3\u53cc\u65b9\u6b64\u524d\u7b7e\u7f72\u7684\u4efb\u4f55\u4fdd\u5bc6\u6216\u4e0d\u62ab\u9732\u534f\u8bae, \u9664\u975e\u8be5\u534f\u8bae\u660e\u786e\u8bf4\u660e\u5176\u88ab\u672c\u534f\u8bae\u53d6\u4ee3; \u5982\u679c\u672c\u534f\u8bae\u548c\u8be5\u7b49\u534f\u8bae\u5747\u9002\u7528\u4e8e\u540c\u4e00\u4fdd\u5bc6\u4fe1\u606f, \u5219\u4ee5\u63d0\u4f9b\u66f4\u9ad8\u4fdd\u62a4\u7684\u6761\u6b3e\u4e3a\u51c6.<\/p>\n\n

Mapsly\u53ef\u4e0d\u65f6\u901a\u8fc7\u5728\u4ee5\u4e0b\u4f4d\u7f6e\u53d1\u5e03\u4fee\u8ba2\u7248\u672c\u6765\u4fee\u8ba2\u672c\u534f\u8bae\uff08\u7b2c13\u6761\uff0c\u7ba1\u8f96\u6cd5\u5f8b\u548c\u4ef2\u88c1\u9664\u5916\uff09 https:\/\/mapsly.com\/terms<\/a> and updating the last-modified date. An amended version applies, from the time of acceptance, to subscriptions first accepted under it. For subscriptions already in effect when an amended version is posted: (i) amendments that materially reduce User\u2019s rights or materially increase User\u2019s obligations take effect for that subscription no earlier than thirty (30) days after Mapsly notifies User of the amendment by email and\/or in-app notification, and the previously applicable version continues to govern that subscription until then; and (ii) amendments that are not material \u2014 including corrections, clarifications, and changes required to comply with applicable law \u2014 take effect upon posting. User\u2019s continued use of the Service after an amendment takes effect for User\u2019s subscription constitutes acceptance of the amended Agreement. If User does not agree to an amendment described in clause (i), User\u2019s sole and exclusive remedy is to stop using the Service and cancel the subscription pursuant to Section 11.2 before the amendment takes effect for User\u2019s subscription; if User cancels on this basis, Mapsly will refund the prepaid fees prorated for the unused portion of the then-current Billing Period. This Section does not authorize Mapsly to unilaterally modify any term expressly set forth in a mutually executed Quote or Order Form for so long as that Quote or Order Form remains in effect (see Section 14.2). Amendments to Section 13, and any other amendment or waiver not made in accordance with this Section, require the signed written consent of both Parties. Neither failure nor delay on the part of any Party in exercising any right, power, or privilege hereunder shall operate as a waiver of such right, nor shall any single or partial exercise of any such right, power, or privilege preclude any further exercise thereof or the exercise of any other right, power, or privilege.<\/p>\n\n

14.2 \u4f18\u5148\u987a\u5e8f.<\/strong> \u5982\u679c\u672c\u670d\u52a1\u6761\u6b3e\u4e0e\u53cc\u65b9\u5171\u540c\u7b7e\u7f72\u4e14\u660e\u786e\u5f15\u7528\u672c\u6761\u6b3e\u7684\u62a5\u4ef7\u5355, \u8ba2\u5355\u8868\u6216\u5176\u4ed6\u4e66\u9762\u534f\u8bae\u7684\u89c4\u5b9a\u4e4b\u95f4\u5b58\u5728\u4efb\u4f55\u51b2\u7a81, \u5219\u62a5\u4ef7\u5355\u6216\u534f\u8bae\u7684\u89c4\u5b9a\u4ec5\u5c31\u8be5\u6587\u4ef6\u6240\u8ff0\u4e8b\u9879\u4f18\u5148\u9002\u7528. \u672c\u6761\u6b3e\u7684\u6240\u6709\u5176\u4ed6\u89c4\u5b9a\u4ecd\u5177\u6709\u5b8c\u5168\u6548\u529b.<\/p>\n\n

14.3 \u72ec\u7acb\u627f\u5305\u5546.<\/strong> \u53cc\u65b9\u660e\u786e\u540c\u610f\uff0cMapsly\u548c\u7528\u6237\u5e94\u4e3a\u72ec\u7acb\u627f\u5305\u5546\uff0c\u53cc\u65b9\u4e4b\u95f4\u7684\u5173\u7cfb\u4e0d\u6784\u6210\u5408\u4f19\u3001\u5408\u8d44\u4f01\u4e1a\u6216\u4ee3\u7406\u5173\u7cfb\u3002<\/p>\n\n
