These Mapsly Terms of Service (this \u201cAgreement\u201d) are between Mapsly LLC, a California limited liability company (\u201cMapsly\u201d), and the entity on whose behalf these Terms of Service are accepted or, if they are not accepted on behalf of an entity, the individual accepting them (\u201cUser\u201d), collectively referred to as the \u201cParties\u201d and individually as the \u201cParty\u201d. By accessing or using the Service, registering for an account, or clicking to accept these Terms of Service, User agrees to be bound by this Agreement. Quotes and order forms (collectively, \u201cQuotes\u201d) executed between Mapsly and User shall be governed by this Agreement. Any capitalized terms used herein but not defined shall have the meanings respectively set forth in the applicable Quote.<\/p>\n\n

1. D\u1ecbch v\u1ee5 Mapsly (\u201cD\u1ecbch v\u1ee5\u201d),<\/strong><\/h2>\n\n

1.1 The Service.<\/strong> The Service is designed to provide User with the capability to visualize location data, analyze it and use it to manage User\u2019s sales and service workforce and business. The Service is based on the Mapsly Internet-based geo-intelligence software platform (the \u201cMapsly Software\u201d) that is hosted by Mapsly or on Mapsly\u2019s behalf and accessible by User remotely through the Mapsly website and mobile applications.<\/p>\n\n

1.2 Business Use.<\/strong> The Service is intended solely for use in User\u2019s trade or business and not for personal, family, or household purposes.<\/p>\n\n

1.3 Third-Party Services.<\/strong> The Service interoperates with third-party products, platforms, and services, including CRM systems, spreadsheet platforms, and mapping and data providers (\u201cThird-Party Services\u201d). Third-Party Services are not part of the Service, and User\u2019s use of them is governed by the applicable third party\u2019s terms. Mapsly does not control Third-Party Services and is not responsible for their availability, accuracy, security, or continued interoperability with the Service. If a third party materially changes, restricts, or withdraws an API or other integration mechanism on which an integration depends, Mapsly may modify, suspend, or discontinue the affected integration without liability to User, and will use commercially reasonable efforts to notify affected Users.<\/p>\n\n

1.4 AI Features.<\/strong> Certain features of the Service use artificial intelligence or machine learning technologies, including features that generate, summarize, transcribe, or suggest content or actions (\u201cAI Features\u201d). AI Features are probabilistic in nature: outputs may be inaccurate, incomplete, or unsuitable for User\u2019s purposes, and may vary for similar inputs. User is responsible for configuring, authorizing, reviewing, and supervising AI Features, and remains solely responsible for outputs generated and actions taken through the Service on User\u2019s behalf \u2014 including communications sent, transactions or workflows initiated, and data created, modified, or deleted in User\u2019s systems. AI Features are provided \u201cas is\u201d and may be modified, supplemented, or discontinued over time. Mapsly does not use User Data or User\u2019s Confidential Information to train generalized artificial intelligence or machine learning models; User Data may be processed by AI model providers acting as Mapsly\u2019s sub-processors solely to provide the Service to User. Where User elects to use its own AI provider account or API keys with the Service, User\u2019s relationship with that provider is governed solely by User\u2019s agreement with that provider; User is responsible for all fees charged by the provider, and Mapsly is not responsible for the provider\u2019s availability, performance, or acts or omissions. As between Mapsly and User, to the extent Mapsly acquires any right, title, or interest in output generated by AI Features for User, Mapsly assigns such rights to User, subject to applicable law and applicable third-party provider terms. AI-generated output may not be unique, and other users may receive the same or similar output. Mapsly does not represent that AI-generated output is copyrightable, exclusively owned, or free of third-party rights. AI usage performed through User\u2019s own AI provider credentials is not charged by Mapsly and does not draw on the AI Allowance or Credits described in Sections 3.11 and 3.12; Mapsly may meter such usage for display and for the purposes of Section 6.7. AI Features may be made available on a limited-availability or beta basis \u2014 including activation by Mapsly on request \u2014 and Mapsly may limit their availability by plan, region, or otherwise; nothing in this Agreement commits Mapsly to make any AI Feature generally available.<\/p>\n\n

2. C\u1ea5p gi\u1ea5y ph\u00e9p v\u00e0 s\u1eed d\u1ee5ng Service<\/strong><\/h2>\n\n

2.1 C\u1ea5p gi\u1ea5y ph\u00e9p.<\/strong> Theo Th\u1ecfa thu\u1eadn n\u00e0y, Mapsly c\u1ea5p cho Ng\u01b0\u1eddi d\u00f9ng m\u1ed9t quy\u1ec1n v\u00e0 gi\u1ea5y ph\u00e9p c\u00f3 gi\u1edbi h\u1ea1n, kh\u00f4ng th\u1ec3 chuy\u1ec3n nh\u01b0\u1ee3ng, kh\u00f4ng \u0111\u1ed9c quy\u1ec1n, kh\u00f4ng th\u1ec3 c\u1ea5p ph\u00e9p l\u1ea1i \u0111\u1ec3 truy c\u1eadp v\u00e0 s\u1eed d\u1ee5ng D\u1ecbch v\u1ee5 trong Th\u1eddi h\u1ea1n c\u1ee7a Th\u1ecfa thu\u1eadn n\u00e0y (\u201cLicense\u201d) tr\u1eeb khi b\u1ecb ch\u1ea5m d\u1ee9t s\u1edbm h\u01a1n.<\/p>\n\n

2.2 Vi\u1ec7c s\u1eed d\u1ee5ng b\u1edfi nh\u00e2n vi\u00ean v\u00e0 nh\u00e0 th\u1ea7u c\u1ee7a Ng\u01b0\u1eddi d\u00f9ng.<\/strong> Ng\u01b0\u1eddi d\u00f9ng c\u00f3 th\u1ec3 cho ph\u00e9p nh\u00e2n vi\u00ean v\u00e0 nh\u00e0 th\u1ea7u c\u1ee7a m\u00ecnh (g\u1ecdi chung l\u00e0 \u201cNg\u01b0\u1eddi d\u00f9ng cu\u1ed1i\u201d) truy c\u1eadp D\u1ecbch v\u1ee5, tu\u00e2n th\u1ee7 c\u00e1c \u0110i\u1ec1u kho\u1ea3n D\u1ecbch v\u1ee5 n\u00e0y, ch\u1ec9 v\u00ec l\u1ee3i \u00edch c\u1ee7a Ng\u01b0\u1eddi d\u00f9ng. Ng\u01b0\u1eddi d\u00f9ng ch\u1ecbu tr\u00e1ch nhi\u1ec7m \u0111\u1ea3m b\u1ea3o Ng\u01b0\u1eddi d\u00f9ng cu\u1ed1i c\u1ee7a m\u00ecnh tu\u00e2n th\u1ee7 c\u00e1c \u0110i\u1ec1u kho\u1ea3n D\u1ecbch v\u1ee5 n\u00e0y.<\/p>\n\n

3. Thanh to\u00e1n<\/strong><\/h2>\n\n

3.1 \u0110\u0103ng k\u00fd D\u1ecbch v\u1ee5.<\/strong> D\u1ecbch v\u1ee5 tr\u1edf n\u00ean kh\u1ea3 d\u1ee5ng cho Ng\u01b0\u1eddi d\u00f9ng th\u00f4ng qua vi\u1ec7c \u0111\u0103ng k\u00fd D\u1ecbch v\u1ee5 v\u00e0 sau khi thanh to\u00e1n ph\u00ed \u0111\u0103ng k\u00fd \u00e1p d\u1ee5ng (\u201cPh\u00ed D\u1ecbch v\u1ee5\u201d). T\u1ea5t c\u1ea3 c\u00e1c kho\u1ea3n ph\u00ed ph\u1ea3i \u0111\u01b0\u1ee3c thanh to\u00e1n tr\u01b0\u1edbc v\u00e0, tr\u1eeb khi \u0111\u01b0\u1ee3c quy \u0111\u1ecbnh r\u00f5 r\u00e0ng trong Th\u1ecfa thu\u1eadn n\u00e0y ho\u1eb7c theo y\u00eau c\u1ea7u c\u1ee7a ph\u00e1p lu\u1eadt hi\u1ec7n h\u00e0nh, kh\u00f4ng \u0111\u01b0\u1ee3c ho\u00e0n l\u1ea1i v\u00e0 kh\u00f4ng \u0111\u01b0\u1ee3c ghi c\u00f3, bao g\u1ed3m c\u1ea3 ph\u00ed cho c\u00e1c g\u00f3i \u0111\u0103ng k\u00fd h\u1eb1ng n\u0103m \u0111\u01b0\u1ee3c thanh to\u00e1n tr\u01b0\u1edbc. Mapsly c\u00f3 th\u1ec3 quy\u1ebft \u0111\u1ecbnh, theo to\u00e0n quy\u1ec1n quy\u1ebft \u0111\u1ecbnh c\u1ee7a m\u00ecnh, th\u1ef1c hi\u1ec7n ho\u00e0n ti\u1ec1n ho\u1eb7c ghi c\u00f3 trong m\u1ed9t tr\u01b0\u1eddng h\u1ee3p c\u1ee5 th\u1ec3; vi\u1ec7c \u0111\u00f3 kh\u00f4ng bu\u1ed9c Mapsly ph\u1ea3i th\u1ef1c hi\u1ec7n ho\u00e0n ti\u1ec1n ho\u1eb7c ghi c\u00f3 trong b\u1ea5t k\u1ef3 tr\u01b0\u1eddng h\u1ee3p n\u00e0o kh\u00e1c v\u00e0 kh\u00f4ng c\u1ea5u th\u00e0nh vi\u1ec7c t\u1eeb b\u1ecf M\u1ee5c n\u00e0y.<\/p>\n\n

3.2 Ng\u00e0y thanh to\u00e1n v\u00e0 k\u1ef3 thanh to\u00e1n.<\/strong> D\u1ecbch v\u1ee5 \u0111\u01b0\u1ee3c t\u00ednh ph\u00ed h\u00e0ng th\u00e1ng ho\u1eb7c h\u00e0ng n\u0103m. \u0110\u1ed1i v\u1edbi g\u00f3i \u0111\u0103ng k\u00fd h\u00e0ng th\u00e1ng, \u201cNg\u00e0y thanh to\u00e1n\u201d l\u00e0 ng\u00e0y trong th\u00e1ng c\u1ee7a l\u1ea7n thanh to\u00e1n Ph\u00ed D\u1ecbch v\u1ee5 \u0111\u1ea7u ti\u00ean, v\u00e0 m\u1ed9t \u201cK\u1ef3 thanh to\u00e1n\u201d b\u1eaft \u0111\u1ea7u v\u00e0o Ng\u00e0y thanh to\u00e1n c\u1ee7a m\u1ed9t th\u00e1ng v\u00e0 k\u00e9o d\u00e0i \u0111\u1ebfn Ng\u00e0y thanh to\u00e1n c\u1ee7a th\u00e1ng ti\u1ebfp theo. \u0110\u1ed1i v\u1edbi g\u00f3i \u0111\u0103ng k\u00fd h\u00e0ng n\u0103m, Ng\u00e0y thanh to\u00e1n l\u00e0 ng\u00e0y trong n\u0103m c\u1ee7a l\u1ea7n thanh to\u00e1n \u0111\u1ea7u ti\u00ean, v\u00e0 K\u1ef3 thanh to\u00e1n b\u1eaft \u0111\u1ea7u v\u00e0o Ng\u00e0y thanh to\u00e1n c\u1ee7a m\u1ed9t n\u0103m v\u00e0 k\u00e9o d\u00e0i \u0111\u1ebfn ng\u00e0y k\u1ef7 ni\u1ec7m m\u1ed9t n\u0103m c\u1ee7a Ng\u00e0y thanh to\u00e1n. C\u00e1c g\u00f3i \u0111\u0103ng k\u00fd t\u1ef1 \u0111\u1ed9ng gia h\u1ea1n cho c\u00e1c K\u1ef3 thanh to\u00e1n li\u00ean ti\u1ebfp theo m\u1ee9c gi\u00e1 hi\u1ec7n h\u00e0nh t\u1ea1i th\u1eddi \u0111i\u1ec3m \u0111\u00f3, tr\u1eeb khi Ng\u01b0\u1eddi d\u00f9ng h\u1ee7y g\u00f3i \u0111\u0103ng k\u00fd tr\u01b0\u1edbc khi K\u1ef3 thanh to\u00e1n ti\u1ebfp theo b\u1eaft \u0111\u1ea7u. \u0110\u1ed1i v\u1edbi c\u00e1c g\u00f3i \u0111\u0103ng k\u00fd h\u00e0ng n\u0103m, Mapsly s\u1ebd g\u1eedi th\u00f4ng b\u00e1o gia h\u1ea1n \u0111\u1ebfn \u0111\u1ecba ch\u1ec9 email li\u00ean k\u1ebft v\u1edbi t\u00e0i kho\u1ea3n c\u1ee7a Ng\u01b0\u1eddi d\u00f9ng tr\u01b0\u1edbc ng\u00e0y gia h\u1ea1n.<\/p>\n\n

3.3 \u0110\u1ecbnh gi\u00e1 \u0111\u1ed9ng.<\/strong> Ph\u00ed D\u1ecbch v\u1ee5 cho m\u1ed7i th\u00e1ng \u0111\u01b0\u1ee3c x\u00e1c \u0111\u1ecbnh d\u1ef1a tr\u00ean c\u00e1c ch\u1ec9 s\u1ed1 s\u1eed d\u1ee5ng hi\u1ec7n t\u1ea1i c\u1ee7a Ng\u01b0\u1eddi d\u00f9ng (bao g\u1ed3m nh\u01b0ng kh\u00f4ng gi\u1edbi h\u1ea1n \u1edf s\u1ed1 l\u01b0\u1ee3ng ch\u1ed7 ng\u01b0\u1eddi d\u00f9ng m\u00e0 Ng\u01b0\u1eddi d\u00f9ng \u0111\u00e3 mua, kh\u1ed1i l\u01b0\u1ee3ng D\u1eef li\u1ec7u Ng\u01b0\u1eddi d\u00f9ng v\u00e0 c\u00e1c t\u00ednh n\u0103ng tr\u1ea3 ph\u00ed b\u1ed5 sung \u0111\u00e3 k\u00edch ho\u1ea1t) theo b\u1ea3ng gi\u00e1 Mapsly \u0111\u01b0\u1ee3c c\u00f4ng b\u1ed1 t\u1ea1i, https:\/\/mapsly.com\/pricing<\/a> v\u00e0 c\u00f3 th\u1ec3 thay \u0111\u1ed5i h\u00e0ng th\u00e1ng t\u00f9y theo c\u00e1c ch\u1ec9 s\u1ed1 s\u1eed d\u1ee5ng c\u1ee7a Ng\u01b0\u1eddi d\u00f9ng.<\/p>\n\n

M\u1ed7i khi Ph\u00ed D\u1ecbch v\u1ee5 \u01b0\u1edbc t\u00ednh cho th\u00e1ng t\u1edbi thay \u0111\u1ed5i, Mapsly s\u1ebd th\u00f4ng b\u00e1o cho Ng\u01b0\u1eddi d\u00f9ng qua email, tr\u1eeb khi thay \u0111\u1ed5i \u0111\u00f3 \u0111\u01b0\u1ee3c Ng\u01b0\u1eddi d\u00f9ng kh\u1edfi x\u01b0\u1edbng trong ph\u1ea7n Thanh to\u00e1n c\u1ee7a ph\u1ea7n m\u1ec1m Mapsly.<\/p>\n\n

C\u01a1 c\u1ea5u gi\u00e1, gi\u00e1 c\u1ee7a c\u00e1c t\u00ednh n\u0103ng c\u1ee5 th\u1ec3 v\u00e0 ph\u01b0\u01a1ng th\u1ee9c thanh to\u00e1n c\u00f3 th\u1ec3 \u0111\u01b0\u1ee3c c\u1eadp nh\u1eadt theo th\u1eddi gian. Nh\u1eefng thay \u0111\u1ed5i n\u00e0y s\u1ebd kh\u00f4ng \u1ea3nh h\u01b0\u1edfng \u0111\u1ebfn Ng\u01b0\u1eddi d\u00f9ng trong K\u1ef3 thanh to\u00e1n hi\u1ec7n t\u1ea1i, v\u00e0 Ng\u01b0\u1eddi d\u00f9ng s\u1ebd \u0111\u01b0\u1ee3c th\u00f4ng b\u00e1o v\u1ec1 nh\u1eefng thay \u0111\u1ed5i \u0111\u00f3 tr\u01b0\u1edbc \u00edt nh\u1ea5t 30 ng\u00e0y, ngo\u1ea1i tr\u1eeb theo quy \u0111\u1ecbnh t\u1ea1i M\u1ee5c 3.9 \u0111\u1ed1i v\u1edbi c\u00e1c thay \u0111\u1ed5i do nh\u00e0 cung c\u1ea5p b\u00ean th\u1ee9 ba \u00e1p \u0111\u1eb7t \u0111\u1ed1i v\u1edbi m\u1ee9c gi\u00e1 c\u1ee7a h\u1ecd, c\u00f3 th\u1ec3 \u00e1p d\u1ee5ng k\u1ec3 t\u1eeb th\u1eddi \u0111i\u1ec3m s\u1eed d\u1ee5ng. N\u1ebfu Mapsly v\u00e0 Ng\u01b0\u1eddi d\u00f9ng \u0111\u00e3 k\u00fd B\u00e1o gi\u00e1 v\u1edbi m\u1ee9c gi\u00e1 ri\u00eang, m\u1ee9c gi\u00e1 ri\u00eang trong B\u00e1o gi\u00e1 s\u1ebd \u0111\u01b0\u1ee3c \u01b0u ti\u00ean \u00e1p d\u1ee5ng.<\/p>\n\n

3.4 N\u00e2ng c\u1ea5p v\u00e0 h\u1ea1 c\u1ea5p.<\/strong> Khi Ng\u01b0\u1eddi d\u00f9ng n\u00e2ng c\u1ea5p l\u00ean g\u00f3i thanh to\u00e1n cao h\u01a1n ho\u1eb7c mua th\u00eam ch\u1ed7 ng\u1ed3i ng\u01b0\u1eddi d\u00f9ng, Mapsly s\u1ebd t\u00ednh ph\u00ed t\u1ef7 l\u1ec7 \u0111\u1ebfn cu\u1ed1i k\u1ef3 thanh to\u00e1n hi\u1ec7n t\u1ea1i. Khi Ng\u01b0\u1eddi d\u00f9ng h\u1ea1 c\u1ea5p xu\u1ed1ng g\u00f3i thanh to\u00e1n th\u1ea5p h\u01a1n ho\u1eb7c lo\u1ea1i b\u1ecf ch\u1ed7 ng\u1ed3i ng\u01b0\u1eddi d\u00f9ng, Ph\u00ed D\u1ecbch v\u1ee5 m\u1edbi s\u1ebd c\u00f3 hi\u1ec7u l\u1ef1c t\u1eeb chu k\u1ef3 thanh to\u00e1n ti\u1ebfp theo.<\/p>\n\n

3.5 Th\u1eddi gian d\u00f9ng th\u1eed.<\/strong> Trong m\u1ed9t kho\u1ea3ng th\u1eddi gian gi\u1edbi h\u1ea1n, Mapsly c\u00f3 th\u1ec3 \u0111\u1ec1 ngh\u1ecb Ng\u01b0\u1eddi d\u00f9ng s\u1eed d\u1ee5ng D\u1ecbch v\u1ee5 m\u00e0 kh\u00f4ng ph\u1ea3i thanh to\u00e1n (\u201cTh\u1eddi gian d\u00f9ng th\u1eed\u201d), nh\u01b0 \u0111\u01b0\u1ee3c ch\u1ec9 \u0111\u1ecbnh t\u1ea1i, https:\/\/mapsly.com\/pricing<\/a>. M\u1ed9t s\u1ed1 t\u00ednh n\u0103ng c\u1ee7a D\u1ecbch v\u1ee5 c\u00f3 th\u1ec3 kh\u00f4ng kh\u1ea3 d\u1ee5ng trong Th\u1eddi gian d\u00f9ng th\u1eed ho\u1eb7c c\u00f3 th\u1ec3 \u0111\u01b0\u1ee3c cung c\u1ea5p v\u1edbi gi\u1edbi h\u1ea1n s\u1eed d\u1ee5ng nghi\u00eam ng\u1eb7t h\u01a1n. Sau khi Th\u1eddi gian d\u00f9ng th\u1eed k\u1ebft th\u00fac Ng\u01b0\u1eddi d\u00f9ng ph\u1ea3i \u0111\u0103ng k\u00fd t\u00e0i kho\u1ea3n tr\u1ea3 ph\u00ed \u0111\u1ec3 ti\u1ebfp t\u1ee5c s\u1eed d\u1ee5ng D\u1ecbch v\u1ee5.<\/p>\n\n

3.6 T\u1ea1m ng\u01b0ng D\u1ecbch v\u1ee5.<\/strong> If any amounts owed by User for the Service are fourteen (14) or more days overdue, Mapsly may, without limiting Mapsly\u2019s other rights and remedies, suspend User\u2019s subscription and access to the Service until the overdue amounts are paid in full. Mapsly may also suspend User\u2019s access to the Service, in whole or in part, if Mapsly reasonably determines that (i) User\u2019s use of the Service violates Section 6 or poses a security risk to the Service or any third party, or (ii) continued provision of the Service to User could expose Mapsly to liability or is prohibited by applicable law. Mapsly will limit any such suspension in scope and duration to what is reasonably necessary and will restore access promptly once the grounds for suspension are cured. Suspension does not relieve User of its payment obligations, and no Service Fees will be refunded or credited for periods of suspension under this Section.<\/p>\n\n

Usage-based fees are calculated at the rates in effect at the time of consumption. Continued use of a metered feature or resource beyond an included allotment may require the purchase of additional capacity. Usage-based fees are charged as part of the Service Fee for the applicable Billing Period or, where a feature is offered on a prepaid basis, by deduction from prepaid capacity; a feature may pause when an allotment or prepaid capacity is exhausted (Section 6.6). Except for changes reflecting a change imposed by the applicable third-party provider to the provider\u2019s rate for the relevant model or service (Section 3.3), changes to usage-based rates are subject to the notice requirements of Section 3.3. Material reductions to included allotments or Published Limits (as defined in Section 6.6) applicable to a paid subscription are likewise subject to the notice requirements of Section 3.3, except where an immediate change is reasonably necessary to protect the security or integrity of the Service. Included allotments reset as published (for example, daily for routing credits and monthly for visit-planner packages) and unused allotment does not carry over. AI usage is additionally governed by Sections 3.11 through 3.13.<\/p>\n\n

The \u201cGuarantee Period\u201d is: (x) for User\u2019s first monthly subscription, thirty (30) days from the first monthly payment, covering a refund of that first monthly payment; and (y) for User\u2019s first annual subscription (including an annual subscription first purchased by a User previously subscribed monthly), ninety (90) days from the first annual payment, covering a refund of all subscription fees paid for that annual subscription. Where the applicable subscription is also User\u2019s first paid subscription, the request must in any event be made no later than one hundred eighty (180) days after User\u2019s Mapsly account was created. Trial periods do not start a Guarantee Period. Mapsly may verify that a request originates from User or, if User is an entity, from an authorized representative of User. The refund is issued to the original payment method, normally within ten (10) business days. Exercising this guarantee cancels User\u2019s subscription; access to the Service ends upon cancellation, and User Data is handled in accordance with Section 11.2 and the DPA. This guarantee: (i) may be exercised once per User, including User\u2019s affiliates, successors, and any related accounts or entities under common control or operation, across both Guarantee Periods combined, and does not apply to renewals or to subscriptions started after a prior refund under this Section; (ii) does not cover fees for professional services, purchases of Credits (Section 3.12), or other amounts under Section 3.9 to the extent consumed; for clarity, the AI Allowance (Section 3.11) has no separately refundable value and its consumption does not reduce the refund; (iii) will never exceed the amounts actually paid, net of credits or refunds already issued; and (iv) may be refused where the request follows a material violation of Section 6, fraudulent conduct, or abuse of the guarantee. Requests made after the applicable Guarantee Period will not be processed, and Section 3.1 applies.<\/p>\n\n

3.12 t\u00edn d\u1ee5ng AI.<\/strong> User may purchase AI usage credits in advance, in the packages and at the prices offered in the Service in the currency of User\u2019s subscription (\u201cCredits\u201d). AI usage draws first on the AI Allowance for the current period and then on Credits, at the rates published under Section 3.13 at the time of use. When both are exhausted, or when a budget User has configured is reached, Mapsly pauses new AI usage until the next allowance period, a further purchase, or a budget change; because metering may occur after an interaction has begun, a limited amount of usage may occur after a balance or budget is reached, and such usage does not create a charge to User or a negative balance. If User enables automatic replenishment (\u201cAutopay\u201d), User authorizes Mapsly and its payment processor to charge User\u2019s payment method on file for a package purchase in the amount User has set whenever User\u2019s Credit balance falls below the threshold User has set; each replenishment is a purchase under this Section, User may change or disable Autopay at any time in Setup with effect for future replenishments, and Mapsly will notify User\u2019s administrators when a replenishment is declined or paused. Mapsly limits the Credit balance User may hold at any time (the \u201cMax Balance\u201d), as published in the Documentation, and may set a different Max Balance for User\u2019s account; no purchase may raise User\u2019s balance above it. Credits are a prepaid entitlement to AI usage within the Service and nothing else: they are not currency, stored value, a deposit, or a gift card; they have no independently redeemable cash value and may not be redeemed or exchanged for cash except as expressly provided in this Agreement; they may not be transferred to another organization or account; and they may be used solely for AI usage within the Service. Except as provided in the next sentence, purchases of Credits are final \u2014 non-refundable whether or not consumed and not covered by the guarantee in Section 3.10 \u2014 and Section 3.1 applies. Except as otherwise expressly provided in this Agreement, Mapsly will refund User\u2019s unconsumed Credits \u2014 valued at the amounts actually paid for those Credits, as determined from Mapsly\u2019s transaction records \u2014 only if Mapsly discontinues AI Features generally, or if User cancels under Section 14.1 because of an amendment that materially and adversely changes this Section, the rates under Section 3.13, or the availability of AI Features for which the Credits were purchased. Purchased Credits do not expire for as long as User\u2019s subscription remains active and may be consumed until User\u2019s access to the Service ends under Section 11, including, after cancellation, for the remainder of the paid period; Credits remaining when access ends are forfeited without refund or compensation. Controls Mapsly provides for AI spend, such as budgets, alerts, and limits, are conveniences; they do not relieve User of responsibility for activity initiated through User\u2019s account (Section 6.3), and usage after a balance or budget is reached is treated as described above.<\/p>\n\n

3.13 M\u1ee9c ph\u00ed s\u1eed d\u1ee5ng AI.<\/strong> Mapsly c\u00f4ng b\u1ed1 c\u00e1c m\u1ee9c gi\u00e1 m\u00e0 vi\u1ec7c s\u1eed d\u1ee5ng AI s\u1ebd tr\u1eeb v\u00e0o AI Allowance v\u00e0 Credits \u2014 \u0111\u01b0\u1ee3c bi\u1ec3u th\u1ecb b\u1eb1ng Credits tr\u00ean m\u1ed7i \u0111\u01a1n v\u1ecb ti\u00eau th\u1ee5 v\u00e0 thay \u0111\u1ed5i theo m\u00f4 h\u00ecnh v\u00e0 ch\u1ee9c n\u0103ng \u2014 trong D\u1ecbch v\u1ee5 v\u00e0 trong T\u00e0i li\u1ec7u (\u201cRate Card\u201d). 4. Cam k\u1ebft th\u1eddi gian ho\u1ea1t \u0111\u1ed9ng c\u1ee7a d\u1ecbch v\u1ee5<\/strong><\/h2>\n\n

4.1 B\u1ea3o tr\u00ec.<\/strong> Mapsly th\u1ec9nh tho\u1ea3ng c\u00f3 th\u1ec3 th\u1ef1c hi\u1ec7n b\u1ea3o tr\u00ec theo l\u1ecbch, n\u00e2ng c\u1ea5p h\u1ec7 th\u1ed1ng v\u00e0 c\u1ea3i ti\u1ebfn c\u01a1 s\u1edf h\u1ea1 t\u1ea7ng \u0111\u1ec3 duy tr\u00ec v\u00e0 n\u00e2ng cao D\u1ecbch v\u1ee5, \u0111i\u1ec1u n\u00e0y c\u00f3 th\u1ec3 y\u00eau c\u1ea7u D\u1ecbch v\u1ee5 t\u1ea1m th\u1eddi kh\u00f4ng kh\u1ea3 d\u1ee5ng. (A) do B\u1ea3o tr\u00ec theo l\u1ecbch, trong th\u1eddi gian \u0111\u00f3 Mapsly cung c\u1ea5p th\u00f4ng b\u00e1o tr\u01b0\u1edbc \u00edt nh\u1ea5t b\u1ed1n m\u01b0\u01a1i t\u00e1m (48) gi\u1edd qua tin nh\u1eafn trong \u1ee9ng d\u1ee5ng ho\u1eb7c email;<\/p>\n\n

(B) do b\u1ea3o tr\u00ec kh\u1ea9n c\u1ea5p c\u1ea7n thi\u1ebft \u0111\u1ec3 b\u1ea3o v\u1ec7 t\u00ednh to\u00e0n v\u1eb9n ho\u1eb7c b\u1ea3o m\u1eadt c\u1ee7a h\u1ec7 th\u1ed1ng;<\/p>\n\n

(C) do c\u00e1c y\u1ebfu t\u1ed1 n\u1eb1m ngo\u00e0i ph\u1ea1m vi ki\u1ec3m so\u00e1t h\u1ee3p l\u00fd c\u1ee7a Mapsly g\u00e2y ra, bao g\u1ed3m nh\u01b0ng kh\u00f4ng gi\u1edbi h\u1ea1n \u1edf c\u00e1c s\u1ef1 ki\u1ec7n b\u1ea5t kh\u1ea3 kh\u00e1ng, h\u00e0nh vi c\u1ee7a ch\u00ednh ph\u1ee7, gi\u00e1n \u0111o\u1ea1n internet tr\u00ean di\u1ec7n r\u1ed9ng ho\u1eb7c l\u1ed7i c\u1ee7a nh\u00e0 cung c\u1ea5p d\u1ecbch v\u1ee5 l\u01b0u tr\u1eef ho\u1eb7c t\u00edch h\u1ee3p b\u00ean th\u1ee9 ba;<\/p>\n\n

(D) do h\u1ec7 th\u1ed1ng, ph\u1ea7n m\u1ec1m, m\u1ea1ng, quy\u1ec1n truy c\u1eadp internet c\u1ee7a Ng\u01b0\u1eddi d\u00f9ng ho\u1eb7c vi\u1ec7c s\u1eed d\u1ee5ng sai m\u1ee5c \u0111\u00edch D\u1ecbch v\u1ee5 vi ph\u1ea1m Th\u1ecfa thu\u1eadn n\u00e0y g\u00e2y ra; ho\u1eb7c,<\/p>\n\n

4.4 T\u1ef7 l\u1ec7 th\u1eddi gian ho\u1ea1t \u0111\u1ed9ng h\u1eb1ng th\u00e1ng.<\/strong> Mapsly s\u1ebd n\u1ed7 l\u1ef1c h\u1ee3p l\u00fd v\u1ec1 m\u1eb7t th\u01b0\u01a1ng m\u1ea1i \u0111\u1ec3 cung c\u1ea5p D\u1ecbch v\u1ee5 v\u1edbi T\u1ef7 l\u1ec7 th\u1eddi gian ho\u1ea1t \u0111\u1ed9ng h\u00e0ng th\u00e1ng \u00edt nh\u1ea5t l\u00e0 99.0% (\u201cCam k\u1ebft d\u1ecbch v\u1ee5 t\u1ed1i thi\u1ec3u\u201d), \u0111\u01b0\u1ee3c \u0111o trong t\u1eebng th\u00e1ng d\u01b0\u01a1ng l\u1ecbch. 4.5 T\u00edn d\u1ee5ng d\u1ecbch v\u1ee5.<\/strong> N\u1ebfu cam k\u1ebft th\u1eddi gian ho\u1ea1t \u0111\u1ed9ng \u00e1p d\u1ee5ng theo M\u1ee5c 4.4 kh\u00f4ng \u0111\u01b0\u1ee3c \u0111\u00e1p \u1ee9ng trong hai (2) th\u00e1ng d\u01b0\u01a1ng l\u1ecbch li\u00ean ti\u1ebfp, Ng\u01b0\u1eddi d\u00f9ng c\u00f3 th\u1ec3 y\u00eau c\u1ea7u m\u1ed9t kho\u1ea3n t\u00edn d\u1ee5ng d\u1ecbch v\u1ee5 t\u01b0\u01a1ng \u0111\u01b0\u01a1ng m\u1ed9t tu\u1ea7n Ph\u00ed D\u1ecbch v\u1ee5 \u0111\u01b0\u1ee3c t\u00ednh theo t\u1ef7 l\u1ec7.<\/p>\n\n

4.6 \u0110i\u1ec1u ki\u1ec7n nh\u1eadn T\u00edn d\u1ee5ng D\u1ecbch v\u1ee5.<\/strong> \u0110\u1ec3 \u0111\u1ee7 \u0111i\u1ec1u ki\u1ec7n nh\u1eadn T\u00edn d\u1ee5ng D\u1ecbch v\u1ee5, Ng\u01b0\u1eddi d\u00f9ng ph\u1ea3i g\u1eedi y\u00eau c\u1ea7u b\u1eb1ng v\u0103n b\u1ea3n \u0111\u1ebfn \u0111\u1ed9i ng\u0169 h\u1ed7 tr\u1ee3 c\u1ee7a Mapsly t\u1ea1i, support@mapsly.com<\/a> trong v\u00f2ng 15 ng\u00e0y theo l\u1ecbch sau khi k\u1ebft th\u00fac th\u00e1ng b\u1ecb \u1ea3nh h\u01b0\u1edfng th\u1ee9 hai, bao g\u1ed3m:

\u2022 S\u1ebd \u0111\u01b0\u1ee3c \u00e1p d\u1ee5ng cho c\u00e1c h\u00f3a \u0111\u01a1n \u0111\u0103ng k\u00fd trong t\u01b0\u01a1ng lai,
\u2022 Kh\u00f4ng th\u1ec3 chuy\u1ec3n nh\u01b0\u1ee3ng, kh\u00f4ng \u0111\u01b0\u1ee3c ho\u00e0n ti\u1ec1n, v\u00e0 kh\u00f4ng th\u1ec3 quy \u0111\u1ed5i th\u00e0nh ti\u1ec1n m\u1eb7t.<\/p>\n\n

4.7 Exclusive Remedy.<\/strong> The credit described above constitutes User\u2019s sole and exclusive remedy for Mapsly\u2019s failure to meet the applicable uptime commitment under Section 4.4.<\/p>\n\n

5. D\u1eef li\u1ec7u ng\u01b0\u1eddi d\u00f9ng; d\u1eef li\u1ec7u t\u1ed5ng h\u1ee3p<\/strong><\/h2>\n\n

5.1 User Data.<\/strong> T\u1ea5t c\u1ea3 d\u1eef li\u1ec7u do Ng\u01b0\u1eddi d\u00f9ng t\u1ea3i l\u00ean Mapsly Software ho\u1eb7c \u0111\u01b0\u1ee3c t\u1ea1o trong \u0111\u00f3 (\u201cD\u1eef li\u1ec7u Ng\u01b0\u1eddi d\u00f9ng\u201d) v\u1eabn l\u00e0 t\u00e0i s\u1ea3n c\u1ee7a Ng\u01b0\u1eddi d\u00f9ng. Ng\u01b0\u1eddi d\u00f9ng s\u1edf h\u1eefu t\u1ea5t c\u1ea3 c\u00e1c quy\u1ec1n, quy\u1ec1n s\u1edf h\u1eefu v\u00e0 l\u1ee3i \u00edch \u0111\u1ed1i v\u1edbi D\u1eef li\u1ec7u Ng\u01b0\u1eddi d\u00f9ng. \u0110\u1ea7u ra do AI t\u1ea1o ra ch\u1ecbu s\u1ef1 \u0111i\u1ec1u ch\u1ec9nh c\u1ee7a M\u1ee5c 1.4. Trong Th\u1eddi h\u1ea1n, Ng\u01b0\u1eddi d\u00f9ng c\u1ea5p cho Mapsly quy\u1ec1n v\u00e0 gi\u1ea5y ph\u00e9p tr\u00ean to\u00e0n th\u1ebf gi\u1edbi, kh\u00f4ng \u0111\u1ed9c quy\u1ec1n, mi\u1ec5n ph\u00ed b\u1ea3n quy\u1ec1n, kh\u00f4ng th\u1ec3 c\u1ea5p ph\u00e9p l\u1ea1i (tr\u1eeb khi c\u1ea7n thi\u1ebft \u0111\u1ec3 cung c\u1ea5p D\u1ecbch v\u1ee5) \u0111\u1ec3 truy c\u1eadp v\u00e0 s\u1eed d\u1ee5ng D\u1eef li\u1ec7u Ng\u01b0\u1eddi d\u00f9ng nh\u1eb1m cung c\u1ea5p D\u1ecbch v\u1ee5 cho Ng\u01b0\u1eddi d\u00f9ng v\u00e0 gi\u00e1m s\u00e1t c\u0169ng nh\u01b0 c\u1ea3i thi\u1ec7n D\u1ecbch v\u1ee5. D\u1eef li\u1ec7u Ng\u01b0\u1eddi d\u00f9ng kh\u00f4ng bao g\u1ed3m th\u00f4ng tin t\u00e0i kho\u1ea3n, x\u00e1c th\u1ef1c, thanh to\u00e1n, h\u1ed7 tr\u1ee3, \u0111o t\u1eeb xa v\u00e0 s\u1eed d\u1ee5ng m\u00e0 Mapsly x\u1eed l\u00fd v\u1edbi t\u01b0 c\u00e1ch l\u00e0 b\u00ean ki\u1ec3m so\u00e1t \u0111\u1ed9c l\u1eadp, nh\u01b0 \u0111\u01b0\u1ee3c m\u00f4 t\u1ea3 trong Ch\u00ednh s\u00e1ch Quy\u1ec1n ri\u00eang t\u01b0.<\/p>\n\n

Ng\u01b0\u1eddi d\u00f9ng ph\u1ea3i sao l\u01b0u D\u1eef li\u1ec7u ng\u01b0\u1eddi d\u00f9ng trong th\u1eddi h\u1ea1n c\u1ee7a Th\u1ecfa thu\u1eadn n\u00e0y v\u00e0 c\u00f3 th\u1ec3 s\u1ebd kh\u00f4ng \u0111\u01b0\u1ee3c truy c\u1eadp D\u1eef li\u1ec7u ng\u01b0\u1eddi d\u00f9ng qua D\u1ecbch v\u1ee5 sau khi h\u1ee7y \u0111\u0103ng k\u00fd D\u1ecbch v\u1ee5 ho\u1eb7c n\u1ebfu Th\u1ecfa thu\u1eadn b\u1ecb ch\u1ea5m d\u1ee9t theo c\u00e1ch kh\u00e1c.<\/p>\n\n

5.2 Privacy Policy.<\/strong> Ch\u00ednh s\u00e1ch Quy\u1ec1n ri\u00eang t\u01b0 c\u1ee7a Mapsly (\u201cCh\u00ednh s\u00e1ch Quy\u1ec1n ri\u00eang t\u01b0\u201d), c\u00f3 t\u1ea1i, https:\/\/mapsly.com\/privacy-policy<\/a>, describes how Mapsly processes personal information as an independent controller, including account, authentication, billing, support, usage, website, and marketing information. Mapsly\u2019s processing of personal data on User\u2019s behalf is governed by the DPA (Section 5.4), not the Privacy Policy. User acknowledges the Privacy Policy and that Mapsly may update it as described therein.<\/p>\n\n

5.3 Statistical Data.<\/strong> Mapsly c\u00f3 th\u1ec3 thu th\u1eadp, ph\u00e1t tri\u1ec3n, t\u1ea1o, tr\u00edch xu\u1ea5t, bi\u00ean so\u1ea1n, t\u1ed5ng h\u1ee3p v\u00e0 ph\u00e2n t\u00edch s\u1ed1 li\u1ec7u th\u1ed1ng k\u00ea, \u0111i\u1ec3m chu\u1ea9n, th\u01b0\u1edbc \u0111o v\u00e0 th\u00f4ng tin kh\u00e1c (\u201cD\u1eef li\u1ec7u th\u1ed1ng k\u00ea\u201d) d\u1ef1a tr\u00ean D\u1eef li\u1ec7u ng\u01b0\u1eddi d\u00f9ng l\u00e0:

Such \u201cStatistical Data\u201d will be owned solely by Mapsly and may be used for any lawful business purpose without a duty of accounting to User. Mapsly will not attempt to re-identify Statistical Data.<\/p>\n\n

5.4 Data Processing Addendum.<\/strong> To the extent Mapsly processes personal data on behalf of User in providing the Service, the Mapsly Data Processing Addendum available at https:\/\/mapsly.com\/dpa<\/a> (the \u201cDPA\u201d) is incorporated into and forms part of this Agreement. With respect to the processing of personal data, in the event of a conflict: (i) the Standard Contractual Clauses (as defined in the DPA) control to the extent required by their terms; (ii) the DPA controls over these Terms of Service; and (iii) for all matters other than the processing of personal data, these Terms of Service control.<\/p>\n\n

6. Ngh\u0129a v\u1ee5 c\u1ee7a ng\u01b0\u1eddi d\u00f9ng<\/strong><\/h2>\n\n

6.1 Acceptable Use Policy.<\/strong> Ng\u01b0\u1eddi d\u00f9ng kh\u00f4ng \u0111\u01b0\u1ee3c:

6.5 Export Control and Sanctions.<\/strong> User represents and warrants that User (i) is not located in, organized under the laws of, or ordinarily resident in any country or territory that is subject to comprehensive sanctions administered by the United States (including by the Office of Foreign Assets Control), the European Union, or the United Kingdom; (ii) is not identified on any applicable government list of prohibited, denied, or restricted parties; and (iii) will not use or access the Service, or permit any End-User to use or access the Service, in violation of any applicable export control or sanctions laws.<\/p>\n\n

Mapsly may enforce Published Limits automatically, including by rate-limiting, pausing, or declining the affected feature when a limit or allotment is reached; Section 3.9 governs fees for usage beyond included allotments. For features and resources without Published Limits, User\u2019s consumption must remain within reasonable volumes consistent with ordinary business use of the Service by comparable customers. Mapsly may apply technical measures, such as rate limits, to protect the integrity and performance of the Service for all customers. If User\u2019s consumption of such unmetered features materially exceeds reasonable volumes or imposes a disproportionate load or cost on the Service, Mapsly will notify User and the Parties will discuss in good faith an appropriate plan, limit, or fee adjustment; Mapsly may throttle the excess consumption if it continues more than ten (10) business days after notice. This Section does not limit Mapsly\u2019s rights under Sections 3.6 and 6.1.<\/p>\n\n

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WHATSOEVER SHALL EITHER MAPSLY OR ITS AFFILIATES, OR THEIR RESPECTIVE EMPLOYEES, OFFICERS, SHAREHOLDERS, AGENTS, LICENSORS OR REPRESENTATIVES, NOR USER OR ITS AFFILIATES, OR THEIR RESPECTIVE EMPLOYEES, OFFICERS, SHAREHOLDERS, AGENTS, LICENSORS OR REPRESENTATIVES, BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUE, INCLUDING BUT NOT LIMITED TO LOSS OF SALES, DATA, PROFIT, REVENUE, GOODWILL, BUSINESS INTERRUPTION, LOSS OF INFORMATION OR UNAUTHORIZED ACCESS TO INFORMATION AND THE LIKE, EVEN IF EITHER PARTY OR AN AFFILIATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL EITHER PARTY OR ITS AFFILIATES BE LIABLE TO THE OTHER PARTY FOR AN AMOUNT IN EXCESS OF THE TOTAL MONETARY AMOUNT ACTUALLY RECEIVED BY MAPSLY FROM USER FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT WHICH GAVE RISE TO THE CLAIM. THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION DO NOT APPLY TO: (I) USER\u2019S OBLIGATION TO PAY FEES AND TAXES DUE UNDER THIS AGREEMENT; (II) USER\u2019S INDEMNIFICATION OBLIGATIONS UNDER SECTION 12.2; (III) USER\u2019S BREACH OF SECTION 6.1 (ACCEPTABLE USE POLICY) OR USE OF THE SERVICE IN VIOLATION OF APPLICABLE LAW; OR (IV) USER\u2019S BREACH OF SECTION 9 (MUTUAL CONFIDENTIALITY). User\u2019s Confidential Information includes, without limitation, User Data.<\/p>\n\n

\u2022 information independently developed by the Recipient without using or referring to the Discloser\u2019s Confidential Information.<\/p>\n\n

9.3 Protection of Confidential Information.<\/strong> The Recipient may only use the Discloser\u2019s Confidential Information in relation to this Agreement. The Recipient shall maintain the confidentiality of the Discloser\u2019s Confidential Information with at least the same degree of care that it uses to protect its own confidential and proprietary information, implement reasonable administrative, physical, and technical safeguards, and no less than a reasonable degree of care. The Recipient shall not disclose any of the Discloser\u2019s Confidential Information except to the Recipient\u2019s employees, contractors, agents, and professional advisers who have a need to know the information to exercise the Recipient\u2019s rights or perform the Recipient\u2019s obligations under this Agreement, in which case Recipient shall cause these recipients to agree to and abide by commercially reasonable confidentiality terms. The obligations in this Section 9 survive for five (5) years after termination of this Agreement, except that obligations with respect to trade secrets continue for as long as the information remains a trade secret under applicable law, and obligations with respect to personal data continue as required by the DPA and applicable law.<\/p>\n\n

10. B\u1ea3o l\u01b0u quy\u1ec1n<\/strong><\/h2>\n\n

Ph\u1ea7n m\u1ec1m, quy tr\u00ecnh l\u00e0m vi\u1ec7c, giao di\u1ec7n ng\u01b0\u1eddi d\u00f9ng, thi\u1ebft k\u1ebf, ki\u1ebfn th\u1ee9c chuy\u00ean m\u00f4n v\u00e0 c\u00e1c c\u00f4ng ngh\u1ec7 kh\u00e1c do Mapsly cung c\u1ea5p nh\u01b0 m\u1ed9t ph\u1ea7n c\u1ee7a D\u1ecbch v\u1ee5 l\u00e0 t\u00e0i s\u1ea3n \u0111\u1ed9c quy\u1ec1n c\u1ee7a Mapsly v\u00e0 c\u00e1c nh\u00e0 c\u1ea5p ph\u00e9p c\u1ee7a Mapsly, v\u00e0 t\u1ea5t c\u1ea3 c\u00e1c quy\u1ec1n, ch\u1ee7 quy\u1ec1n v\u00e0 l\u1ee3i \u00edch \u0111\u1ed1i v\u1edbi c\u00e1c m\u1ee5c n\u00e0y, bao g\u1ed3m t\u1ea5t c\u1ea3 c\u00e1c quy\u1ec1n s\u1edf h\u1eefu tr\u00ed tu\u1ec7 li\u00ean quan, \u0111\u1ec1u thu\u1ed9c s\u1edf h\u1eefu duy nh\u1ea5t c\u1ee7a Mapsly. Mapsly b\u1ea3o l\u01b0u m\u1ecdi quy\u1ec1n tr\u1eeb khi \u0111\u01b0\u1ee3c Quy \u0111\u1ecbnh n\u00e0y \u1ee7y quy\u1ec1n r\u00f5 r\u00e0ng.<\/p>\n\n

11. Th\u1eddi h\u1ea1n v\u00e0 ch\u1ea5m d\u1ee9t<\/strong><\/h2>\n\n

11.1 Th\u1eddi h\u1ea1n.<\/strong> This Agreement starts when User accepts these Terms of Service and continues until the end of the paid period after the subscription to Service has been canceled, unless the Agreement is terminated earlier by either Party.<\/p>\n\n

11.2 Cancellation of Service by User.<\/strong> User may terminate this Agreement by canceling the subscription to Service at any time, without providing notice. After the subscription has been canceled, User may continue to use the Service until the end of the paid period, after which the Agreement is terminated. User is not charged after the date of cancellation but is responsible for all charges incurred up until the date of cancellation. Mapsly is not obligated to refund any of the already paid fees. After this Agreement is terminated, User can no longer access User Data via the Service. User is responsible for exporting User Data before this Agreement terminates. Following termination, Mapsly will delete User Data in accordance with the DPA, no later than ninety (90) days after termination, except to the extent applicable law requires retention. Mapsly may, but is not obligated to, provide reasonable assistance with the export of User Data during that period at Mapsly\u2019s then-current rates.<\/p>\n\n

11.3 Ch\u1ea5m d\u1ee9t v\u00ec l\u00fd do ch\u00ednh \u0111\u00e1ng.<\/strong> Either Party may terminate the Agreement with immediate effect and without incurring any additional liability by serving written notice, if: (i) the other Party files a petition for bankruptcy or is adjudicated as bankrupt; (ii) a petition in bankruptcy is filed against the other Party and such petition is not removed or resolved within thirty (30) calendar days; (iii) the other Party makes an assignment for the benefit of its creditors or an arrangement for its creditors pursuant to bankruptcy law; (iv) the other Party discontinues its business; (v) a receiver is appointed over all or substantially all of the other Party\u2019s assets or business; or (vi) the other Party is dissolved or liquidated.<\/p>\n\n

11.4 Ch\u1ea5m d\u1ee9t b\u1edfi Mapsly.<\/strong> Mapsly c\u00f3 th\u1ec3 ch\u1ea5m d\u1ee9t Th\u1ecfa thu\u1eadn n\u00e0y v\u1edbi hi\u1ec7u l\u1ef1c ngay l\u1eadp t\u1ee9c b\u1eb1ng th\u00f4ng b\u00e1o b\u1eb1ng v\u0103n b\u1ea3n n\u1ebfu vi ph\u1ea1m Th\u1ecfa thu\u1eadn n\u00e0y c\u1ee7a Ng\u01b0\u1eddi d\u00f9ng li\u00ean quan \u0111\u1ebfn h\u00e0nh vi tr\u00e1i ph\u00e1p lu\u1eadt, gian l\u1eadn, vi ph\u1ea1m M\u1ee5c 6.5 (Ki\u1ec3m so\u00e1t xu\u1ea5t kh\u1ea9u v\u00e0 Tr\u1eebng ph\u1ea1t), r\u1ee7i ro b\u1ea3o m\u1eadt tr\u1ecdng y\u1ebfu \u0111\u1ed1i v\u1edbi D\u1ecbch v\u1ee5 ho\u1eb7c b\u1ea5t k\u1ef3 b\u00ean th\u1ee9 ba n\u00e0o, ho\u1eb7c vi ph\u1ea1m kh\u00f4ng th\u1ec3 kh\u1eafc ph\u1ee5c. \u0110\u1ed1i v\u1edbi b\u1ea5t k\u1ef3 vi ph\u1ea1m tr\u1ecdng y\u1ebfu n\u00e0o kh\u00e1c c\u1ee7a Ng\u01b0\u1eddi d\u00f9ng, Mapsly c\u00f3 th\u1ec3 ch\u1ea5m d\u1ee9t Th\u1ecfa thu\u1eadn n\u00e0y n\u1ebfu vi ph\u1ea1m v\u1eabn ch\u01b0a \u0111\u01b0\u1ee3c kh\u1eafc ph\u1ee5c sau ba m\u01b0\u01a1i (30) ng\u00e0y k\u1ec3 t\u1eeb khi Mapsly cung c\u1ea5p th\u00f4ng b\u00e1o b\u1eb1ng v\u0103n b\u1ea3n m\u00f4 t\u1ea3 vi ph\u1ea1m; Mapsly c\u00f3 th\u1ec3 t\u1ea1m ng\u01b0ng quy\u1ec1n truy c\u1eadp c\u1ee7a Ng\u01b0\u1eddi d\u00f9ng theo M\u1ee5c 3.6 trong khi vi ph\u1ea1m b\u1ecb nghi ng\u1edd \u0111ang \u0111\u01b0\u1ee3c \u0111i\u1ec1u tra ho\u1eb7c kh\u1eafc ph\u1ee5c. Vi\u1ec7c Mapsly ch\u1ea5m d\u1ee9t theo M\u1ee5c n\u00e0y kh\u00f4ng cho Ng\u01b0\u1eddi d\u00f9ng quy\u1ec1n \u0111\u01b0\u1ee3c ho\u00e0n l\u1ea1i b\u1ea5t k\u1ef3 kho\u1ea3n ph\u00ed tr\u1ea3 tr\u01b0\u1edbc n\u00e0o, v\u00e0 b\u1ea5t k\u1ef3 kho\u1ea3n ph\u00ed n\u00e0o \u0111\u00e3 ph\u00e1t sinh nh\u01b0ng ch\u01b0a thanh to\u00e1n t\u00ednh \u0111\u1ebfn ng\u00e0y ch\u1ea5m d\u1ee9t s\u1ebd \u0111\u1ebfn h\u1ea1n v\u00e0 ph\u1ea3i thanh to\u00e1n ngay l\u1eadp t\u1ee9c.<\/p>\n\n

11.5 Hi\u1ec7u l\u1ef1c c\u1ee7a vi\u1ec7c ch\u1ea5m d\u1ee9t.<\/strong> Vi\u1ec7c ch\u1ea5m d\u1ee9t Th\u1ecfa thu\u1eadn n\u00e0y s\u1ebd kh\u00f4ng gi\u1ea3i ph\u00f3ng B\u00ean n\u00e0o kh\u1ecfi tr\u00e1ch nhi\u1ec7m v\u1ec1 vi ph\u1ea1m th\u1ecfa thu\u1eadn n\u00e0y.<\/p>\n\n

12. B\u1ed3i th\u01b0\u1eddng<\/strong><\/h2>\n\n

12.1 B\u1ed3i th\u01b0\u1eddng c\u1ee7a Mapsly.<\/strong><\/p>\n\n

Chung.<\/strong> Mapsly s\u1ebd b\u1ea3o v\u1ec7 ho\u1eb7c gi\u1ea3i quy\u1ebft b\u1ea5t k\u1ef3 khi\u1ebfu n\u1ea1i n\u00e0o c\u1ee7a b\u00ean th\u1ee9 ba ch\u1ed1ng l\u1ea1i Ng\u01b0\u1eddi d\u00f9ng trong ph\u1ea1m vi khi\u1ebfu n\u1ea1i \u0111\u00f3 cho r\u1eb1ng ri\u00eang Ph\u1ea7n m\u1ec1m Mapsly, v\u00e0 kh\u00f4ng k\u1ebft h\u1ee3p v\u1edbi ph\u1ea7n m\u1ec1m ho\u1eb7c ph\u1ea7n c\u1ee9ng c\u1ee7a Ng\u01b0\u1eddi d\u00f9ng ho\u1eb7c c\u1ee7a b\u00ean th\u1ee9 ba, vi ph\u1ea1m ho\u1eb7c chi\u1ebfm \u0111o\u1ea1t b\u1ea3n quy\u1ec1n, b\u1eb1ng s\u00e1ng ch\u1ebf, nh\u00e3n hi\u1ec7u ho\u1eb7c quy\u1ec1n s\u1edf h\u1eefu tr\u00ed tu\u1ec7 kh\u00e1c (m\u1ed7i tr\u01b0\u1eddng h\u1ee3p, m\u1ed9t \u201cKhi\u1ebfu n\u1ea1i\u201d), t\u00f9y thu\u1ed9c v\u00e0o c\u00e1c \u0111i\u1ec1u ki\u1ec7n sau: (i) Ng\u01b0\u1eddi d\u00f9ng ph\u1ea3i th\u00f4ng b\u00e1o k\u1ecbp th\u1eddi cho Mapsly v\u1ec1 Khi\u1ebfu n\u1ea1i \u0111\u00f3; (ii) Ng\u01b0\u1eddi d\u00f9ng ph\u1ea3i cho ph\u00e9p Mapsly to\u00e0n quy\u1ec1n ki\u1ec3m so\u00e1t vi\u1ec7c b\u1ea3o v\u1ec7 v\u00e0 gi\u1ea3i quy\u1ebft Khi\u1ebfu n\u1ea1i \u0111\u00f3; v\u00e0 (iii) theo y\u00eau c\u1ea7u v\u00e0 b\u1eb1ng chi ph\u00ed c\u1ee7a Mapsly, Ng\u01b0\u1eddi d\u00f9ng ph\u1ea3i cung c\u1ea5p m\u1ecdi h\u1ed7 tr\u1ee3 h\u1ee3p l\u00fd trong vi\u1ec7c b\u1ea3o v\u1ec7 tr\u01b0\u1edbc Khi\u1ebfu n\u1ea1i \u0111\u00f3.<\/p>\n\n

Chi ph\u00ed.<\/strong> Mapsly s\u1ebd thanh to\u00e1n chi ph\u00ed b\u00e0o ch\u1eefa h\u1ee3p l\u00fd cho Khi\u1ebfu n\u1ea1i vi ph\u1ea1m ph\u00e1t sinh nh\u01b0 m\u1ed9t ph\u1ea7n ngh\u0129a v\u1ee5 n\u00eau tr\u00ean c\u1ee7a Mapsly, c\u00e1c kho\u1ea3n d\u00e0n x\u1ebfp do Mapsly th\u01b0\u01a1ng l\u01b0\u1ee3ng, v\u00e0 c\u00e1c kho\u1ea3n b\u1ed3i th\u01b0\u1eddng thi\u1ec7t h\u1ea1i do t\u00f2a \u00e1n tuy\u00ean. Mapsly s\u1ebd kh\u00f4ng ch\u1ecbu tr\u00e1ch nhi\u1ec7m v\u1edbi Ng\u01b0\u1eddi d\u00f9ng v\u1ec1 b\u1ea5t k\u1ef3 thi\u1ec7t h\u1ea1i gi\u00e1n ti\u1ebfp n\u00e0o bao g\u1ed3m nh\u01b0ng kh\u00f4ng gi\u1edbi h\u1ea1n \u1edf m\u1ea5t thu nh\u1eadp ho\u1eb7c ho\u1ea1t \u0111\u1ed9ng kinh doanh.<\/p>\n\n

Gi\u1ea3m thi\u1ec3u v\u00e0 quy tr\u00ecnh.<\/strong> N\u1ebfu b\u1ea5t k\u1ef3 Khi\u1ebfu n\u1ea1i vi ph\u1ea1m n\u00e0o nh\u01b0 v\u1eady m\u00e0 Mapsly c\u00f3 ngh\u0129a v\u1ee5 b\u1ea3o v\u1ec7 \u0111\u00e3 x\u1ea3y ra ho\u1eb7c c\u00f3 v\u1ebb c\u00f3 kh\u1ea3 n\u0103ng x\u1ea3y ra, Mapsly c\u00f3 th\u1ec3, theo to\u00e0n quy\u1ec1n quy\u1ebft \u0111\u1ecbnh c\u1ee7a m\u00ecnh: (i) s\u1eeda \u0111\u1ed5i Mapsly Software \u0111\u1ec3 khi\u1ebfn ph\u1ea7n m\u1ec1m kh\u00f4ng vi ph\u1ea1m m\u00e0 kh\u00f4ng l\u00e0m gi\u1ea3m \u0111\u00e1ng k\u1ec3 ch\u1ee9c n\u0103ng t\u1ed5ng th\u1ec3 c\u1ee7a ph\u1ea7n m\u1ec1m; (ii) c\u00f3 \u0111\u01b0\u1ee3c c\u00e1c quy\u1ec1n c\u1ea7n thi\u1ebft; ho\u1eb7c (iii) ch\u1ea5m d\u1ee9t Th\u1ecfa thu\u1eadn n\u00e0y v\u00e0 ho\u00e0n tr\u1ea3 cho Ng\u01b0\u1eddi d\u00f9ng c\u00e1c kho\u1ea3n ph\u00ed \u0111\u00e3 tr\u1ea3 tr\u01b0\u1edbc v\u00e0 ch\u01b0a s\u1eed d\u1ee5ng (n\u1ebfu kh\u00f4ng c\u00f3 t\u00f9y ch\u1ecdn n\u00e0o \u1edf tr\u00ean c\u00f3 s\u1eb5n m\u1ed9t c\u00e1ch h\u1ee3p l\u00fd).<\/p>\n\n

Lo\u1ea1i tr\u1eeb.<\/strong> C\u00e1c ngh\u0129a v\u1ee5 c\u1ee7a Mapsly n\u00eau tr\u00ean s\u1ebd kh\u00f4ng \u00e1p d\u1ee5ng n\u1ebfu m\u1ed9t Khi\u1ebfu n\u1ea1i ph\u00e1t sinh t\u1eeb: (i) vi\u1ec7c Mapsly tu\u00e2n th\u1ee7 c\u00e1c th\u00f4ng s\u1ed1 k\u1ef9 thu\u1eadt c\u1ee7a Ng\u01b0\u1eddi d\u00f9ng; (ii) c\u00f4ng ngh\u1ec7 kh\u00f4ng do Mapsly ph\u00e1t tri\u1ec3n ho\u1eb7c cung c\u1ea5p (c\u00e1c th\u00e0nh ph\u1ea7n c\u1ee7a b\u00ean th\u1ee9 ba); (iii) vi\u1ec7c s\u1eed d\u1ee5ng Mapsly k\u1ebft h\u1ee3p v\u1edbi b\u1ea5t k\u1ef3 c\u00f4ng ngh\u1ec7 n\u00e0o kh\u00e1c kh\u00f4ng do Mapsly cung c\u1ea5p khi h\u00e0nh vi vi ph\u1ea1m b\u1ecb c\u00e1o bu\u1ed9c li\u00ean quan \u0111\u1ebfn s\u1ef1 k\u1ebft h\u1ee3p \u0111\u00f3; (iv) c\u00e1c s\u1eeda \u0111\u1ed5i ho\u1eb7c thay \u0111\u1ed5i \u0111\u1ed1i v\u1edbi ph\u1ea7n m\u1ec1m Mapsly kh\u00f4ng do Mapsly th\u1ef1c hi\u1ec7n; (v) vi\u1ec7c Ng\u01b0\u1eddi d\u00f9ng ti\u1ebfp t\u1ee5c s\u1eed d\u1ee5ng Mapsly sau khi Mapsly th\u00f4ng b\u00e1o cho Ng\u01b0\u1eddi d\u00f9ng ng\u1eebng s\u1eed d\u1ee5ng D\u1ecbch v\u1ee5 v\u00ec m\u1ed9t Khi\u1ebfu n\u1ea1i; (vi) h\u1ec7 th\u1ed1ng c\u1ee7a Ng\u01b0\u1eddi d\u00f9ng; (vii) vi\u1ec7c Ng\u01b0\u1eddi d\u00f9ng vi ph\u1ea1m lu\u1eadt hi\u1ec7n h\u00e0nh ho\u1eb7c Th\u1ecfa thu\u1eadn n\u00e0y; ho\u1eb7c (viii) \u0111\u1ea7u ra c\u1ee7a T\u00ednh n\u0103ng AI.<\/p>\n\n

12.2 B\u1ed3i th\u01b0\u1eddng c\u1ee7a ng\u01b0\u1eddi d\u00f9ng.<\/strong> User will defend, indemnify, and hold harmless Mapsly and its affiliates, and their respective officers, directors, employees, agents, partners, and licensors, from and against any third-party claim, demand, or proceeding, and all resulting damages, settlements, costs, and reasonable attorneys\u2019 fees, to the extent arising out of: (i) User Data, including any claim that User Data infringes or misappropriates a third party\u2019s rights or violates applicable law; (ii) User\u2019s or its End-Users\u2019 use of the Service in violation of this Agreement or applicable law, including any unlawful monitoring or tracking of End-Users; (iii) User\u2019s instructions, configurations, or integration of the Service with systems, software, or data not provided by Mapsly; or (iv) User\u2019s material breach of Section 6 or Section 9, to the extent giving rise to the claim. Mapsly will: (a) promptly notify User of the claim, provided that delayed notice relieves User of its obligations only to the extent User is materially prejudiced by the delay; (b) permit User to control the defense and settlement of the claim, except that User may not settle any claim in a manner that imposes any liability, admission, or non-monetary obligation on Mapsly without Mapsly\u2019s prior written consent; and (c) provide reasonable cooperation in the defense at User\u2019s expense.<\/p>\n\n

13. Lu\u1eadt \u0111i\u1ec1u ch\u1ec9nh v\u00e0 tr\u1ecdng t\u00e0i<\/strong><\/h2>\n\n

THIS AGREEMENT IS GOVERNED BY THE LAWS OF DELAWARE, WITHOUT REGARD TO CONFLICT OF LAWS PRINCIPLES. THE PARTIES AGREE THAT THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS IS SPECIFICALLY EXCLUDED FROM APPLICATION TO THESE TERMS. ANY DISPUTE BETWEEN USER AND MAPSLY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL BE REFERRED TO AND FINALLY RESOLVED BY BINDING ARBITRATION BEFORE A SINGLE ARBITRATOR, ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS COMMERCIAL ARBITRATION RULES. THE SEAT OF ARBITRATION IS WILMINGTON, DELAWARE; HEARINGS MAY BE CONDUCTED REMOTELY; AND THE PROCEEDINGS SHALL BE CONDUCTED IN ENGLISH AND KEPT CONFIDENTIAL. JUDGMENT ON THE AWARD MAY BE ENTERED IN ANY COURT OF COMPETENT JURISDICTION. 14.1 To\u00e0n b\u1ed9 Th\u1ecfa thu\u1eadn v\u00e0 c\u00e1c thay \u0111\u1ed5i.<\/strong> Th\u1ecfa thu\u1eadn n\u00e0y, bao g\u1ed3m m\u1ecdi B\u00e1o gi\u00e1 \u0111\u01b0\u1ee3c k\u00fd k\u1ebft theo th\u1ecfa thu\u1eadn n\u00e0y, c\u1ea5u th\u00e0nh to\u00e0n b\u1ed9 th\u1ecfa thu\u1eadn gi\u1eefa Ng\u01b0\u1eddi d\u00f9ng v\u00e0 Mapsly li\u00ean quan \u0111\u1ebfn D\u1ecbch v\u1ee5, \u0111\u1ed3ng th\u1eddi thay th\u1ebf v\u00e0 th\u1ebf ch\u1ed7 t\u1ea5t c\u1ea3 c\u00e1c th\u1ecfa thu\u1eadn, \u0111\u1ec1 xu\u1ea5t, s\u1ef1 hi\u1ec3u bi\u1ebft v\u00e0 trao \u0111\u1ed5i tr\u01b0\u1edbc \u0111\u00f3 v\u00e0 \u0111\u1ed3ng th\u1eddi\u2014d\u00f9 b\u1eb1ng l\u1eddi n\u00f3i hay b\u1eb1ng v\u0103n b\u1ea3n. Mapsly c\u00f3 th\u1ec3 s\u1eeda \u0111\u1ed5i Th\u1ecfa thu\u1eadn n\u00e0y (ngo\u1ea1i tr\u1eeb M\u1ee5c 13, Lu\u1eadt \u0111i\u1ec1u ch\u1ec9nh v\u00e0 Tr\u1ecdng t\u00e0i) theo th\u1eddi gian b\u1eb1ng c\u00e1ch \u0111\u0103ng phi\u00ean b\u1ea3n \u0111\u00e3 s\u1eeda \u0111\u1ed5i t\u1ea1i https:\/\/mapsly.com\/terms<\/a> and updating the last-modified date. An amended version applies, from the time of acceptance, to subscriptions first accepted under it. For subscriptions already in effect when an amended version is posted: (i) amendments that materially reduce User\u2019s rights or materially increase User\u2019s obligations take effect for that subscription no earlier than thirty (30) days after Mapsly notifies User of the amendment by email and\/or in-app notification, and the previously applicable version continues to govern that subscription until then; and (ii) amendments that are not material \u2014 including corrections, clarifications, and changes required to comply with applicable law \u2014 take effect upon posting. User\u2019s continued use of the Service after an amendment takes effect for User\u2019s subscription constitutes acceptance of the amended Agreement. If User does not agree to an amendment described in clause (i), User\u2019s sole and exclusive remedy is to stop using the Service and cancel the subscription pursuant to Section 11.2 before the amendment takes effect for User\u2019s subscription; if User cancels on this basis, Mapsly will refund the prepaid fees prorated for the unused portion of the then-current Billing Period. This Section does not authorize Mapsly to unilaterally modify any term expressly set forth in a mutually executed Quote or Order Form for so long as that Quote or Order Form remains in effect (see Section 14.2). Amendments to Section 13, and any other amendment or waiver not made in accordance with this Section, require the signed written consent of both Parties. Neither failure nor delay on the part of any Party in exercising any right, power, or privilege hereunder shall operate as a waiver of such right, nor shall any single or partial exercise of any such right, power, or privilege preclude any further exercise thereof or the exercise of any other right, power, or privilege.<\/p>\n\n

T\u1ea5t c\u1ea3 c\u00e1c \u0111i\u1ec1u kho\u1ea3n kh\u00e1c c\u1ee7a c\u00e1c \u0110i\u1ec1u kho\u1ea3n n\u00e0y s\u1ebd v\u1eabn c\u00f3 hi\u1ec7u l\u1ef1c \u0111\u1ea7y \u0111\u1ee7.<\/p>\n\n

14.3 Nh\u00e0 th\u1ea7u \u0111\u1ed9c l\u1eadp.<\/strong> Hai b\u00ean \u0111\u1ed3ng \u00fd r\u00f5 r\u00e0ng r\u1eb1ng Mapsly v\u00e0 Ng\u01b0\u1eddi d\u00f9ng s\u1ebd l\u00e0 c\u00e1c nh\u00e0 th\u1ea7u \u0111\u1ed9c l\u1eadp v\u00e0 m\u1ed1i quan h\u1ec7 gi\u1eefa h\u1ecd s\u1ebd kh\u00f4ng c\u1ea5u th\u00e0nh quan h\u1ec7 \u0111\u1ed1i t\u00e1c, li\u00ean doanh ho\u1eb7c \u0111\u1ea1i l\u00fd.<\/p>\n\n

14.4 T\u00ednh t\u00e1ch bi\u1ec7t.<\/strong> Trong tr\u01b0\u1eddng h\u1ee3p b\u1ea5t k\u1ef3 \u0111i\u1ec1u kho\u1ea3n n\u00e0o c\u1ee7a Th\u1ecfa thu\u1eadn n\u00e0y \u0111\u01b0\u1ee3c x\u00e1c \u0111\u1ecbnh l\u00e0 v\u00f4 hi\u1ec7u ho\u1eb7c kh\u00f4ng th\u1ec3 th\u1ef1c thi, th\u00ec x\u00e1c \u0111\u1ecbnh \u0111\u00f3 s\u1ebd kh\u00f4ng \u1ea3nh h\u01b0\u1edfng \u0111\u1ebfn ph\u1ea7n c\u00f2n l\u1ea1i c\u1ee7a Th\u1ecfa thu\u1eadn n\u00e0y, ph\u1ea7n \u0111\u00f3 s\u1ebd ti\u1ebfp t\u1ee5c c\u00f3 hi\u1ec7u l\u1ef1c.<\/p>\n\n

14.5 B\u1ea5t kh\u1ea3 kh\u00e1ng.<\/strong> Ngo\u1ea1i tr\u1eeb vi\u1ec7c thanh to\u00e1n c\u00e1c kho\u1ea3n ti\u1ec1n, kh\u00f4ng B\u00ean n\u00e0o ch\u1ecbu tr\u00e1ch nhi\u1ec7m \u0111\u1ed1i v\u1edbi c\u00e1c s\u1ef1 ki\u1ec7n n\u1eb1m ngo\u00e0i s\u1ef1 ki\u1ec3m so\u00e1t h\u1ee3p l\u00fd c\u1ee7a m\u00ecnh, bao g\u1ed3m, nh\u01b0ng kh\u00f4ng gi\u1edbi h\u1ea1n \u1edf c\u00e1c s\u1ef1 ki\u1ec7n B\u1ea5t Kh\u1ea3 Kh\u00e1ng. \u201cB\u1ea5t Kh\u1ea3 Kh\u00e1ng\u201d c\u00f3 ngh\u0129a l\u00e0 b\u1ea5t k\u1ef3 nguy\u00ean nh\u00e2n n\u00e0o n\u1eb1m ngo\u00e0i s\u1ef1 ki\u1ec3m so\u00e1t h\u1ee3p l\u00fd c\u1ee7a m\u1ed9t B\u00ean, bao g\u1ed3m, nh\u01b0ng kh\u00f4ng gi\u1edbi h\u1ea1n \u1edf, thi\u00ean tai, h\u00e0nh \u0111\u1ed9ng ho\u1eb7c thi\u1ebfu s\u00f3t c\u1ee7a c\u00e1c c\u01a1 quan d\u00e2n s\u1ef1 ho\u1eb7c qu\u00e2n s\u1ef1 c\u1ee7a m\u1ed9t nh\u00e0 n\u01b0\u1edbc ho\u1eb7c qu\u1ed1c gia, d\u1ecbch b\u1ec7nh, \u0111\u1ea1i d\u1ecbch, h\u1ecfa ho\u1ea1n, \u0111\u00ecnh c\u00f4ng, l\u0169 l\u1ee5t, b\u1ea1o lo\u1ea1n, chi\u1ebfn tranh. Trong tr\u01b0\u1eddng h\u1ee3p c\u00f3 b\u1ea5t k\u1ef3 s\u1ef1 ch\u1eadm tr\u1ec5 \u0111\u01b0\u1ee3c mi\u1ec5n tr\u00e1ch nhi\u1ec7m n\u00e0o nh\u01b0 v\u1eady, th\u1eddi gian th\u1ef1c hi\u1ec7n c\u00e1c ngh\u0129a v\u1ee5 \u0111\u00f3 s\u1ebd \u0111\u01b0\u1ee3c gia h\u1ea1n trong m\u1ed9t kho\u1ea3ng th\u1eddi gian b\u1eb1ng v\u1edbi th\u1eddi gian b\u1ecb m\u1ea5t do s\u1ef1 ch\u1eadm tr\u1ec5. B\u00ean y\u00eau c\u1ea7u h\u01b0\u1edfng l\u1ee3i t\u1eeb \u0111i\u1ec1u kho\u1ea3n n\u00e0y ph\u1ea3i, ngay khi c\u00f3 th\u1ec3 th\u1ef1c hi\u1ec7n m\u1ed9t c\u00e1ch h\u1ee3p l\u00fd sau khi b\u1eaft \u0111\u1ea7u b\u1ea5t k\u1ef3 s\u1ef1 ki\u1ec7n B\u1ea5t Kh\u1ea3 Kh\u00e1ng n\u00e0o, (a) cung c\u1ea5p th\u00f4ng b\u00e1o b\u1eb1ng v\u0103n b\u1ea3n cho B\u00ean kia v\u1ec1 b\u1ea3n ch\u1ea5t v\u00e0 ph\u1ea1m vi c\u1ee7a b\u1ea5t k\u1ef3 t\u00ecnh tr\u1ea1ng B\u1ea5t Kh\u1ea3 Kh\u00e1ng n\u00e0o nh\u01b0 v\u1eady; v\u00e0 (b) s\u1eed d\u1ee5ng c\u00e1c n\u1ed7 l\u1ef1c h\u1ee3p l\u00fd v\u1ec1 m\u1eb7t th\u01b0\u01a1ng m\u1ea1i \u0111\u1ec3 tr\u00e1nh ho\u1eb7c lo\u1ea1i b\u1ecf b\u1ea5t k\u1ef3 nguy\u00ean nh\u00e2n n\u00e0o nh\u01b0 v\u1eady v\u00e0 ti\u1ebfp t\u1ee5c th\u1ef1c hi\u1ec7n theo Th\u1ecfa thu\u1eadn n\u00e0y ngay khi c\u00f3 th\u1ec3 th\u1ef1c hi\u1ec7n m\u1ed9t c\u00e1ch h\u1ee3p l\u00fd.<\/p>\n\n

14.6 C\u00f4ng khai.<\/strong> Mapsly c\u00f3 quy\u1ec1n hi\u1ec3n th\u1ecb t\u00ean doanh nghi\u1ec7p v\u00e0 nh\u00e3n hi\u1ec7u c\u1ee7a Ng\u01b0\u1eddi d\u00f9ng tr\u00ean trang web v\u00e0 t\u00e0i li\u1ec7u ti\u1ebfp th\u1ecb c\u1ee7a Mapsly, x\u00e1c \u0111\u1ecbnh Ng\u01b0\u1eddi d\u00f9ng l\u00e0 ng\u01b0\u1eddi \u0111\u0103ng k\u00fd D\u1ecbch v\u1ee5, tr\u1eeb khi Ng\u01b0\u1eddi d\u00f9ng th\u00f4ng b\u00e1o b\u1eb1ng v\u0103n b\u1ea3n cho Mapsly trong v\u00f2ng ba m\u01b0\u01a1i (30) ng\u00e0y k\u1ec3 t\u1eeb khi ch\u1ea5p nh\u1eadn c\u00e1c \u0110i\u1ec1u kho\u1ea3n D\u1ecbch v\u1ee5 n\u00e0y r\u1eb1ng Ng\u01b0\u1eddi d\u00f9ng kh\u00f4ng c\u1ea5p cho Mapsly c\u00e1c quy\u1ec1n \u0111\u00f3. Mapsly s\u1ebd s\u1eed d\u1ee5ng nh\u00e3n hi\u1ec7u c\u1ee7a Ng\u01b0\u1eddi d\u00f9ng theo b\u1ea5t k\u1ef3 h\u01b0\u1edbng d\u1eabn th\u01b0\u01a1ng hi\u1ec7u n\u00e0o m\u00e0 Ng\u01b0\u1eddi d\u00f9ng cung c\u1ea5p cho Mapsly v\u00e0 s\u1ebd kh\u00f4ng ph\u00e1t h\u00e0nh th\u00f4ng c\u00e1o b\u00e1o ch\u00ed, c\u00f4ng b\u1ed1 nghi\u00ean c\u1ee9u \u0111i\u1ec3n h\u00ecnh n\u00eau t\u00ean Ng\u01b0\u1eddi d\u00f9ng, ho\u1eb7c tuy\u00ean b\u1ed1 hay ng\u1ee5 \u00fd s\u1ef1 ch\u1ee9ng th\u1ef1c c\u1ee7a Ng\u01b0\u1eddi d\u00f9ng \u0111\u1ed1i v\u1edbi Mapsly n\u1ebfu kh\u00f4ng c\u00f3 s\u1ef1 \u0111\u1ed3ng \u00fd tr\u01b0\u1edbc b\u1eb1ng v\u0103n b\u1ea3n c\u1ee7a Ng\u01b0\u1eddi d\u00f9ng.<\/p>\n\n

14.7 Hi\u1ec7u l\u1ef1c ti\u1ebfp t\u1ee5c c\u1ee7a \u0110i\u1ec1u kho\u1ea3n.<\/strong> C\u00e1c M\u1ee5c 5.3, 7, 8, 9, 10, 11.5, 12, 13 v\u00e0 14, c\u00f9ng v\u1edbi m\u1ecdi ngh\u0129a v\u1ee5 thanh to\u00e1n \u0111\u00e3 ph\u00e1t sinh tr\u01b0\u1edbc khi ch\u1ea5m d\u1ee9t v\u00e0 b\u1ea5t k\u1ef3 \u0111i\u1ec1u kho\u1ea3n n\u00e0o kh\u00e1c m\u00e0 v\u1ec1 b\u1ea3n ch\u1ea5t c\u1ea7n ti\u1ebfp t\u1ee5c c\u00f3 hi\u1ec7u l\u1ef1c, s\u1ebd ti\u1ebfp t\u1ee5c c\u00f3 hi\u1ec7u l\u1ef1c sau khi ch\u1ea5m d\u1ee9t ho\u1eb7c h\u1ebft h\u1ea1n Th\u1ecfa thu\u1eadn n\u00e0y.<\/p>\n\n

14.8 Ph\u1ea3n h\u1ed3i.<\/strong> N\u1ebfu Ng\u01b0\u1eddi d\u00f9ng cung c\u1ea5p ph\u1ea3n h\u1ed3i, \u0111\u1ec1 xu\u1ea5t, \u0111\u00e1nh gi\u00e1, y\u00eau c\u1ea7u t\u00ednh n\u0103ng ho\u1eb7c \u00fd t\u01b0\u1edfng cho Mapsly (g\u1ecdi chung l\u00e0 \u201cPh\u1ea3n h\u1ed3i\u201d), Ng\u01b0\u1eddi d\u00f9ng theo \u0111\u00e2y chuy\u1ec3n nh\u01b0\u1ee3ng kh\u00f4ng th\u1ec3 h\u1ee7y ngang t\u1ea5t c\u1ea3 c\u00e1c quy\u1ec1n s\u1edf h\u1eefu tr\u00ed tu\u1ec7 li\u00ean quan \u0111\u1ebfn Ph\u1ea3n h\u1ed3i cho Mapsly, v\u00e0 Mapsly (c\u00f9ng kh\u00e1ch h\u00e0ng c\u1ee7a m\u00ecnh) c\u00f3 th\u1ec3 s\u1eed d\u1ee5ng Ph\u1ea3n h\u1ed3i \u0111\u00f3 m\u00e0 kh\u00f4ng c\u00f3 ngh\u0129a v\u1ee5 \u0111\u1ed1i v\u1edbi Ng\u01b0\u1eddi d\u00f9ng.<\/p>\n\n

14.9 Th\u1ea9m quy\u1ec1n.<\/strong> M\u1ed7i B\u00ean tuy\u00ean b\u1ed1 v\u00e0 b\u1ea3o \u0111\u1ea3m r\u1eb1ng m\u00ecnh c\u00f3 \u0111\u1ea7y \u0111\u1ee7 quy\u1ec1n, n\u0103ng l\u1ef1c v\u00e0 th\u1ea9m quy\u1ec1n \u0111\u1ec3 k\u00fd k\u1ebft Th\u1ecfa thu\u1eadn n\u00e0y.
