These Mapsly Terms of Service (this \u201cAgreement\u201d) are between Mapsly LLC, a California limited liability company (\u201cMapsly\u201d), and the entity on whose behalf these Terms of Service are accepted or, if they are not accepted on behalf of an entity, the individual accepting them (\u201cUser\u201d), collectively referred to as the \u201cParties\u201d and individually as the \u201cParty\u201d. By accessing or using the Service, registering for an account, or clicking to accept these Terms of Service, User agrees to be bound by this Agreement. Quotes and order forms (collectively, \u201cQuotes\u201d) executed between Mapsly and User shall be governed by this Agreement. Any capitalized terms used herein but not defined shall have the meanings respectively set forth in the applicable Quote.<\/p>\n\n

1. Servi\u00e7o Mapsly (\u201cServi\u00e7o\u201d),<\/strong><\/h2>\n\n

1.1 The Service.<\/strong> The Service is designed to provide User with the capability to visualize location data, analyze it and use it to manage User\u2019s sales and service workforce and business. The Service is based on the Mapsly Internet-based geo-intelligence software platform (the \u201cMapsly Software\u201d) that is hosted by Mapsly or on Mapsly\u2019s behalf and accessible by User remotely through the Mapsly website and mobile applications.<\/p>\n\n

1.2 Business Use.<\/strong> The Service is intended solely for use in User\u2019s trade or business and not for personal, family, or household purposes.<\/p>\n\n

1.3 Third-Party Services.<\/strong> The Service interoperates with third-party products, platforms, and services, including CRM systems, spreadsheet platforms, and mapping and data providers (\u201cThird-Party Services\u201d). Third-Party Services are not part of the Service, and User\u2019s use of them is governed by the applicable third party\u2019s terms. Mapsly does not control Third-Party Services and is not responsible for their availability, accuracy, security, or continued interoperability with the Service. If a third party materially changes, restricts, or withdraws an API or other integration mechanism on which an integration depends, Mapsly may modify, suspend, or discontinue the affected integration without liability to User, and will use commercially reasonable efforts to notify affected Users.<\/p>\n\n

1.4 AI Features.<\/strong> Certain features of the Service use artificial intelligence or machine learning technologies, including features that generate, summarize, transcribe, or suggest content or actions (\u201cAI Features\u201d). AI Features are probabilistic in nature: outputs may be inaccurate, incomplete, or unsuitable for User\u2019s purposes, and may vary for similar inputs. User is responsible for configuring, authorizing, reviewing, and supervising AI Features, and remains solely responsible for outputs generated and actions taken through the Service on User\u2019s behalf \u2014 including communications sent, transactions or workflows initiated, and data created, modified, or deleted in User\u2019s systems. AI Features are provided \u201cas is\u201d and may be modified, supplemented, or discontinued over time. Mapsly does not use User Data or User\u2019s Confidential Information to train generalized artificial intelligence or machine learning models; User Data may be processed by AI model providers acting as Mapsly\u2019s sub-processors solely to provide the Service to User. Where User elects to use its own AI provider account or API keys with the Service, User\u2019s relationship with that provider is governed solely by User\u2019s agreement with that provider; User is responsible for all fees charged by the provider, and Mapsly is not responsible for the provider\u2019s availability, performance, or acts or omissions. As between Mapsly and User, to the extent Mapsly acquires any right, title, or interest in output generated by AI Features for User, Mapsly assigns such rights to User, subject to applicable law and applicable third-party provider terms. AI-generated output may not be unique, and other users may receive the same or similar output. Mapsly does not represent that AI-generated output is copyrightable, exclusively owned, or free of third-party rights. AI usage performed through User\u2019s own AI provider credentials is not charged by Mapsly and does not draw on the AI Allowance or Credits described in Sections 3.11 and 3.12; Mapsly may meter such usage for display and for the purposes of Section 6.7. AI Features may be made available on a limited-availability or beta basis \u2014 including activation by Mapsly on request \u2014 and Mapsly may limit their availability by plan, region, or otherwise; nothing in this Agreement commits Mapsly to make any AI Feature generally available.<\/p>\n\n

2. Concess\u00e3o de licen\u00e7a e uso do Service<\/strong><\/h2>\n\n

2.1 Concess\u00e3o de licen\u00e7a.<\/strong> Sujeito a este Contrato, a Mapsly concede ao Usu\u00e1rio um direito e uma licen\u00e7a limitados, intransfer\u00edveis, n\u00e3o exclusivos e n\u00e3o sublicenci\u00e1veis para acessar e usar o Servi\u00e7o durante a Vig\u00eancia deste Contrato (a \u201cLicense\u201d), salvo rescis\u00e3o antecipada.<\/p>\n\n

2.2 Uso pelos funcion\u00e1rios e contratados do Usu\u00e1rio.<\/strong> O Usu\u00e1rio pode permitir que seus funcion\u00e1rios e contratados (coletivamente, \u201cUsu\u00e1rios finais\u201d) acessem o Servi\u00e7o, em conformidade com estes Termos de Servi\u00e7o, para benef\u00edcio exclusivo do Usu\u00e1rio. O Usu\u00e1rio \u00e9 respons\u00e1vel por garantir que seus Usu\u00e1rios finais cumpram estes Termos de Servi\u00e7o.<\/p>\n\n

3. Pagamento<\/strong><\/h2>\n\n

3.1 Assinatura do Servi\u00e7o.<\/strong> O Servi\u00e7o torna-se dispon\u00edvel para o Usu\u00e1rio por meio da assinatura do Servi\u00e7o e ap\u00f3s o pagamento da taxa de assinatura aplic\u00e1vel (a \u201cTaxa do Servi\u00e7o\u201d). Para uma assinatura mensal, a \u201cData de Cobran\u00e7a\u201d \u00e9 o dia do m\u00eas do primeiro pagamento da Taxa de Servi\u00e7o, e um \u201cPer\u00edodo de Cobran\u00e7a\u201d come\u00e7a na Data de Cobran\u00e7a de um m\u00eas e dura at\u00e9 a Data de Cobran\u00e7a do m\u00eas seguinte. Para uma assinatura anual, a Data de Cobran\u00e7a \u00e9 o dia do ano do primeiro pagamento, e o Per\u00edodo de Cobran\u00e7a come\u00e7a na Data de Cobran\u00e7a de um ano e dura at\u00e9 o anivers\u00e1rio de um ano da Data de Cobran\u00e7a. 3.3 Pre\u00e7os din\u00e2micos.<\/strong> A Taxa de Servi\u00e7o de cada m\u00eas \u00e9 determinada com base nas m\u00e9tricas de uso atuais do Usu\u00e1rio (incluindo, sem limita\u00e7\u00e3o, o n\u00famero de assentos de usu\u00e1rio adquiridos pelo Usu\u00e1rio, o volume de Dados do Usu\u00e1rio e os recursos pagos adicionais ativados) de acordo com os pre\u00e7os da Mapsly publicados em, https:\/\/mapsly.com\/pricing<\/a> e pode variar de m\u00eas para m\u00eas conforme as m\u00e9tricas de uso do Usu\u00e1rio.<\/p>\n\n

Sempre que a Taxa de Servi\u00e7o estimada para o pr\u00f3ximo m\u00eas mudar, o Mapsly notificar\u00e1 o Usu\u00e1rio por e-mail, a menos que a altera\u00e7\u00e3o tenha sido iniciada pelo Usu\u00e1rio na se\u00e7\u00e3o de Cobran\u00e7a do software Mapsly.<\/p>\n\n

A estrutura de pre\u00e7os, os pre\u00e7os de recursos espec\u00edficos e os m\u00e9todos de cobran\u00e7a podem ser atualizados ao longo do tempo. 3.4 Upgrades e downgrades.<\/strong> Quando o Usu\u00e1rio faz upgrade para um plano de pagamento superior ou compra assentos de usu\u00e1rio adicionais, a Mapsly cobrar\u00e1 um valor proporcional at\u00e9 o final do per\u00edodo de cobran\u00e7a atual. Quando o Usu\u00e1rio faz downgrade para um plano de pagamento inferior ou remove assentos de usu\u00e1rio, a nova Taxa de Servi\u00e7o entrar\u00e1 em vigor no pr\u00f3ximo ciclo de cobran\u00e7a.<\/p>\n\n

3.5 Per\u00edodo de avalia\u00e7\u00e3o.<\/strong> Por um per\u00edodo limitado, a Mapsly pode oferecer ao Usu\u00e1rio o uso do Servi\u00e7o sem pagamento (o \u201cPer\u00edodo de avalia\u00e7\u00e3o\u201d), conforme designado em, https:\/\/mapsly.com\/pricing<\/a>. Alguns recursos do Servi\u00e7o podem n\u00e3o estar dispon\u00edveis durante o Per\u00edodo de Avalia\u00e7\u00e3o ou podem estar dispon\u00edveis sob limites de uso mais rigorosos. Ap\u00f3s o t\u00e9rmino do Per\u00edodo de Avalia\u00e7\u00e3o o Usu\u00e1rio deve assinar uma conta paga para continuar a usar o Servi\u00e7o.<\/p>\n\n

3.6 Suspens\u00e3o do servi\u00e7o.<\/strong> If any amounts owed by User for the Service are fourteen (14) or more days overdue, Mapsly may, without limiting Mapsly\u2019s other rights and remedies, suspend User\u2019s subscription and access to the Service until the overdue amounts are paid in full. Mapsly may also suspend User\u2019s access to the Service, in whole or in part, if Mapsly reasonably determines that (i) User\u2019s use of the Service violates Section 6 or poses a security risk to the Service or any third party, or (ii) continued provision of the Service to User could expose Mapsly to liability or is prohibited by applicable law. Mapsly will limit any such suspension in scope and duration to what is reasonably necessary and will restore access promptly once the grounds for suspension are cured. Suspension does not relieve User of its payment obligations, and no Service Fees will be refunded or credited for periods of suspension under this Section.<\/p>\n\n

3.7 Impostos.<\/strong> As taxas n\u00e3o incluem quaisquer impostos, tributos, direitos aduaneiros e avalia\u00e7\u00f5es governamentais semelhantes de qualquer natureza, incluindo impostos sobre valor agregado, vendas, uso e reten\u00e7\u00e3o na fonte (\u201cImpostos\u201d). 3.8 Pagamentos em atraso.<\/strong> Quaisquer valores n\u00e3o pagos no vencimento acumulam juros \u00e0 taxa de 1.5% ao m\u00eas ou \u00e0 taxa m\u00e1xima permitida pela legisla\u00e7\u00e3o aplic\u00e1vel, o que for menor, desde a data de vencimento at\u00e9 o pagamento integral.<\/p>\n\n

3.9 Taxas baseadas no uso; Aloca\u00e7\u00f5es.<\/strong> Determinados recursos e funcionalidades do Servi\u00e7o est\u00e3o sujeitos a cotas de uso inclu\u00eddas e\/ou a taxas baseadas no uso. As cotas inclu\u00eddas, as unidades de medi\u00e7\u00e3o e as tarifas pelo uso al\u00e9m das cotas inclu\u00eddas s\u00e3o aquelas publicadas no Servi\u00e7o, em, https:\/\/mapsly.com\/pricing<\/a>, at https:\/\/mapsly.com\/usage-limits-and-add-ons<\/a> (ou p\u00e1ginas sucessoras), ou na documenta\u00e7\u00e3o do usu\u00e1rio da Mapsly dispon\u00edvel em https:\/\/help.mapsly.com<\/a> (the \u201cDocumentation\u201d), in each case as updated from time to time. Usage-based fees are calculated at the rates in effect at the time of consumption. Continued use of a metered feature or resource beyond an included allotment may require the purchase of additional capacity. Usage-based fees are charged as part of the Service Fee for the applicable Billing Period or, where a feature is offered on a prepaid basis, by deduction from prepaid capacity; a feature may pause when an allotment or prepaid capacity is exhausted (Section 6.6). Except for changes reflecting a change imposed by the applicable third-party provider to the provider\u2019s rate for the relevant model or service (Section 3.3), changes to usage-based rates are subject to the notice requirements of Section 3.3. Material reductions to included allotments or Published Limits (as defined in Section 6.6) applicable to a paid subscription are likewise subject to the notice requirements of Section 3.3, except where an immediate change is reasonably necessary to protect the security or integrity of the Service. Included allotments reset as published (for example, daily for routing credits and monthly for visit-planner packages) and unused allotment does not carry over. AI usage is additionally governed by Sections 3.11 through 3.13.<\/p>\n\n

The \u201cGuarantee Period\u201d is: (x) for User\u2019s first monthly subscription, thirty (30) days from the first monthly payment, covering a refund of that first monthly payment; and (y) for User\u2019s first annual subscription (including an annual subscription first purchased by a User previously subscribed monthly), ninety (90) days from the first annual payment, covering a refund of all subscription fees paid for that annual subscription. Where the applicable subscription is also User\u2019s first paid subscription, the request must in any event be made no later than one hundred eighty (180) days after User\u2019s Mapsly account was created. Trial periods do not start a Guarantee Period. Mapsly may verify that a request originates from User or, if User is an entity, from an authorized representative of User. The refund is issued to the original payment method, normally within ten (10) business days. Exercising this guarantee cancels User\u2019s subscription; access to the Service ends upon cancellation, and User Data is handled in accordance with Section 11.2 and the DPA. This guarantee: (i) may be exercised once per User, including User\u2019s affiliates, successors, and any related accounts or entities under common control or operation, across both Guarantee Periods combined, and does not apply to renewals or to subscriptions started after a prior refund under this Section; (ii) does not cover fees for professional services, purchases of Credits (Section 3.12), or other amounts under Section 3.9 to the extent consumed; for clarity, the AI Allowance (Section 3.11) has no separately refundable value and its consumption does not reduce the refund; (iii) will never exceed the amounts actually paid, net of credits or refunds already issued; and (iv) may be refused where the request follows a material violation of Section 6, fraudulent conduct, or abuse of the guarantee. Requests made after the applicable Guarantee Period will not be processed, and Section 3.1 applies.<\/p>\n\n

Altera\u00e7\u00f5es a uma Concess\u00e3o de AI publicada est\u00e3o sujeitas \u00e0 Se\u00e7\u00e3o 3.9; uma Concess\u00e3o de AI indicada em uma Cota\u00e7\u00e3o s\u00f3 pode ser alterada de acordo com a Cota\u00e7\u00e3o.<\/p>\n\n

3.12 cr\u00e9ditos de AI.<\/strong> User may purchase AI usage credits in advance, in the packages and at the prices offered in the Service in the currency of User\u2019s subscription (\u201cCredits\u201d). AI usage draws first on the AI Allowance for the current period and then on Credits, at the rates published under Section 3.13 at the time of use. When both are exhausted, or when a budget User has configured is reached, Mapsly pauses new AI usage until the next allowance period, a further purchase, or a budget change; because metering may occur after an interaction has begun, a limited amount of usage may occur after a balance or budget is reached, and such usage does not create a charge to User or a negative balance. If User enables automatic replenishment (\u201cAutopay\u201d), User authorizes Mapsly and its payment processor to charge User\u2019s payment method on file for a package purchase in the amount User has set whenever User\u2019s Credit balance falls below the threshold User has set; each replenishment is a purchase under this Section, User may change or disable Autopay at any time in Setup with effect for future replenishments, and Mapsly will notify User\u2019s administrators when a replenishment is declined or paused. Mapsly limits the Credit balance User may hold at any time (the \u201cMax Balance\u201d), as published in the Documentation, and may set a different Max Balance for User\u2019s account; no purchase may raise User\u2019s balance above it. Credits are a prepaid entitlement to AI usage within the Service and nothing else: they are not currency, stored value, a deposit, or a gift card; they have no independently redeemable cash value and may not be redeemed or exchanged for cash except as expressly provided in this Agreement; they may not be transferred to another organization or account; and they may be used solely for AI usage within the Service. Except as provided in the next sentence, purchases of Credits are final \u2014 non-refundable whether or not consumed and not covered by the guarantee in Section 3.10 \u2014 and Section 3.1 applies. Except as otherwise expressly provided in this Agreement, Mapsly will refund User\u2019s unconsumed Credits \u2014 valued at the amounts actually paid for those Credits, as determined from Mapsly\u2019s transaction records \u2014 only if Mapsly discontinues AI Features generally, or if User cancels under Section 14.1 because of an amendment that materially and adversely changes this Section, the rates under Section 3.13, or the availability of AI Features for which the Credits were purchased. Purchased Credits do not expire for as long as User\u2019s subscription remains active and may be consumed until User\u2019s access to the Service ends under Section 11, including, after cancellation, for the remainder of the paid period; Credits remaining when access ends are forfeited without refund or compensation. Controls Mapsly provides for AI spend, such as budgets, alerts, and limits, are conveniences; they do not relieve User of responsibility for activity initiated through User\u2019s account (Section 6.3), and usage after a balance or budget is reached is treated as described above.<\/p>\n\n

Aplica-se o Rate Card em vigor no momento do uso, e os Credits n\u00e3o conferem direito a nenhuma tarifa ou pre\u00e7o de pacote espec\u00edfico. A Mapsly pode alterar o Rate Card e os pre\u00e7os dos pacotes prospectivamente, sujeito \u00e0 Se\u00e7\u00e3o 3.3, exceto que uma altera\u00e7\u00e3o que reflita uma mudan\u00e7a imposta pelo provedor terceirizado aplic\u00e1vel \u00e0 tarifa do provedor para o modelo ou servi\u00e7o relevante poder\u00e1 entrar em vigor a partir do momento do consumo. Se o Rate Card exibido no Servi\u00e7o e a Documenta\u00e7\u00e3o divergirem, prevalecer\u00e1 o Rate Card exibido no Servi\u00e7o no momento do uso.<\/p>\n\n

4. Compromisso de tempo de atividade do servi\u00e7o<\/strong><\/h2>\n\n

4.1 Manuten\u00e7\u00e3o.<\/strong> Mapsly poder\u00e1, periodicamente, realizar manuten\u00e7\u00e3o programada, atualiza\u00e7\u00f5es do sistema e melhorias de infraestrutura para manter e aprimorar o Servi\u00e7o, o que poder\u00e1 exigir a indisponibilidade tempor\u00e1ria do Servi\u00e7o. Mapsly envidar\u00e1 esfor\u00e7os razo\u00e1veis para fornecer aos Usu\u00e1rios aviso pr\u00e9vio de pelo menos quarenta e oito (48) horas para manuten\u00e7\u00e3o programada e para minimizar a dura\u00e7\u00e3o e o impacto dessas janelas de manuten\u00e7\u00e3o.<\/p>\n\n

4.2 Isen\u00e7\u00e3o de responsabilidade.<\/strong> EMBORA A MAPSLY SE ESFORCE PARA MANTER ALTA DISPONIBILIDADE E MINIMIZAR O TEMPO DE INATIVIDADE, O USU\u00c1RIO RECONHECE QUE ALGUMAS INTERRUP\u00c7\u00d5ES S\u00c3O INEVIT\u00c1VEIS. PORTANTO, EXCETO CONFORME EXPRESSAMENTE ESTABELECIDO NESTE CONTRATO, A MAPSLY N\u00c3O SER\u00c1 RESPONS\u00c1VEL POR QUALQUER PERDA DE NEG\u00d3CIOS, RECEITA OU DADOS, NEM POR QUAISQUER DANOS INDIRETOS, INCIDENTAIS OU CONSEQUENCIAIS DECORRENTES DA INDISPONIBILIDADE DO SERVI\u00c7O, INCLUSIVE DURANTE PER\u00cdODOS DE MANUTEN\u00c7\u00c3O OU ATUALIZA\u00c7\u00d5ES.<\/p>\n\n

4.3 Defini\u00e7\u00e3o de tempo de inatividade.<\/strong> \u201cTempo de inatividade\u201d significa qualquer per\u00edodo durante o qual o Servi\u00e7o esteja indispon\u00edvel ou deixe de executar sua funcionalidade principal como resultado de um evento ou incidente n\u00e3o planejado nos sistemas ou na infraestrutura da Mapsly, medido a partir do momento em que a indisponibilidade \u00e9 detectada ou relatada at\u00e9 ser resolvida.<\/p>\n\n

O tempo de inatividade n\u00e3o inclui qualquer per\u00edodo de indisponibilidade ou desempenho degradado que seja:,<\/p>\n\n

(A) devido \u00e0 Manuten\u00e7\u00e3o Programada, durante a qual a Mapsly fornece aviso pr\u00e9vio de pelo menos quarenta e oito (48) horas por meio de mensagens no aplicativo ou e-mail;<\/p>\n\n

(B) devido \u00e0 manuten\u00e7\u00e3o de emerg\u00eancia necess\u00e1ria para proteger a integridade ou a seguran\u00e7a do sistema;<\/p>\n\n

(C) em raz\u00e3o de fatores fora do controle razo\u00e1vel da Mapsly, incluindo, entre outros, eventos de for\u00e7a maior, atos governamentais, interrup\u00e7\u00f5es generalizadas da internet ou falhas de provedores de hospedagem ou integra\u00e7\u00f5es de terceiros;<\/p>\n\n

(D) atribu\u00edvel aos sistemas, software, rede, acesso \u00e0 internet do Usu\u00e1rio ou ao uso indevido do Servi\u00e7o em viola\u00e7\u00e3o deste Contrato; ou,<\/p>\n\n

(E) devido a recursos identificados como Beta, pr\u00e9-visualiza\u00e7\u00e3o ou funcionalidade n\u00e3o dispon\u00edvel de forma geral.<\/p>\n\n

4.4 Percentual de tempo de atividade mensal.<\/strong> A Mapsly far\u00e1 esfor\u00e7os comercialmente razo\u00e1veis para disponibilizar o Servi\u00e7o com uma Percentagem de Disponibilidade Mensal de pelo menos 99.0% (o \u201cCompromisso M\u00ednimo de Servi\u00e7o\u201d), medida ao longo de cada m\u00eas civil. Determinados planos de subscri\u00e7\u00e3o podem incluir um compromisso de disponibilidade mais rigoroso (por exemplo, 99.5% ou 99.9%), caso em que se aplicar\u00e1 o compromisso mais elevado especificado no plano ou na Proposta aplic\u00e1vel. \u201cPercentagem de Disponibilidade Mensal\u201d \u00e9 definida como o n\u00famero total de minutos num m\u00eas civil, menos o n\u00famero de minutos de \u201cIndisponibilidade\u201d, dividido pelo n\u00famero total de minutos nesse m\u00eas.<\/p>\n\n

4.5 Cr\u00e9dito de servi\u00e7o.<\/strong> Se o compromisso de disponibilidade aplic\u00e1vel nos termos da Se\u00e7\u00e3o 4.4 n\u00e3o for cumprido em dois (2) meses consecutivos do calend\u00e1rio, o Usu\u00e1rio poder\u00e1 solicitar um cr\u00e9dito de servi\u00e7o equivalente a uma semana da Taxa de Servi\u00e7o proporcional.<\/p>\n\n

4.6 Elegibilidade para cr\u00e9dito de servi\u00e7o.<\/strong> Para ser eleg\u00edvel ao cr\u00e9dito de servi\u00e7o, o Usu\u00e1rio deve enviar uma solicita\u00e7\u00e3o por escrito \u00e0 equipe de suporte da Mapsly em, support@mapsly.com<\/a> no prazo de 15 dias corridos ap\u00f3s o fim do segundo m\u00eas afetado, incluindo:
\u2022 As datas e horas de cada ocorr\u00eancia de inatividade,,
\u2022 Uma breve descri\u00e7\u00e3o do impacto na disponibilidade do Servi\u00e7o, e,
\u2022 Any supporting information or logs reasonably available to User.<\/p>\n\n

Cr\u00e9ditos aprovados:
\u2022 Ser\u00e1 aplicado a futuras faturas de assinatura,
\u2022 N\u00e3o s\u00e3o transfer\u00edveis, n\u00e3o s\u00e3o reembols\u00e1veis, e n\u00e3o podem ser resgatados em dinheiro.<\/p>\n\n

4.7 Exclusive Remedy.<\/strong> The credit described above constitutes User\u2019s sole and exclusive remedy for Mapsly\u2019s failure to meet the applicable uptime commitment under Section 4.4.<\/p>\n\n

5. Dados do usu\u00e1rio; dados agregados<\/strong><\/h2>\n\n

5.1 User Data.<\/strong> Todos os dados carregados pelo Usu\u00e1rio no Mapsly Software ou criados nele (\u201cDados do Usu\u00e1rio\u201d) permanecem propriedade do Usu\u00e1rio. Durante o Prazo, o Usu\u00e1rio concede \u00e0 Mapsly um direito e licen\u00e7a mundiais, n\u00e3o exclusivos, isentos de royalties e n\u00e3o sublicenci\u00e1veis (exceto conforme necess\u00e1rio para fornecer o Servi\u00e7o) para acessar e usar os Dados do Usu\u00e1rio a fim de fornecer o Servi\u00e7o ao Usu\u00e1rio e monitorar e melhorar o Servi\u00e7o. Esta licen\u00e7a continua durante o Prazo; o Usu\u00e1rio n\u00e3o pode revog\u00e1-la durante o Prazo, exceto cancelando a assinatura de acordo com a Se\u00e7\u00e3o 11.2, caso em que a licen\u00e7a termina quando este Contrato terminar. O usu\u00e1rio dever\u00e1 fazer backup dos Dados do Usu\u00e1rio durante o prazo deste Contrato e poder\u00e1 n\u00e3o ter acesso aos Dados do Usu\u00e1rio via Servi\u00e7o ap\u00f3s o cancelamento da assinatura do Servi\u00e7o ou se o Contrato for encerrado de outra forma.<\/p>\n\n

5.2 Privacy Policy.<\/strong> Pol\u00edtica de Privacidade da Mapsly (a \u201cPol\u00edtica de Privacidade\u201d), localizada em, https:\/\/mapsly.com\/privacy-policy<\/a>, describes how Mapsly processes personal information as an independent controller, including account, authentication, billing, support, usage, website, and marketing information. Mapsly\u2019s processing of personal data on User\u2019s behalf is governed by the DPA (Section 5.4), not the Privacy Policy. User acknowledges the Privacy Policy and that Mapsly may update it as described therein.<\/p>\n\n

5.3 Statistical Data.<\/strong> A Mapsly pode coletar, desenvolver, criar, extrair, compilar, sintetizar e analisar estat\u00edsticas, benchmarks, medidas e outras informa\u00e7\u00f5es (os \u201cDados estat\u00edsticos\u201d) com base em Dados do usu\u00e1rio que sejam:
\u2022 agregados e anonimizados e nem identific\u00e1veis nem pass\u00edveis de reidentifica\u00e7\u00e3o em rela\u00e7\u00e3o a qualquer pessoa (incluindo qualquer usu\u00e1rio final) ou entidade,,
\u2022 combinados com os dados de outros clientes ou fontes de dados adicionais, e,
\u2022 apresentada de uma forma que n\u00e3o revele a identidade do Usu\u00e1rio ou as identidades de seus usu\u00e1rios.<\/p>\n\n

Such \u201cStatistical Data\u201d will be owned solely by Mapsly and may be used for any lawful business purpose without a duty of accounting to User. Mapsly will not attempt to re-identify Statistical Data.<\/p>\n\n

5.4 Data Processing Addendum.<\/strong> To the extent Mapsly processes personal data on behalf of User in providing the Service, the Mapsly Data Processing Addendum available at https:\/\/mapsly.com\/dpa<\/a> (the \u201cDPA\u201d) is incorporated into and forms part of this Agreement. With respect to the processing of personal data, in the event of a conflict: (i) the Standard Contractual Clauses (as defined in the DPA) control to the extent required by their terms; (ii) the DPA controls over these Terms of Service; and (iii) for all matters other than the processing of personal data, these Terms of Service control.<\/p>\n\n

6. Obriga\u00e7\u00f5es do usu\u00e1rio<\/strong><\/h2>\n\n

6.1 Acceptable Use Policy.<\/strong> O usu\u00e1rio n\u00e3o pode:
\u2022 vender, revender, alugar, arrendar, licenciar, sublicenciar, transferir, ceder, distribuir ou explorar comercialmente o Servi\u00e7o de qualquer outra forma ou disponibiliz\u00e1-lo a qualquer terceiro de qualquer maneira exceto conforme permitido por este Contrato;,
\u2022 violar intencionalmente ou n\u00e3o quaisquer leis e regulamentos locais, estaduais, nacionais e internacionais aplic\u00e1veis;
\u2022 usar o Servi\u00e7o para armazenar ou transmitir material infrator, e-mails de marketing n\u00e3o solicitados, material difamat\u00f3rio ou de outra forma censur\u00e1vel, ilegal ou il\u00edcito;,
\u2022 armazenar ou transmitir material que viole direitos de terceiros;
\u2022 interferir ou interromper o Servi\u00e7o, sua integridade ou desempenho;
\u2022 test, probe, or scan vulnerability of the Service, or attempt to gain unauthorized access to the Service or its related systems or networks;
\u2022 contornar ou tentar contornar quaisquer recursos de controle de uso do Servi\u00e7o;,
\u2022 fazer engenharia reversa ou acessar o Servi\u00e7o com o objetivo de criar um produto ou servi\u00e7o competitivo, ou copiar quaisquer recursos ou fun\u00e7\u00f5es do Mapsly.<\/p>\n\n

6.2 Obligation to provide true information.<\/strong> O Usu\u00e1rio concorda em fornecer informa\u00e7\u00f5es precisas e atualizadas sobre si mesmo durante o registro no Servi\u00e7o e em manter essas informa\u00e7\u00f5es precisas e atualizadas durante a vig\u00eancia deste Contrato.<\/p>\n\n

6.3 Responsibility for account.<\/strong> O Usu\u00e1rio \u00e9 o \u00fanico respons\u00e1vel por: (i) manter as informa\u00e7\u00f5es de login do Mapsly seguras e confidenciais; (ii) Dados do Usu\u00e1rio; e (iii) toda atividade na conta do Usu\u00e1rio no Servi\u00e7o.<\/p>\n\n

6.4 Consents and Legal Bases.<\/strong> O Usu\u00e1rio declara e garante que forneceu todos os avisos aos Usu\u00e1rios finais e a outros titulares de dados, e obteve todos os consentimentos quando exigidos deles, e estabeleceu todas as demais bases legais exigidas pela lei aplic\u00e1vel para a coleta e o processamento de Dados do Usu\u00e1rio por meio do Servi\u00e7o, incluindo, sem limita\u00e7\u00e3o, dados de localiza\u00e7\u00e3o do Usu\u00e1rio final coletados por meio de rastreamento de localiza\u00e7\u00e3o, check-in e recursos semelhantes, bem como grava\u00e7\u00f5es de \u00e1udio ou v\u00eddeo, transcri\u00e7\u00e3o e an\u00e1lise de comunica\u00e7\u00f5es por AI. O Usu\u00e1rio \u00e9 o \u00fanico respons\u00e1vel por determinar se o uso desses recursos est\u00e1 em conformidade com as leis aplic\u00e1veis ao Usu\u00e1rio, incluindo leis aplic\u00e1veis de emprego, monitoramento de funcion\u00e1rios, consentimento para grava\u00e7\u00e3o e comunica\u00e7\u00f5es.<\/p>\n\n

6.5 Export Control and Sanctions.<\/strong> User represents and warrants that User (i) is not located in, organized under the laws of, or ordinarily resident in any country or territory that is subject to comprehensive sanctions administered by the United States (including by the Office of Foreign Assets Control), the European Union, or the United Kingdom; (ii) is not identified on any applicable government list of prohibited, denied, or restricted parties; and (iii) will not use or access the Service, or permit any End-User to use or access the Service, in violation of any applicable export control or sanctions laws.<\/p>\n\n

Mapsly may enforce Published Limits automatically, including by rate-limiting, pausing, or declining the affected feature when a limit or allotment is reached; Section 3.9 governs fees for usage beyond included allotments. For features and resources without Published Limits, User\u2019s consumption must remain within reasonable volumes consistent with ordinary business use of the Service by comparable customers. Mapsly may apply technical measures, such as rate limits, to protect the integrity and performance of the Service for all customers. If User\u2019s consumption of such unmetered features materially exceeds reasonable volumes or imposes a disproportionate load or cost on the Service, Mapsly will notify User and the Parties will discuss in good faith an appropriate plan, limit, or fee adjustment; Mapsly may throttle the excess consumption if it continues more than ten (10) business days after notice. This Section does not limit Mapsly\u2019s rights under Sections 3.6 and 6.1.<\/p>\n\n

O uso de AI por meio das pr\u00f3prias credenciais de provedor do Usu\u00e1rio (Se\u00e7\u00e3o 1.4) est\u00e1 sujeito a esta Se\u00e7\u00e3o da mesma forma. A Se\u00e7\u00e3o 6.6 aplica-se nos demais casos.<\/p>\n\n

7. Garantia limitada; Isen\u00e7\u00e3o de responsabilidade<\/strong><\/h2>\n\n

USER UNDERSTANDS AND AGREES THAT MAPSLY\u2019S SERVICES ARE PROVIDED \u201cAS IS\u201d AND \u201cAS AVAILABLE.\u201d MAPSLY, ITS AFFILIATES, AND SUPPLIERS DO NOT MAKE, AND HEREBY DISCLAIM, ALL WARRANTIES OF ANY KIND, EXPRESS, STATUTORY OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, QUALITY, SUITABILITY, OPERABILITY, SYSTEM INTEGRATION, NON-INTERFERENCE, WORKMANSHIP, TRUTH, ACCURACY, ABSENCE OF DEFECTS, WHETHER LATENT OR PATENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE.<\/p>\n\n

\u2022 O SOFTWARE MAPSLY OU O SERVI\u00c7O MAPSLY ATENDER\u00c1 AOS REQUISITOS OU EXPECTATIVAS DO USU\u00c1RIO;

O SOFTWARE MAPSLY E OS SERVI\u00c7OS MAPSLY PODEM ESTAR SUJEITOS A LIMITA\u00c7\u00d5ES, ATRASOS E OUTROS PROBLEMAS INERENTES AO USO DA INTERNET E DAS COMUNICA\u00c7\u00d5ES ELETR\u00d4NICAS. A MAPSLY N\u00c3O \u00c9 RESPONS\u00c1VEL POR QUAISQUER ATRASOS OU OUTROS DANOS RESULTANTES DE TAIS PROBLEMAS. O USU\u00c1RIO SER\u00c1 O \u00daNICO RESPONS\u00c1VEL POR QUALQUER DANO AOS SISTEMAS DO USU\u00c1RIO OU PERDA DE DADOS QUE RESULTE DO USO DO SOFTWARE MAPSLY, DOS SERVI\u00c7OS MAPSLY OU DE OFERTAS DE TERCEIROS.<\/p>\n\n

8. Limita\u00e7\u00e3o de responsabilidade<\/strong><\/h2>\n\n

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WHATSOEVER SHALL EITHER MAPSLY OR ITS AFFILIATES, OR THEIR RESPECTIVE EMPLOYEES, OFFICERS, SHAREHOLDERS, AGENTS, LICENSORS OR REPRESENTATIVES, NOR USER OR ITS AFFILIATES, OR THEIR RESPECTIVE EMPLOYEES, OFFICERS, SHAREHOLDERS, AGENTS, LICENSORS OR REPRESENTATIVES, BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUE, INCLUDING BUT NOT LIMITED TO LOSS OF SALES, DATA, PROFIT, REVENUE, GOODWILL, BUSINESS INTERRUPTION, LOSS OF INFORMATION OR UNAUTHORIZED ACCESS TO INFORMATION AND THE LIKE, EVEN IF EITHER PARTY OR AN AFFILIATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL EITHER PARTY OR ITS AFFILIATES BE LIABLE TO THE OTHER PARTY FOR AN AMOUNT IN EXCESS OF THE TOTAL MONETARY AMOUNT ACTUALLY RECEIVED BY MAPSLY FROM USER FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT WHICH GAVE RISE TO THE CLAIM. THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION DO NOT APPLY TO: (I) USER\u2019S OBLIGATION TO PAY FEES AND TAXES DUE UNDER THIS AGREEMENT; (II) USER\u2019S INDEMNIFICATION OBLIGATIONS UNDER SECTION 12.2; (III) USER\u2019S BREACH OF SECTION 6.1 (ACCEPTABLE USE POLICY) OR USE OF THE SERVICE IN VIOLATION OF APPLICABLE LAW; OR (IV) USER\u2019S BREACH OF SECTION 9 (MUTUAL CONFIDENTIALITY). MAPSLY\u2019S INDEMNIFICATION OBLIGATIONS UNDER SECTION 12.1 ARE SUBJECT TO THE LIMITATIONS IN THIS SECTION.<\/p>\n\n

9. Confidencialidade m\u00fatua<\/strong><\/h2>\n\n

9.1 Definition.<\/strong> \u201cConfidential Information\u201d is oral, electronic, or written information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of its disclosure. Mapsly\u2019s Confidential Information includes without limitation the non-public information about pricing, features, and performance of the Service. User\u2019s Confidential Information includes, without limitation, User Data.<\/p>\n\n

9.2 Exclusion.<\/strong> Informa\u00e7\u00f5es confidenciais n\u00e3o incluem o seguinte:

9.3 Protection of Confidential Information.<\/strong> The Recipient may only use the Discloser\u2019s Confidential Information in relation to this Agreement. The Recipient shall maintain the confidentiality of the Discloser\u2019s Confidential Information with at least the same degree of care that it uses to protect its own confidential and proprietary information, implement reasonable administrative, physical, and technical safeguards, and no less than a reasonable degree of care. The Recipient shall not disclose any of the Discloser\u2019s Confidential Information except to the Recipient\u2019s employees, contractors, agents, and professional advisers who have a need to know the information to exercise the Recipient\u2019s rights or perform the Recipient\u2019s obligations under this Agreement, in which case Recipient shall cause these recipients to agree to and abide by commercially reasonable confidentiality terms. The obligations in this Section 9 survive for five (5) years after termination of this Agreement, except that obligations with respect to trade secrets continue for as long as the information remains a trade secret under applicable law, and obligations with respect to personal data continue as required by the DPA and applicable law.<\/p>\n\n

10. Reserva de direitos<\/strong><\/h2>\n\n

O software, processos de fluxo de trabalho, interface do usu\u00e1rio, designs, know-how e outras tecnologias fornecidas pela Mapsly como parte do Servi\u00e7o s\u00e3o propriedade exclusiva da Mapsly e seus licenciadores, e todos os direitos, t\u00edtulos e interesses sobre tais itens, incluindo todos os direitos de propriedade intelectual associados, permanecem exclusivamente da Mapsly. 11. Vig\u00eancia e rescis\u00e3o<\/strong><\/h2>\n\n

11.1 Vig\u00eancia.<\/strong> This Agreement starts when User accepts these Terms of Service and continues until the end of the paid period after the subscription to Service has been canceled, unless the Agreement is terminated earlier by either Party.<\/p>\n\n

11.2 Cancellation of Service by User.<\/strong> User may terminate this Agreement by canceling the subscription to Service at any time, without providing notice. After the subscription has been canceled, User may continue to use the Service until the end of the paid period, after which the Agreement is terminated. User is not charged after the date of cancellation but is responsible for all charges incurred up until the date of cancellation. Mapsly is not obligated to refund any of the already paid fees. After this Agreement is terminated, User can no longer access User Data via the Service. User is responsible for exporting User Data before this Agreement terminates. Following termination, Mapsly will delete User Data in accordance with the DPA, no later than ninety (90) days after termination, except to the extent applicable law requires retention. Mapsly may, but is not obligated to, provide reasonable assistance with the export of User Data during that period at Mapsly\u2019s then-current rates.<\/p>\n\n

11.3 Rescis\u00e3o por justa causa.<\/strong> Either Party may terminate the Agreement with immediate effect and without incurring any additional liability by serving written notice, if: (i) the other Party files a petition for bankruptcy or is adjudicated as bankrupt; (ii) a petition in bankruptcy is filed against the other Party and such petition is not removed or resolved within thirty (30) calendar days; (iii) the other Party makes an assignment for the benefit of its creditors or an arrangement for its creditors pursuant to bankruptcy law; (iv) the other Party discontinues its business; (v) a receiver is appointed over all or substantially all of the other Party\u2019s assets or business; or (vi) the other Party is dissolved or liquidated.<\/p>\n\n

A rescis\u00e3o pela Mapsly nos termos desta Se\u00e7\u00e3o n\u00e3o d\u00e1 ao Usu\u00e1rio direito a qualquer reembolso de taxas pr\u00e9-pagas, e quaisquer taxas acumuladas mas n\u00e3o pagas na data da rescis\u00e3o tornam-se imediatamente devidas e pag\u00e1veis.<\/p>\n\n

11.5 Efeito da Rescis\u00e3o.<\/strong> A rescis\u00e3o deste Acordo n\u00e3o isentar\u00e1 uma Parte de qualquer responsabilidade por viola\u00e7\u00e3o do mesmo.<\/p>\n\n

12. Indeniza\u00e7\u00e3o<\/strong><\/h2>\n\n

12.1 Indeniza\u00e7\u00e3o da Mapsly.<\/strong><\/p>\n\n

Geral.<\/strong> Mapsly defender\u00e1 ou resolver\u00e1 qualquer reivindica\u00e7\u00e3o de terceiros contra o Usu\u00e1rio na medida em que tal reivindica\u00e7\u00e3o alegue que o Software Mapsly sozinho, e n\u00e3o em combina\u00e7\u00e3o com o software ou hardware do Usu\u00e1rio ou de terceiros, infringe ou se apropria indevidamente de um direito autoral, patente, marca comercial ou outro direito de propriedade intelectual (cada uma, uma \u201cReivindica\u00e7\u00e3o\u201d), condicionado ao seguinte: (i) o Usu\u00e1rio dever\u00e1 notificar prontamente a Mapsly sobre tal Reivindica\u00e7\u00e3o; (ii) o Usu\u00e1rio dever\u00e1 permitir que Mapsly controle exclusivamente a defesa e a resolu\u00e7\u00e3o de tal Reivindica\u00e7\u00e3o; e (iii) mediante solicita\u00e7\u00e3o e \u00e0s custas de Mapsly, o Usu\u00e1rio dever\u00e1 fornecer toda assist\u00eancia razo\u00e1vel na defesa de tal Reivindica\u00e7\u00e3o.<\/p>\n\n

Custos.<\/strong> A Mapsly pagar\u00e1 os custos razo\u00e1veis de defesa de Reivindica\u00e7\u00f5es de infra\u00e7\u00e3o incorridos como parte das obriga\u00e7\u00f5es da Mapsly acima, os valores de acordos negociados pela Mapsly, e os danos concedidos pelo tribunal. Exclus\u00f5es.<\/strong> As obriga\u00e7\u00f5es da Mapsly acima n\u00e3o se aplicar\u00e3o se uma Reivindica\u00e7\u00e3o decorrer de: (i) conformidade da Mapsly com as especifica\u00e7\u00f5es do Usu\u00e1rio; (ii) tecnologia n\u00e3o desenvolvida ou fornecida pela Mapsly (componentes de terceiros); (iii) uso da Mapsly em combina\u00e7\u00e3o com qualquer outra tecnologia n\u00e3o fornecida pela Mapsly quando a alegada infra\u00e7\u00e3o estiver relacionada a tal combina\u00e7\u00e3o; (iv) modifica\u00e7\u00f5es ou altera\u00e7\u00f5es no software da Mapsly que n\u00e3o sejam feitas pela Mapsly; (v) uso continuado da Mapsly pelo Usu\u00e1rio ap\u00f3s a Mapsly notificar o Usu\u00e1rio para parar de usar o Servi\u00e7o devido a uma Reivindica\u00e7\u00e3o; (vi) sistemas do Usu\u00e1rio; (vii) viola\u00e7\u00e3o pelo Usu\u00e1rio da lei aplic\u00e1vel ou deste Contrato; ou (viii) sa\u00eddas dos Recursos de AI.<\/p>\n\n

Recurso exclusivo.<\/strong> A SE\u00c7\u00c3O \u201cINDENIZA\u00c7\u00c3O MAPSLY\u201d ESTABELECE A RESPONSABILIDADE INTEIRA DA MAPSLY RELATIVA \u00c0 INFRA\u00c7\u00c3O DE QUAISQUER DIREITOS PROPRIET\u00c1RIOS PELA MAPSLY, E O USU\u00c1RIO RENUNCIA EXPRESSAMENTE A QUAISQUER OUTRAS RESPONSABILIDADES OU OBRIGA\u00c7\u00d5ES DA MAPSLY EM RELA\u00c7\u00c3O A ISSO.<\/p>\n\n

12.2 Indeniza\u00e7\u00e3o do usu\u00e1rio.<\/strong> User will defend, indemnify, and hold harmless Mapsly and its affiliates, and their respective officers, directors, employees, agents, partners, and licensors, from and against any third-party claim, demand, or proceeding, and all resulting damages, settlements, costs, and reasonable attorneys\u2019 fees, to the extent arising out of: (i) User Data, including any claim that User Data infringes or misappropriates a third party\u2019s rights or violates applicable law; (ii) User\u2019s or its End-Users\u2019 use of the Service in violation of this Agreement or applicable law, including any unlawful monitoring or tracking of End-Users; (iii) User\u2019s instructions, configurations, or integration of the Service with systems, software, or data not provided by Mapsly; or (iv) User\u2019s material breach of Section 6 or Section 9, to the extent giving rise to the claim. Mapsly will: (a) promptly notify User of the claim, provided that delayed notice relieves User of its obligations only to the extent User is materially prejudiced by the delay; (b) permit User to control the defense and settlement of the claim, except that User may not settle any claim in a manner that imposes any liability, admission, or non-monetary obligation on Mapsly without Mapsly\u2019s prior written consent; and (c) provide reasonable cooperation in the defense at User\u2019s expense.<\/p>\n\n

13. Lei aplic\u00e1vel e arbitragem<\/strong><\/h2>\n\n

THIS AGREEMENT IS GOVERNED BY THE LAWS OF DELAWARE, WITHOUT REGARD TO CONFLICT OF LAWS PRINCIPLES. THE PARTIES AGREE THAT THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS IS SPECIFICALLY EXCLUDED FROM APPLICATION TO THESE TERMS. ANY DISPUTE BETWEEN USER AND MAPSLY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL BE REFERRED TO AND FINALLY RESOLVED BY BINDING ARBITRATION BEFORE A SINGLE ARBITRATOR, ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS COMMERCIAL ARBITRATION RULES. THE SEAT OF ARBITRATION IS WILMINGTON, DELAWARE; HEARINGS MAY BE CONDUCTED REMOTELY; AND THE PROCEEDINGS SHALL BE CONDUCTED IN ENGLISH AND KEPT CONFIDENTIAL. JUDGMENT ON THE AWARD MAY BE ENTERED IN ANY COURT OF COMPETENT JURISDICTION. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES\u2019 INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING, AND THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF MORE THAN ONE USER. TO THE EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY. NOTWITHSTANDING THE FOREGOING, EITHER PARTY MAY SEEK TEMPORARY OR PRELIMINARY INJUNCTIVE RELIEF IN ANY COURT OF COMPETENT JURISDICTION TO PRESERVE THE STATUS QUO OR PROTECT ITS CONFIDENTIAL INFORMATION OR INTELLECTUAL PROPERTY PENDING ARBITRATION. THE PREVAILING PARTY IN ANY ARBITRATION OR LITIGATION IS ENTITLED TO RECOVER ITS REASONABLE ATTORNEYS\u2019 FEES AND COSTS FROM THE OTHER PARTY.<\/p>\n\n

14. Outros termos<\/strong><\/h2>\n\n

14.1 Acordo integral e altera\u00e7\u00f5es.<\/strong> Este Contrato, incluindo quaisquer Propostas executadas no seu \u00e2mbito, constitui o acordo integral entre o Usu\u00e1rio e a Mapsly com rela\u00e7\u00e3o aos Servi\u00e7os, e prevalece sobre e substitui todos os acordos, propostas, entendimentos e comunica\u00e7\u00f5es anteriores e contempor\u00e2neos\u2014sejam orais ou escritos. Em caso de qualquer conflito entre este Contrato e qualquer acordo anterior desse tipo, os termos deste Contrato prevalecer\u00e3o, salvo se expressamente indicado de outra forma em um acordo escrito assinado por ambas as Partes que fa\u00e7a refer\u00eancia a este Contrato pelo nome. A Mapsly pode alterar este Contrato (exceto a Se\u00e7\u00e3o 13, Lei Aplic\u00e1vel e Arbitragem) periodicamente mediante a publica\u00e7\u00e3o da vers\u00e3o alterada em https:\/\/mapsly.com\/terms<\/a> and updating the last-modified date. An amended version applies, from the time of acceptance, to subscriptions first accepted under it. For subscriptions already in effect when an amended version is posted: (i) amendments that materially reduce User\u2019s rights or materially increase User\u2019s obligations take effect for that subscription no earlier than thirty (30) days after Mapsly notifies User of the amendment by email and\/or in-app notification, and the previously applicable version continues to govern that subscription until then; and (ii) amendments that are not material \u2014 including corrections, clarifications, and changes required to comply with applicable law \u2014 take effect upon posting. User\u2019s continued use of the Service after an amendment takes effect for User\u2019s subscription constitutes acceptance of the amended Agreement. If User does not agree to an amendment described in clause (i), User\u2019s sole and exclusive remedy is to stop using the Service and cancel the subscription pursuant to Section 11.2 before the amendment takes effect for User\u2019s subscription; if User cancels on this basis, Mapsly will refund the prepaid fees prorated for the unused portion of the then-current Billing Period. This Section does not authorize Mapsly to unilaterally modify any term expressly set forth in a mutually executed Quote or Order Form for so long as that Quote or Order Form remains in effect (see Section 14.2). Amendments to Section 13, and any other amendment or waiver not made in accordance with this Section, require the signed written consent of both Parties. Neither failure nor delay on the part of any Party in exercising any right, power, or privilege hereunder shall operate as a waiver of such right, nor shall any single or partial exercise of any such right, power, or privilege preclude any further exercise thereof or the exercise of any other right, power, or privilege.<\/p>\n\n

14.2 Ordem de Preced\u00eancia.<\/strong> Em caso de qualquer conflito entre estes Termos de Servi\u00e7o e as disposi\u00e7\u00f5es de uma Cota\u00e7\u00e3o, Formul\u00e1rio de Pedido ou outro acordo escrito mutuamente celebrado que fa\u00e7a refer\u00eancia expressa a estes Termos, as disposi\u00e7\u00f5es da Cota\u00e7\u00e3o ou do acordo prevalecer\u00e3o exclusivamente em rela\u00e7\u00e3o ao assunto tratado nesse documento. Todas as demais disposi\u00e7\u00f5es destes Termos permanecer\u00e3o em pleno vigor e efeito.<\/p>\n\n

14.3 Contratados independentes.<\/strong> Fica expressamente acordado que a Mapsly e o Usu\u00e1rio ser\u00e3o contratantes independentes e que a rela\u00e7\u00e3o entre eles n\u00e3o constituir\u00e1 uma parceria, joint venture ou ag\u00eancia.<\/p>\n\n

14.4 Divisibilidade.<\/strong> Caso alguma disposi\u00e7\u00e3o deste Acordo seja considerada nula ou inexequ\u00edvel, tal determina\u00e7\u00e3o n\u00e3o afetar\u00e1 o restante deste Acordo, que permanecer\u00e1 em vigor.<\/p>\n\n

14.5 For\u00e7a maior.<\/strong> Exceto pelo pagamento de quantias em dinheiro, nenhuma Parte ser\u00e1 respons\u00e1vel por eventos fora de seu controle razo\u00e1vel, incluindo, sem limita\u00e7\u00e3o eventos de For\u00e7a Maior. \u201cFor\u00e7a Maior\u201d significa qualquer causa fora do controle razo\u00e1vel de uma Parte, incluindo, entre outras, um ato de Deus, um ato ou omiss\u00e3o de autoridades civis ou militares de um estado ou na\u00e7\u00e3o, epidemia, pandemia, inc\u00eandio, greve, inunda\u00e7\u00e3o, tumulto, guerra. No caso de qualquer atraso justificado dessa natureza, o prazo para o cumprimento de tais obriga\u00e7\u00f5es ser\u00e1 prorrogado por um per\u00edodo igual ao tempo perdido em raz\u00e3o do atraso. A Parte que reivindicar o benef\u00edcio desta disposi\u00e7\u00e3o dever\u00e1, assim que razoavelmente pratic\u00e1vel ap\u00f3s o in\u00edcio de qualquer evento de For\u00e7a Maior, (a) fornecer notifica\u00e7\u00e3o por escrito \u00e0 outra Parte sobre a natureza e a extens\u00e3o de qualquer condi\u00e7\u00e3o de For\u00e7a Maior desse tipo; e (b) envidar esfor\u00e7os comercialmente razo\u00e1veis para evitar ou remover quaisquer dessas causas e retomar o cumprimento nos termos deste Contrato assim que razoavelmente pratic\u00e1vel.<\/p>\n\n

14.6 Publicidade.<\/strong> A Mapsly tem o direito de exibir o nome corporativo e as marcas comerciais do Usu\u00e1rio no site e nos materiais de marketing da Mapsly que identifiquem o Usu\u00e1rio como assinante do Servi\u00e7o, a menos que o Usu\u00e1rio notifique a Mapsly por escrito dentro de trinta (30) dias ap\u00f3s aceitar estes Termos de Servi\u00e7o de que o Usu\u00e1rio n\u00e3o concede tais direitos \u00e0 Mapsly. A Mapsly usar\u00e1 as marcas comerciais do Usu\u00e1rio de acordo com quaisquer diretrizes de marca que o Usu\u00e1rio forne\u00e7a \u00e0 Mapsly e n\u00e3o emitir\u00e1 um comunicado \u00e0 imprensa, publicar\u00e1 um estudo de caso nomeando o Usu\u00e1rio, nem declarar\u00e1 ou implicar\u00e1 o endosso do Usu\u00e1rio \u00e0 Mapsly sem o consentimento pr\u00e9vio por escrito do Usu\u00e1rio.<\/p>\n\n

14.7 Vig\u00eancia dos Termos.<\/strong> As se\u00e7\u00f5es 5.3, 7, 8, 9, 10, 11.5, 12, 13 e 14, juntamente com quaisquer obriga\u00e7\u00f5es de pagamento acumuladas antes da rescis\u00e3o e quaisquer outros termos que, por sua natureza, devam sobreviver, sobreviver\u00e3o \u00e0 rescis\u00e3o ou expira\u00e7\u00e3o deste Contrato.<\/p>\n\n

14.8 Feedback.<\/strong> Se o Usu\u00e1rio fornecer feedback, sugest\u00f5es, avalia\u00e7\u00f5es, solicita\u00e7\u00f5es de recursos ou ideias \u00e0 Mapsly (coletivamente, \u201cFeedback\u201d), o Usu\u00e1rio, por meio deste, cede irrevogavelmente todos os direitos de propriedade intelectual relacionados ao Feedback \u00e0 Mapsly, e a Mapsly (e seus clientes) poder\u00e1 us\u00e1-lo sem obriga\u00e7\u00e3o perante o Usu\u00e1rio.<\/p>\n\n

14.9 Autoridade.<\/strong> Cada Parte declara e garante que possui pleno direito, poder e autoridade para celebrar este Contrato. Se voc\u00ea estiver aceitando estes Termos em nome de uma empresa ou outra entidade legal, voc\u00ea declara que tem autoridade para vincular essa entidade a este Contrato.<\/p>\n\n

14.10 Idioma.<\/strong> Este Contrato e todos os documentos relacionados foram preparados em ingl\u00eas. Qualquer tradu\u00e7\u00e3o exibida em mapsly.com \u00e9 fornecida apenas por conveni\u00eancia. 14.11 Avisos.<\/strong> Mapsly poder\u00e1 fornecer notifica\u00e7\u00f5es ao Usu\u00e1rio nos termos deste Contrato por e-mail para o endere\u00e7o de e-mail associado \u00e0 conta do Usu\u00e1rio, por notifica\u00e7\u00e3o no aplicativo, ou por publica\u00e7\u00e3o dentro do Servi\u00e7o, e tais notifica\u00e7\u00f5es ser\u00e3o consideradas recebidas quando enviadas ou publicadas. O Usu\u00e1rio \u00e9 respons\u00e1vel por manter o endere\u00e7o de e-mail de sua conta preciso e atualizado. 14.12 Atribui\u00e7\u00e3o.<\/strong> O Usu\u00e1rio n\u00e3o poder\u00e1 ceder nem transferir este Contrato, no todo ou em parte, sem o consentimento pr\u00e9vio por escrito da Mapsly, e qualquer tentativa de cess\u00e3o em viola\u00e7\u00e3o desta Se\u00e7\u00e3o ser\u00e1 nula; desde que o Usu\u00e1rio possa ceder este Contrato em sua totalidade, mediante notifica\u00e7\u00e3o por escrito \u00e0 Mapsly, a um sucessor em conex\u00e3o com uma fus\u00e3o, aquisi\u00e7\u00e3o ou venda de todos ou substancialmente todos os ativos do Usu\u00e1rio, desde que o sucessor n\u00e3o seja um concorrente da Mapsly. A Mapsly poder\u00e1 ceder este Contrato a uma afiliada ou em conex\u00e3o com uma fus\u00e3o, aquisi\u00e7\u00e3o, reorganiza\u00e7\u00e3o societ\u00e1ria ou venda de todos ou substancialmente todos os ativos da Mapsly.
