This Data Processing Addendum (\u201cDPA\u201d) is an agreement between you and the entity you represent (\u201cCustomer\u201d, \u201cyou\u201d or \u201cyour\u201d) and Mapsly LLC (\u201cMAPSLY\u201d). This DPA supplements the MAPSLY Terms of Service available at https:\/\/mapsly.com\/terms<\/a>, \u304a\u5ba2\u69d8\u3068MAPSLY\u306e\u9593\u3067\u968f\u6642\u66f4\u65b0\u3055\u308c\u308b\u3082\u306e\u3001\u307e\u305f\u306f\u304a\u5ba2\u69d8\u306b\u3088\u308bMAPSLY\u30b5\u30fc\u30d3\u30b9\u306e\u5229\u7528\u3092\u898f\u5b9a\u3059\u308b\u3001\u304a\u5ba2\u69d8\u3068MAPSLY\u306e\u9593\u306e\u305d\u306e\u4ed6\u306e\u5951\u7d04\uff08\u4ee5\u4e0b\u300c\u5951\u7d04\u300d\uff09\u3002\u300c\u304a\u5ba2\u69d8\u300d\u3068\u306f\u3001MAPSLY\u5229\u7528\u898f\u7d04\u306b\u304a\u3044\u3066\u300c\u30e6\u30fc\u30b6\u30fc\u300d\u3068\u5b9a\u7fa9\u3055\u308c\u308b\u4e8b\u696d\u4f53\u3092\u6307\u3057\u307e\u3059\u3002\u672cDPA\u306f\u3001MAPSLY\u304c\u30b5\u30fc\u30d3\u30b9\u306e\u63d0\u4f9b\u306b\u304a\u3044\u3066\u304a\u5ba2\u69d8\u306b\u4ee3\u308f\u3063\u3066\u304a\u5ba2\u69d8\u30c7\u30fc\u30bf\u3092\u51e6\u7406\u3059\u308b\u7bc4\u56f2\u306b\u9069\u7528\u3055\u308c\u307e\u3059\u3002<\/p>

\u5b9a\u7fa9.<\/strong> \u672cDPA\u3067\u4f7f\u7528\u3055\u308c\u308b\u5927\u6587\u5b57\u3067\u59cb\u307e\u308b\u3059\u3079\u3066\u306e\u7528\u8a9e\u306f\u3001\u672c\u5951\u7d04\u3067\u5225\u9014\u5b9a\u7fa9\u3055\u308c\u3066\u3044\u306a\u3044\u9650\u308a\u3001\u4ee5\u4e0b\u306b\u5b9a\u3081\u308b\u610f\u5473\u3092\u6709\u3057\u307e\u3059:<\/p>

API<\/span><\/b> means an application programming interface.<\/p>

\u7ba1\u7406\u8005\u5bfe\u51e6\u7406\u8005\u6761\u9805<\/span><\/b> means the standard contractual clauses between Controllers and Processors for Data Transfers, as approved by the European Commission Implementing Decision (EU) 2021\/914 of 4 June 2021.<\/p>

\u30c9\u30ad\u30e5\u30e1\u30f3\u30c8<\/span><\/b> means the then-current documentation for the Services located at https:\/\/help.mapsly.com<\/a> (and any successor locations designated by MAPSLY).<\/p>

EEA<\/span><\/b> means the European Economic Area.<\/p>

\u30a8\u30f3\u30c9\u30e6\u30fc\u30b6\u30fc<\/span><\/b> means users of Customer\u2019s Mapsly account including Customer\u2019s employees and contractors that were assigned by Customer to use Mapsly.<\/p>

GDPR<\/span><\/b> means Regulation 2016\/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95\/46\/EC (General Data Protection Regulation).<\/p>

MAPSLY \u30cd\u30c3\u30c8\u30ef\u30fc\u30af<\/span><\/b> means the servers, networking equipment, and host software systems (for example, virtual firewalls) that are within MAPSLY\u2019s control and are used to provide the Services.<\/p>

MAPSLY \u8a2d\u5b9a\u30b3\u30f3\u30bd\u30fc\u30eb<\/span><\/b> means the Setup section in the Mapsly Service available under \u201cSetup\u201d in the main menu.<\/p>

\u500b\u4eba\u30c7\u30fc\u30bf<\/span><\/b> means personal data, personal information, personally identifiable information or other equivalent term (each as defined in Applicable Data Protection Law).<\/p>

\u51e6\u7406\u4e2d<\/span><\/b> has the meaning given to it in the GDPR and \u201cprocess\u201d, \u201cprocesses\u201d and \u201cprocessed\u201d will be interpreted accordingly.<\/p>

\u30d7\u30ed\u30bb\u30c3\u30b5<\/span><\/b> has the meaning given to it in the GDPR.<\/p>

\u201cProcessor-to-Processor Clauses\u201d<\/span><\/b> 2021\u5e746\u67084\u65e5\u306e\u6b27\u5dde\u59d4\u54e1\u4f1a\u5b9f\u65bd\u6c7a\u5b9a (EU) 2021\/914 \u306b\u3088\u308a\u627f\u8a8d\u3055\u308c\u305f\u3001\u30c7\u30fc\u30bf\u79fb\u8ee2\u306b\u95a2\u3059\u308b\u51e6\u7406\u8005\u9593\u306e\u6a19\u6e96\u5951\u7d04\u6761\u9805\u3092\u610f\u5473\u3057\u307e\u3059\u3002<\/p>

\u201cSecurity Incident\u201d<\/span><\/b> means a breach of MAPSLY\u2019s security leading to the accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to, Customer Data.<\/p>

\u201cService Controls\u201d<\/span><\/b> means the controls, including security features and functionalities, that the Services provide, as described in the Documentation.<\/p>

\u82f1\u56fd\u88dc\u907a<\/span><\/b> \u82f1\u56fd\u60c5\u5831\u30b3\u30df\u30c3\u30b7\u30e7\u30ca\u30fc\u304c\u767a\u884c\u3057\u305fEU\u59d4\u54e1\u4f1a\u6a19\u6e96\u5951\u7d04\u6761\u9805\u3078\u306e\u56fd\u969b\u30c7\u30fc\u30bf\u79fb\u8ee2\u88dc\u907a\u3092\u610f\u5473\u3057, 2022\u5e743\u670821\u65e5\u306b\u767a\u52b9\u3057\u307e\u3059.<\/p>

UK GDPR<\/span><\/b> 2018\u5e74\u6b27\u5dde\u9023\u5408\uff08\u96e2\u8131\uff09\u6cd5\u7b2c3\u6761\u306b\u57fa\u3065\u304d\u82f1\u56fd\u6cd5\u306e\u4e00\u90e8\u3092\u69cb\u6210\u3059\u308bGDPR\u3092\u610f\u5473\u3057\u307e\u3059.<\/p>

1. \u30c7\u30fc\u30bf\u51e6\u7406<\/strong><\/h2>

1.1 \u7bc4\u56f2\u3068\u5f79\u5272.<\/span><\/b> This DPA applies when MAPSLY processes Customer Data. In this context, MAPSLY will act as a Processor to Customer, who can act either as Controller or Processor of Customer Data.<\/p>

1.2 \u9867\u5ba2\u30b3\u30f3\u30c8\u30ed\u30fc\u30eb.<\/span><\/b> Customer can use the Service Controls to assist it with its obligations under Applicable Data Protection Law, including its obligations to respond to requests from data subjects. Taking into account the nature of the processing, Customer agrees that it is unlikely that MAPSLY would become aware that Customer Data transferred under the Standard Contractual Clauses is inaccurate or outdated. Nonetheless, if MAPSLY becomes aware that Customer Data transferred under the Standard Contractual Clauses is inaccurate or outdated, it will inform Customer without undue delay. MAPSLY will cooperate with Customer to erase or rectify inaccurate or outdated Customer Data transferred under the Standard Contractual Clauses by providing the Service Controls that Customer can use to erase or rectify Customer Data.<\/p>

1.3 \u30c7\u30fc\u30bf\u51e6\u7406\u306e\u8a73\u7d30.<\/span><\/b><\/p>

1.3.1 \u5bfe\u8c61\u4e8b\u9805.<\/span><\/b> The subject matter of the data processing under this DPA is Customer Data.<\/p>

1.3.2 \u671f\u9593.<\/span><\/b> \u51e6\u7406\u306f\u672c\u5951\u7d04\u306e\u671f\u9593\u4e2d\u304a\u3088\u3073\u305d\u306e\u5f8c\u7b2c11\u6761\u306b\u5f93\u3063\u3066\u9867\u5ba2\u30c7\u30fc\u30bf\u3092\u8fd4\u5374, \u524a\u9664, \u307e\u305f\u306f\u5408\u6cd5\u7684\u306b\u4fdd\u6301\u3059\u308b\u305f\u3081\u306b\u5fc5\u8981\u306a\u9650\u5b9a\u3055\u308c\u305f\u671f\u9593\u306b\u308f\u305f\u308a\u7d99\u7d9a\u3057\u307e\u3059.<\/p>

1.3.3 \u76ee\u7684.<\/span><\/b> The purpose of the data processing under this DPA is the provision of the Services initiated by Customer from time to time.<\/p>

1.3.4 \u51e6\u7406\u306e\u6027\u8cea.<\/span><\/b> \u30b3\u30f3\u30d4\u30e5\u30fc\u30c6\u30a3\u30f3\u30b0\u3001\u30b9\u30c8\u30ec\u30fc\u30b8\u3001\u30b8\u30aa\u30b3\u30fc\u30c7\u30a3\u30f3\u30b0\u3001\u30eb\u30fc\u30c6\u30a3\u30f3\u30b0\u3001\u9867\u5ba2\u306e\u63a5\u7d9a\u6e08\u307f\u30b7\u30b9\u30c6\u30e0\u3068\u306e\u540c\u671f\u3001\u304a\u3088\u3073\u30c9\u30ad\u30e5\u30e1\u30f3\u30c8\u306b\u8a18\u8f09\u3055\u308c\u3001\u9867\u5ba2\u304c\u968f\u6642\u958b\u59cb\u3059\u308b\u305d\u306e\u4ed6\u306e\u30b5\u30fc\u30d3\u30b9\u3002\u3053\u308c\u306b\u306f\u3001\u9867\u5ba2\u304c\u672c\u30b5\u30fc\u30d3\u30b9\u306eAI\u30d9\u30fc\u30b9\u306e\u6a5f\u80fd\u3092\u4f7f\u7528\u3059\u308b\u5834\u5408\u3001\u9867\u5ba2\u306b\u672c\u30b5\u30fc\u30d3\u30b9\u3092\u63d0\u4f9b\u3059\u308b\u3053\u3068\u306e\u307f\u3092\u76ee\u7684\u3068\u3057\u3066\u30b5\u30d6\u30d7\u30ed\u30bb\u30c3\u30b5\u30fc\u3068\u3057\u3066\u95a2\u4e0e\u3059\u308bAI\u30e2\u30c7\u30eb\u30d7\u30ed\u30d0\u30a4\u30c0\u30fc\u306b\u3088\u308b\u51e6\u7406\u304c\u542b\u307e\u308c\u307e\u3059\u3002 MAPSLY\u306f\u3001\u6c4e\u7528\u4eba\u5de5\u77e5\u80fd\u307e\u305f\u306f\u6a5f\u68b0\u5b66\u7fd2\u30e2\u30c7\u30eb\u3092\u30c8\u30ec\u30fc\u30cb\u30f3\u30b0\u3059\u308b\u305f\u3081\u306b\u9867\u5ba2\u30c7\u30fc\u30bf\u3092\u4f7f\u7528\u3057\u307e\u305b\u3093\u3002 \u9867\u5ba2\u304c\u3001\u9867\u5ba2\u306e\u7ba1\u7406\u4e0b\u306b\u3042\u308bAI\u30d7\u30ed\u30d0\u30a4\u30c0\u30fc\u30a2\u30ab\u30a6\u30f3\u30c8\u307e\u305f\u306fAPI\u8a8d\u8a3c\u60c5\u5831\u306e\u63a5\u7d9a\u3092\u9078\u629e\u3057\u305f\u5834\u5408\u3001MAPSLY\u306f\u9867\u5ba2\u306e\u6587\u66f8\u5316\u3055\u308c\u305f\u6307\u793a\u306b\u5f93\u3063\u3066\u9867\u5ba2\u30c7\u30fc\u30bf\u3092\u5f53\u8a72\u30d7\u30ed\u30d0\u30a4\u30c0\u30fc\u306b\u9001\u4fe1\u3059\u308b\u3053\u3068\u304c\u3042\u308a\u307e\u3059; \u5f53\u8a72\u30d7\u30ed\u30d0\u30a4\u30c0\u30fc\u306f\u3001\u305d\u306e\u63a5\u7d9a\u306e\u307f\u3092\u7406\u7531\u3068\u3057\u3066MAPSLY\u304c\u95a2\u4e0e\u3055\u305b\u305f\u30b5\u30d6\u30d7\u30ed\u30bb\u30c3\u30b5\u30fc\u3067\u306f\u306a\u304f\u3001\u9867\u5ba2\u306f\u5f53\u8a72\u30d7\u30ed\u30d0\u30a4\u30c0\u30fc\u3068\u306e\u5951\u7d04\u304a\u3088\u3073\u30c7\u30fc\u30bf\u51e6\u7406\u6761\u4ef6\u306b\u3064\u3044\u3066\u8cac\u4efb\u3092\u8ca0\u3044\u307e\u3059\u3002 MAPSLY\u306f\u3001\u672cDPA\u306b\u5f93\u3044\u3001\u5f53\u8a72\u30d7\u30ed\u30d0\u30a4\u30c0\u30fc\u3078\u306e\u9867\u5ba2\u30c7\u30fc\u30bf\u306e\u81ea\u3089\u306e\u9001\u4fe1\u306b\u3064\u3044\u3066\u5f15\u304d\u7d9a\u304d\u8cac\u4efb\u3092\u8ca0\u3044\u307e\u3059\u3002<\/p>

1.3.6 \u30c7\u30fc\u30bf\u4e3b\u4f53\u306e\u30ab\u30c6\u30b4\u30ea\u30fc.<\/span><\/b> \u30c7\u30fc\u30bf\u4e3b\u4f53\u306b\u306f\u3001\u304a\u5ba2\u69d8\u306e\u9867\u5ba2\u3001\u898b\u8fbc\u307f\u5ba2\u304a\u3088\u3073\u30ea\u30fc\u30c9\u3001\u5f93\u696d\u54e1\u3001\u30b5\u30d7\u30e9\u30a4\u30e4\u30fc\u3001\u30a8\u30f3\u30c9\u30e6\u30fc\u30b6\u30fc\u304c\u542b\u307e\u308c\u308b\u5834\u5408\u304c\u3042\u308a\u307e\u3059\u3002<\/p>

1.4 \u6cd5\u4ee4\u306e\u9075\u5b88.<\/span><\/b> Each party will comply with all laws, rules and regulations applicable to it and binding on it in the performance of this DPA, including Applicable Data Protection Law.<\/p>

1.5 \u7ba1\u7406\u8005\u3068\u3057\u3066\u306eMapsly.<\/span><\/b> \u304a\u5ba2\u69d8\u306f\u3001Mapsly \u304c\u3001\u304a\u5ba2\u69d8\u306e\u30a8\u30f3\u30c9\u30e6\u30fc\u30b6\u30fc\u306b\u95a2\u3059\u308b\u7279\u5b9a\u306e\u60c5\u5831 \u2014 \u30a2\u30ab\u30a6\u30f3\u30c8\u3001\u8a8d\u8a3c\u3001\u8acb\u6c42\u3001\u30b5\u30dd\u30fc\u30c8\u3001\u304a\u3088\u3073\u5229\u7528\u72b6\u6cc1\u306b\u95a2\u3059\u308b\u60c5\u5831\u306a\u3069 \u2014 \u3092\u3001MAPSLY \u30d7\u30e9\u30a4\u30d0\u30b7\u30fc\u30dd\u30ea\u30b7\u30fc\uff08\u73fe\u5728\u306e\u63b2\u8f09\u5148\uff1a, https:\/\/mapsly.com\/privacy-policy<\/a>). Mapsly \u304c\u5f53\u8a72\u60c5\u5831\u306e\u51e6\u7406\u306e\u76ee\u7684\u304a\u3088\u3073\u624b\u6bb5\u3092\u6c7a\u5b9a\u3059\u308b\u7bc4\u56f2\u306b\u304a\u3044\u3066, Mapsly \u306f\u5f53\u8a72\u60c5\u5831\u306e\u72ec\u7acb\u3057\u305f Controller \u3068\u3057\u3066\u884c\u52d5\u3057, MAPSLY Privacy Policy \u304a\u3088\u3073 Applicable Data Protection Law \u306b\u5f93\u3063\u3066\u5f53\u8a72\u60c5\u5831\u3092\u51e6\u7406\u3057\u307e\u3059; \u5f53\u8a72\u60c5\u5831\u306f\u672c DPA \u306b\u57fa\u3065\u3044\u3066\u51e6\u7406\u3055\u308c\u308b Customer Data \u3067\u306f\u3042\u308a\u307e\u305b\u3093. Mapsly \u306f, \u8acb\u6c42, \u30a2\u30ab\u30a6\u30f3\u30c8\u7ba1\u7406, \u30c6\u30af\u30cb\u30ab\u30eb\u30b5\u30dd\u30fc\u30c8, \u88fd\u54c1\u958b\u767a\u306a\u3069, Services \u306e\u904b\u55b6, \u30b5\u30dd\u30fc\u30c8, \u6539\u5584\u306b\u95a2\u9023\u3059\u308b\u6b63\u5f53\u306a\u4e8b\u696d\u76ee\u7684\u306e\u305f\u3081\u306b, \u5f53\u8a72\u60c5\u5831\u3092\u793e\u5185\u304a\u3088\u3073\u30b5\u30fc\u30d3\u30b9\u30d7\u30ed\u30d0\u30a4\u30c0\u30fc\u306b\u958b\u793a\u3059\u308b\u3053\u3068\u304c\u3042\u308a\u307e\u3059.<\/p>

2. \u9867\u5ba2\u306e\u6307\u793a<\/strong><\/h2>

The parties agree that this DPA and the Agreement (including Customer providing instructions via configuration tools such as the MAPSLY Setup console and APIs made available by MAPSLY for the Services) constitute Customer\u2019s documented instructions regarding MAPSLY\u2019s processing of Customer Data (\u201cDocumented Instructions\u201d). MAPSLY will process Customer Data only in accordance with Documented Instructions (which if Customer is acting as a Processor, could be based on the instructions of its Controllers). Additional instructions outside the scope of the Documented Instructions (if any) require prior written agreement between MAPSLY and Customer, including agreement on any additional fees payable by Customer to MAPSLY for carrying out such instructions. Where an additional instruction is required for Customer\u2019s compliance with Applicable Data Protection Law and the parties are unable, within thirty (30) days, to reasonably agree on its implementation and any applicable fees, Customer may terminate the affected Services by written notice, and MAPSLY will refund Customer the prepaid fees prorated for the unused portion of the then-current Billing Period for the terminated Services. Taking into account the nature of the processing, Customer agrees that it is unlikely MAPSLY can form an opinion on whether Documented Instructions infringe Applicable Data Protection Law. If MAPSLY forms such an opinion, it will immediately inform Customer, in which case, Customer is entitled to withdraw or modify its Documented Instructions.<\/p>

3. \u9867\u5ba2\u30c7\u30fc\u30bf\u306e\u6a5f\u5bc6\u6027<\/strong><\/h2>

MAPSLY will not access or use, or disclose to any third party, any Customer Data, except, in each case, as necessary to maintain or provide the Services, or as necessary to comply with the law or a valid and binding order of a governmental body (such as a subpoena or court order). If a governmental body sends MAPSLY a demand for Customer Data, MAPSLY will attempt to redirect the governmental body to request that data directly from Customer. As part of this effort, MAPSLY may provide Customer\u2019s basic contact information to the governmental body. If compelled to disclose Customer Data to a governmental body, then MAPSLY will give Customer reasonable notice of the demand to allow Customer to seek a protective order or other appropriate remedy unless MAPSLY is legally prohibited from doing so.<\/p>

4. MAPSLY\u62c5\u5f53\u8005\u306e\u79d8\u5bc6\u4fdd\u6301\u7fa9\u52d9<\/strong><\/h2>

MAPSLY restricts its personnel from processing Customer Data without authorization by MAPSLY. MAPSLY imposes appropriate contractual obligations upon its personnel, including relevant obligations regarding confidentiality, data protection and data security.<\/p>

5. \u30c7\u30fc\u30bf\u51e6\u7406\u306e\u30bb\u30ad\u30e5\u30ea\u30c6\u30a3<\/strong><\/h2>

5.1<\/span><\/b> MAPSLY\u306f\u3001\u9867\u5ba2\u30c7\u30fc\u30bf\u306e\u30bb\u30ad\u30e5\u30ea\u30c6\u30a3\u304a\u3088\u3073\u6a5f\u5bc6\u6027\u3092\u78ba\u4fdd\u3059\u308b\u305f\u3081\u306b\u9069\u5207\u306a\u6280\u8853\u7684\u304a\u3088\u3073\u7d44\u7e54\u7684\u63aa\u7f6e\u3092\u5b9f\u65bd\u3057\u3066\u304a\u308a\u3001\u4eca\u5f8c\u3082\u7dad\u6301\u3057\u307e\u3059\u3002\u3053\u308c\u306f\u3001\u672cDPA\u306e\u4ed8\u5c5e\u66f8A\uff08\u6280\u8853\u7684\u304a\u3088\u3073\u7d44\u7e54\u7684\u63aa\u7f6e\uff09\u306b\u8a18\u8f09\u3055\u308c\u3001\u304b\u3064\u672cDPA\u304a\u3088\u3073MAPSLY\u30d7\u30e9\u30a4\u30d0\u30b7\u30fc\u30dd\u30ea\u30b7\u30fc\u5185\u306b\u8a18\u8f09\u3055\u308c\u305fMapsly\u306e\u30bb\u30ad\u30e5\u30ea\u30c6\u30a3\u57fa\u6e96\u306b\u5f93\u3046\u3082\u306e\u3067\u3059\u3002MAPSLY\u306f\u3001\u4ed8\u5c5e\u66f8A\u306b\u8a18\u8f09\u3055\u308c\u305f\u63aa\u7f6e\u3092\u968f\u6642\u66f4\u65b0\u3059\u308b\u3053\u3068\u304c\u3067\u304d\u307e\u3059\u3002\u305f\u3060\u3057\u3001\u3044\u304b\u306a\u308b\u66f4\u65b0\u3082\u30b5\u30fc\u30d3\u30b9\u5168\u4f53\u306e\u30bb\u30ad\u30e5\u30ea\u30c6\u30a3\u3092\u5b9f\u8cea\u7684\u306b\u4f4e\u4e0b\u3055\u305b\u306a\u3044\u3053\u3068\u3092\u6761\u4ef6\u3068\u3057\u307e\u3059\u3002<\/p>

5.2 \u304a\u5ba2\u69d8\u306e\u8cac\u4efb\u304a\u3088\u3073\u30aa\u30d7\u30b7\u30e7\u30f3\u306e\u30bb\u30ad\u30e5\u30ea\u30c6\u30a3\u6a5f\u80fd.<\/span><\/b> MAPSLY makes available many Service Controls that Customer can elect to use to further strengthen the security of Customer Data. Customer is responsible for (a) its secure use of the Services, including securing its account authentication credentials, (b) protecting the security of Customer Data when in transit to and from the Services, (c) taking any appropriate steps to securely encrypt or backup Customer Data uploaded to the Services, (d) properly configuring the Services and Service Controls, and (e) taking other steps as Customer considers adequate to ensure security, protection, and deletion of Customer Data.<\/p>

5.3 \u30bb\u30ad\u30e5\u30ea\u30c6\u30a3\u30a4\u30f3\u30b7\u30c7\u30f3\u30c8\u306e\u901a\u77e5.<\/span><\/b><\/p>

5.3.1 \u30bb\u30ad\u30e5\u30ea\u30c6\u30a3\u30a4\u30f3\u30b7\u30c7\u30f3\u30c8.<\/span><\/b> MAPSLY will (a) notify Customer of a Security Incident without undue delay after becoming aware of the Security Incident, and (b) take appropriate measures to address the Security Incident, including measures to mitigate any adverse effects resulting from the Security Incident.<\/p>

5.3.2 MAPSLY \u30b5\u30dd\u30fc\u30c8.<\/span><\/b> To enable Customer to notify a Security Incident to supervisory authorities or data subjects (as applicable), MAPSLY will cooperate with and assist Customer by including in the notification such information about the Security Incident as MAPSLY is able to disclose to Customer, taking into account the nature of the processing, the information available to MAPSLY, and any restrictions on disclosing the information, such as confidentiality. Taking into account the nature of the processing, Customer agrees that it is best able to determine the likely consequences of a Security Incident.<\/p>

5.3.3 \u4e0d\u6210\u529f\u306b\u7d42\u308f\u3063\u305f\u30bb\u30ad\u30e5\u30ea\u30c6\u30a3\u30a4\u30f3\u30b7\u30c7\u30f3\u30c8.<\/span><\/b> Customer agrees that:<\/p>

(i) \u4e0d\u6210\u529f\u306b\u7d42\u308f\u3063\u305f\u30bb\u30ad\u30e5\u30ea\u30c6\u30a3\u30a4\u30f3\u30b7\u30c7\u30f3\u30c8\u306f\u3001\u672c\u30bb\u30af\u30b7\u30e7\u30f35.3\u306e\u5bfe\u8c61\u3068\u306f\u306a\u308a\u307e\u305b\u3093\u3002\u4e0d\u6210\u529f\u306b\u7d42\u308f\u3063\u305f\u30bb\u30ad\u30e5\u30ea\u30c6\u30a3\u30a4\u30f3\u30b7\u30c7\u30f3\u30c8\u3068\u306f\u3001\u9867\u5ba2\u30c7\u30fc\u30bf\u307e\u305f\u306f\u9867\u5ba2\u30c7\u30fc\u30bf\u3092\u4fdd\u7ba1\u3059\u308bMAPSLY\u306e\u6a5f\u5668\u3082\u3057\u304f\u306f\u65bd\u8a2d\u3078\u306e\u4e0d\u6b63\u30a2\u30af\u30bb\u30b9\u304c\u767a\u751f\u3057\u306a\u3044\u3082\u306e\u3092\u3044\u3044\u3001\u3053\u308c\u306b\u306f\u3001\u5236\u9650\u306a\u304f\u3001\u30d5\u30a1\u30a4\u30a2\u30a6\u30a9\u30fc\u30eb\u307e\u305f\u306f\u30a8\u30c3\u30b8\u30b5\u30fc\u30d0\u30fc\u306b\u5bfe\u3059\u308bping\u304a\u3088\u3073\u305d\u306e\u4ed6\u306e\u30d6\u30ed\u30fc\u30c9\u30ad\u30e3\u30b9\u30c8\u653b\u6483\u3001\u30dd\u30fc\u30c8\u30b9\u30ad\u30e3\u30f3\u3001\u4e0d\u6210\u529f\u306b\u7d42\u308f\u3063\u305f\u30ed\u30b0\u30aa\u30f3\u8a66\u884c\u3001\u30b5\u30fc\u30d3\u30b9\u62d2\u5426\u653b\u6483\u3001\u30d1\u30b1\u30c3\u30c8\u30b9\u30cb\u30c3\u30d5\u30a3\u30f3\u30b0\uff08\u307e\u305f\u306f\u30d8\u30c3\u30c0\u30fc\u3092\u8d85\u3048\u308b\u30a2\u30af\u30bb\u30b9\u306b\u81f3\u3089\u306a\u3044\u30c8\u30e9\u30d5\u30a3\u30c3\u30af\u30c7\u30fc\u30bf\u3078\u306e\u305d\u306e\u4ed6\u306e\u4e0d\u6b63\u30a2\u30af\u30bb\u30b9\uff09\u307e\u305f\u306f\u985e\u4f3c\u306e\u30a4\u30f3\u30b7\u30c7\u30f3\u30c8\u304c\u542b\u307e\u308c\u308b\u5834\u5408\u304c\u3042\u308a\u307e\u3059; \u306a\u3089\u3073\u306b,<\/p>

(ii) \u672c\u7b2c5.3\u6761\u306b\u57fa\u3065\u304f\u30bb\u30ad\u30e5\u30ea\u30c6\u30a3\u30a4\u30f3\u30b7\u30c7\u30f3\u30c8\u306e\u5831\u544a\u307e\u305f\u306f\u5bfe\u5fdc\u306b\u95a2\u3059\u308bMAPSLY\u306e\u7fa9\u52d9\u306f\u3001\u5f53\u8a72\u30bb\u30ad\u30e5\u30ea\u30c6\u30a3\u30a4\u30f3\u30b7\u30c7\u30f3\u30c8\u306b\u95a2\u3059\u308bMAPSLY\u306e\u904e\u5931\u307e\u305f\u306f\u8cac\u4efb\u3092MAPSLY\u304c\u8a8d\u3081\u305f\u3082\u306e\u3067\u306f\u306a\u304f\u3001\u307e\u305f\u305d\u306e\u3088\u3046\u306b\u89e3\u91c8\u3055\u308c\u308b\u3053\u3068\u3082\u3042\u308a\u307e\u305b\u3093\u3002<\/p>

5.3.4 \u30b3\u30df\u30e5\u30cb\u30b1\u30fc\u30b7\u30e7\u30f3.<\/span><\/b> Notification(s) of Security Incidents, if any, will be delivered to one or more of Customer\u2019s administrators by any means MAPSLY selects, including via email. It is Customer\u2019s sole responsibility to ensure Customer\u2019s administrators maintain accurate contact information on the MAPSLY Setup console and secure transmission at all times.<\/p>

5.3.5 \u901a\u77e5\u7fa9\u52d9.<\/span><\/b> If MAPSLY notifies Customer of a Security Incident, or Customer otherwise becomes aware of any accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to, Customer Data, Customer will be responsible for (a) determining if there is any resulting notification or other obligation under Applicable Data Protection Law and (b) taking necessary action to comply with those obligations. This does not limit MAPSLY\u2019s obligations under this Section 5.3.<\/p>

6. \u518d\u59d4\u8a17\u51e6\u7406<\/strong><\/h2>

6.1 \u627f\u8a8d\u6e08\u307f\u30b5\u30d6\u30d7\u30ed\u30bb\u30c3\u30b5.<\/span><\/b> \u304a\u5ba2\u69d8\u306f\u3001\u672c\u6761\u306b\u5f93\u3044\u3001\u304a\u5ba2\u69d8\u306b\u4ee3\u308f\u3063\u3066\u304a\u5ba2\u69d8\u30c7\u30fc\u30bf\u306b\u5bfe\u3059\u308b\u51e6\u7406\u6d3b\u52d5\u3092\u63d0\u4f9b\u3059\u308b\u305f\u3081\u306bMAPSLY\u304c\u30b5\u30d6\u30d7\u30ed\u30bb\u30c3\u30b5\u30fc\u3092\u4f7f\u7528\u3059\u308b\u3053\u3068\u306b\u3064\u3044\u3066\u3001\u4e00\u822c\u7684\u306a\u627f\u8a8d\u3092\u4e0e\u3048\u307e\u3059 (\u201c\u30b5\u30d6\u30d7\u30ed\u30bb\u30c3\u30b5\u30fc\u201d). 6.2 \u30b5\u30d6\u30d7\u30ed\u30bb\u30c3\u30b5\u30fc\u306e\u7fa9\u52d9.<\/span><\/b> Where MAPSLY authorizes a Sub-processor as described in Section 6.1:<\/p>

(i) MAPSLY\u306f\u3001\u30b5\u30d6\u30d7\u30ed\u30bb\u30c3\u30b5\u306b\u3088\u308b\u9867\u5ba2\u30c7\u30fc\u30bf\u3078\u306e\u30a2\u30af\u30bb\u30b9\u3092\u3001\u30c9\u30ad\u30e5\u30e1\u30f3\u30c8\u306b\u5f93\u3063\u3066\u30b5\u30fc\u30d3\u30b9\u3092\u63d0\u4f9b\u307e\u305f\u306f\u7dad\u6301\u3059\u308b\u305f\u3081\u306b\u5fc5\u8981\u306a\u7bc4\u56f2\u306e\u307f\u306b\u5236\u9650\u3057\u3001MAPSLY\u306f\u3001\u30b5\u30d6\u30d7\u30ed\u30bb\u30c3\u30b5\u304c\u305d\u306e\u4ed6\u306e\u76ee\u7684\u3067\u9867\u5ba2\u30c7\u30fc\u30bf\u306b\u30a2\u30af\u30bb\u30b9\u3059\u308b\u3053\u3068\u3092\u7981\u6b62\u3057\u307e\u3059;,<\/p>

(ii) MAPSLY\u306f\u518d\u59d4\u8a17\u5148\u3068\u306e\u9593\u3067\u66f8\u9762\u306b\u3088\u308b\u5951\u7d04\u3092\u7de0\u7d50\u3057\u3001\u518d\u59d4\u8a17\u5148\u304c\u672cDPA\u306b\u57fa\u3065\u304dMAPSLY\u304c\u63d0\u4f9b\u3059\u308b\u3082\u306e\u3068\u540c\u3058\u30c7\u30fc\u30bf\u51e6\u7406\u30b5\u30fc\u30d3\u30b9\u3092\u5b9f\u65bd\u3059\u308b\u7bc4\u56f2\u306b\u304a\u3044\u3066\u3001MAPSLY\u306f\u518d\u59d4\u8a17\u5148\u306b\u5bfe\u3057\u3001\u672cDPA\u306b\u57fa\u3065\u304dMAPSLY\u304c\u8ca0\u3046\u3082\u306e\u3068\u540c\u3058\u5951\u7d04\u4e0a\u306e\u7fa9\u52d9\u3092\u8ab2\u3059\u3082\u306e\u3068\u3057\u307e\u3059\uff1b\u304a\u3088\u3073,<\/p>

(iii) MAPSLY\u306f\u3001\u672cDPA\u306e\u7fa9\u52d9\u306e\u9075\u5b88\u3001\u304a\u3088\u3073MAPSLY\u304c\u672cDPA\u306b\u57fa\u3065\u304fMAPSLY\u306e\u7fa9\u52d9\u306e\u3044\u305a\u308c\u304b\u306b\u9055\u53cd\u3059\u308b\u539f\u56e0\u3068\u306a\u308b\u30b5\u30d6\u30d7\u30ed\u30bb\u30c3\u30b5\u30fc\u306e\u4f5c\u70ba\u307e\u305f\u306f\u4e0d\u4f5c\u70ba\u306b\u3064\u3044\u3066\u3001\u5f15\u304d\u7d9a\u304d\u8cac\u4efb\u3092\u8ca0\u3044\u307e\u3059\u3002<\/p>

7. \u30c7\u30fc\u30bf\u4e3b\u4f53\u306e\u30ea\u30af\u30a8\u30b9\u30c8\u306b\u95a2\u3059\u308bMAPSLY\u306e\u652f\u63f4<\/strong><\/h2>

Taking into account the nature of the processing, the Service Controls are the technical and organizational measures by which MAPSLY will assist Customer in fulfilling Customer\u2019s obligations to respond to data subjects\u2019 requests under Applicable Data Protection Law. If a data subject makes a request to MAPSLY, MAPSLY will promptly forward such request to Customer once MAPSLY has identified that the request is from a data subject for whom Customer is responsible. Customer authorizes on its behalf, and on behalf of its controllers when Customer is acting as a Processor, MAPSLY to respond to any data subject who makes a request to MAPSLY, to confirm that MAPSLY has forwarded the request to Customer. The parties agree that Customer\u2019s use of the Service Controls and MAPSLY forwarding data subjects\u2019 requests to Customer in accordance with this section represent the scope and extent of Customer\u2019s required assistance.<\/p>

8. \u30b3\u30f3\u30d7\u30e9\u30a4\u30a2\u30f3\u30b9\u691c\u8a3c<\/strong><\/h2>

8.1 MAPSLY \u76e3\u67fb.<\/span><\/b> MAPSLY\u306f\u3001\u305d\u306e\u30bb\u30ad\u30e5\u30ea\u30c6\u30a3\u5bfe\u7b56\u306e\u59a5\u5f53\u6027\u3092\u691c\u8a3c\u3059\u308b\u305f\u3081\u306b\u5916\u90e8\u76e3\u67fb\u4eba\u3092\u4f7f\u7528\u3057\u307e\u3059\u3002\u672c\u76e3\u67fb: (a) \u5c11\u306a\u304f\u3068\u3082\u5e741\u56de\u5b9f\u65bd\u3055\u308c\u307e\u3059; (b) \u5e83\u304f\u8a8d\u3081\u3089\u308c\u305f\u57fa\u6e96\uff08SOC 2 Type II\u306a\u3069\uff09\u306b\u5f93\u3063\u3066\u5b9f\u65bd\u3055\u308c\u307e\u3059; (c) MAPSLY\u304c\u9078\u5b9a\u3057\u3001\u305d\u306e\u8cbb\u7528\u8ca0\u62c5\u3067\u3001\u72ec\u7acb\u3057\u305f\u7b2c\u4e09\u8005\u306e\u30bb\u30ad\u30e5\u30ea\u30c6\u30a3\u5c02\u9580\u5bb6\u306b\u3088\u3063\u3066\u5b9f\u65bd\u3055\u308c\u307e\u3059; \u304a\u3088\u3073 (d) \u76e3\u67fb\u5831\u544a\u66f8\uff08\u201c\u5831\u544a\u66f8\u201d\uff09\u306e\u4f5c\u6210\u306b\u3064\u306a\u304c\u308a\u3001\u3053\u308c\u306fMAPSLY\u306e\u6a5f\u5bc6\u60c5\u5831\u3068\u306a\u308a\u307e\u3059.<\/p>

8.2 \u76e3\u67fb\u30ec\u30dd\u30fc\u30c8.<\/span><\/b> At Customer\u2019s written request, and provided that the parties have an applicable NDA in place, MAPSLY will provide Customer with a copy of the Report so that Customer can reasonably verify MAPSLY\u2019s compliance with its obligations under this DPA.<\/p>

8.3 \u30d7\u30e9\u30a4\u30d0\u30b7\u30fc\u5f71\u97ff\u8a55\u4fa1\u304a\u3088\u3073\u4e8b\u524d\u5354\u8b70.<\/span><\/b> Taking into account the nature of the processing and the information available to MAPSLY, MAPSLY will assist Customer in complying with Customer\u2019s obligations in respect of data protection impact assessments and prior consultation by providing the information MAPSLY makes available under this Section 8.<\/p>

9. \u500b\u4eba\u30c7\u30fc\u30bf\u306e\u79fb\u8ee2<\/strong><\/h2>

9.1 \u30ed\u30b1\u30fc\u30b7\u30e7\u30f3.<\/span><\/b> MAPSLY\u306f\u3001\u7c73\u56fd\u5185\u306eMAPSLY\u30cd\u30c3\u30c8\u30ef\u30fc\u30af\u5185\u3067\u9867\u5ba2\u30c7\u30fc\u30bf\u3092\u4fdd\u5b58\u304a\u3088\u3073\u51e6\u7406\u3057\u307e\u3059\u3002MAPSLY\u306e\u62c5\u5f53\u8005\u304a\u3088\u3073\u518d\u59d4\u8a17\u5148\u306f\u3001\u30b5\u30fc\u30d3\u30b9\u306e\u63d0\u4f9b\u3001\u7dad\u6301\u3001\u304a\u3088\u3073\u30b5\u30dd\u30fc\u30c8\u306b\u5fc5\u8981\u306a\u7bc4\u56f2\u306b\u9650\u308a\u3001\u696d\u52d9\u3092\u884c\u3046\u4ed6\u306e\u56fd\u304b\u3089\u9867\u5ba2\u30c7\u30fc\u30bf\u306b\u30ea\u30e2\u30fc\u30c8\u3067\u30a2\u30af\u30bb\u30b9\u3059\u308b\u3053\u3068\u304c\u3067\u304d\u307e\u3059\uff1b\u3053\u306e\u3088\u3046\u306a\u30a2\u30af\u30bb\u30b9\u306f\u3001\u672c\u7b2c9\u6761\u306b\u6e96\u62e0\u3059\u308b\u30c7\u30fc\u30bf\u79fb\u8ee2\u3092\u69cb\u6210\u3057\u307e\u3059\u3002MAPSLY\u306f\u3001\u9867\u5ba2\u304c\u958b\u59cb\u3057\u305f\u30b5\u30fc\u30d3\u30b9\u3092\u63d0\u4f9b\u3059\u308b\u305f\u3081\u306b\u5fc5\u8981\u306a\u5834\u5408\u3001\u307e\u305f\u306f\u6cd5\u5f8b\u3082\u3057\u304f\u306f\u653f\u5e9c\u6a5f\u95a2\u306e\u6709\u52b9\u304b\u3064\u62d8\u675f\u529b\u306e\u3042\u308b\u547d\u4ee4\u3092\u9075\u5b88\u3059\u308b\u305f\u3081\u306b\u5fc5\u8981\u306a\u5834\u5408\u3092\u9664\u304d\u3001EEA\u3001\u82f1\u56fd\u3001\u30b9\u30a4\u30b9\u3001\u304a\u3088\u3073\u7c73\u56fd\u5916\u306b\u9867\u5ba2\u30c7\u30fc\u30bf\u3092\u305d\u306e\u4ed6\u306e\u65b9\u6cd5\u3067\u79fb\u8ee2\u3057\u307e\u305b\u3093\u3002<\/p>

9.2 \u6a19\u6e96\u5951\u7d04\u6761\u9805\u306e\u9069\u7528.<\/span><\/b> \u7b2c9.3\u9805\u306b\u5f93\u3044\u3001\u6a19\u6e96\u5951\u7d04\u6761\u9805\u306f\u3001GDPR\u3001UK GDPR\u3001\u307e\u305f\u306fFADP\u306e\u9069\u7528\u3092\u53d7\u3051\u3001\u76f4\u63a5\u307e\u305f\u306f\u518d\u79fb\u8ee2\u306b\u3088\u308a\u3001\u7b2c\u4e09\u56fd\u306b\u79fb\u8ee2\u3055\u308c\u308b\u9867\u5ba2\u30c7\u30fc\u30bf\uff08\u305d\u308c\u305e\u308c\u3092\u201c\u30c7\u30fc\u30bf\u79fb\u8ee2\u201d\u3068\u3044\u3044\u307e\u3059\uff09\u306b\u306e\u307f\u9069\u7528\u3055\u308c\u307e\u3059\u3002<\/p>

9.2.1<\/span><\/b> When Customer is acting as a Controller, the Controller-to-Processor Clauses will apply to a Data Transfer.<\/p>

9.2.2<\/span><\/b> When Customer is acting as a Processor, the Processor-to-Processor Clauses will apply to a Data Transfer. Taking into account the nature of the processing, Customer agrees that it is unlikely that MAPSLY will know the identity of Customer\u2019s Controllers because MAPSLY has no direct relationship with Customer\u2019s Controllers and therefore, Customer will fulfill MAPSLY\u2019s obligations to Customer\u2019s Controllers under the Processor-to-Processor Clauses.<\/p>

9.2.3<\/span><\/b> UK GDPR\u306e\u5bfe\u8c61\u3068\u306a\u308b\u30c7\u30fc\u30bf\u8ee2\u9001\u306b\u3064\u3044\u3066\u306f, UK\u88dc\u907a\u306b\u3088\u3063\u3066\u88dc\u8db3\u3055\u308c\u305f\u6a19\u6e96\u5951\u7d04\u6761\u9805\u304c\u9069\u7528\u3055\u308c, \u7b2c9.4.\u9805\u306b\u5b9a\u3081\u308b\u3068\u304a\u308a\u306b\u8a18\u5165\u3055\u308c\u307e\u3059.,<\/p>

9.2.4<\/span><\/b> FADP\u306e\u5bfe\u8c61\u3068\u306a\u308b\u30c7\u30fc\u30bf\u79fb\u8ee2\u306b\u3064\u3044\u3066\u306f\u3001\u6a19\u6e96\u5951\u7d04\u6761\u9805\u304c\u6b21\u306e\u9069\u5fdc\u3092\u4f34\u3063\u3066\u9069\u7528\u3055\u308c\u307e\u3059: (i) GDPR\u3078\u306e\u8a00\u53ca\u306fFADP\u3078\u306e\u8a00\u53ca\u3068\u3057\u3066\u8aad\u307f\u66ff\u3048\u3089\u308c\u307e\u3059; (ii) \u6240\u8f44\u306e\u76e3\u7763\u6a5f\u95a2\u306f\u30b9\u30a4\u30b9\u9023\u90a6\u30c7\u30fc\u30bf\u4fdd\u8b77\u30fb\u60c5\u5831\u30b3\u30df\u30c3\u30b7\u30e7\u30ca\u30fc\u3067\u3059; (iii) \u201c\u52a0\u76df\u56fd\u201d\u3068\u3044\u3046\u7528\u8a9e\u306f\u30b9\u30a4\u30b9\u3092\u542b\u3080\u3082\u306e\u3068\u89e3\u91c8\u3055\u308c\u3001\u3053\u308c\u306b\u3088\u308a\u30b9\u30a4\u30b9\u306e\u30c7\u30fc\u30bf\u4e3b\u4f53\u306f\u901a\u5e38\u306e\u5c45\u4f4f\u5730\u3067\u81ea\u8eab\u306e\u6a29\u5229\u3092\u884c\u4f7f\u3067\u304d\u307e\u3059; and (iv) EU\u6cd5\u3078\u306e\u8a00\u53ca\u306f\u3001\u79fb\u8ee2\u304cFADP\u306e\u307f\u306b\u5f93\u3046\u5834\u5408\u3001\u30b9\u30a4\u30b9\u6cd5\u3078\u306e\u8a00\u53ca\u3068\u3057\u3066\u8aad\u307f\u66ff\u3048\u3089\u308c\u307e\u3059\u3002<\/p>

9.3 \u4ee3\u66ff\u79fb\u8ee2\u30e1\u30ab\u30cb\u30ba\u30e0.<\/span><\/b> MAPSLY\u304c\u3001\u9069\u7528\u3055\u308c\u308b\u30c7\u30fc\u30bf\u4fdd\u8b77\u6cd5\u306e\u4e0b\u3067\u8a8d\u3081\u3089\u308c\u308b\u6709\u52b9\u306a\u4ee3\u66ff\u79fb\u8ee2\u30e1\u30ab\u30cb\u30ba\u30e0\u3092\u63a1\u7528\u3057\u3066\u3044\u308b\u7bc4\u56f2\u306b\u304a\u3044\u3066 \u2014 EU-U.S. Data Privacy Framework\u3001EU-U.S. Data Privacy Framework\u306eUK Extension\u3001\u304a\u3088\u3073Swiss-U.S. Data Privacy Framework\u306b\u57fa\u3065\u304fMAPSLY\u306e\u8a8d\u8a3c\u3092\u542b\u3080 \u2014 \u5f53\u8a72\u30e1\u30ab\u30cb\u30ba\u30e0\u306f\u3001\u6709\u52b9\u3067\u3042\u308a\u7d9a\u3051\u308b\u9650\u308a\u3001\u6a19\u6e96\u5951\u7d04\u6761\u9805\u306b\u4ee3\u308f\u3063\u3066\u30c7\u30fc\u30bf\u79fb\u8ee2\u306b\u9069\u7528\u3055\u308c\u307e\u3059\u3002\u5f53\u8a72\u4ee3\u66ff\u30e1\u30ab\u30cb\u30ba\u30e0\u304c\u7121\u52b9\u5316\u3001\u505c\u6b62\u3001\u64a4\u56de\u3055\u308c\u305f\u5834\u5408\u3001\u307e\u305f\u306f\u305d\u306e\u4ed6\u306e\u7406\u7531\u3067\u30c7\u30fc\u30bf\u79fb\u8ee2\u306e\u5408\u6cd5\u7684\u6839\u62e0\u3092\u63d0\u4f9b\u3057\u306a\u304f\u306a\u3063\u305f\u5834\u5408\u3001\u6a19\u6e96\u5951\u7d04\u6761\u9805\uff08\u7b2c9.4\u6761\u3067\u8a18\u5165\u3055\u308c\u305f\u3082\u306e\uff09\u306f\u3001\u3044\u305a\u308c\u306e\u5f53\u4e8b\u8005\u306b\u3088\u308b\u8ffd\u52a0\u306e\u63aa\u7f6e\u3082\u306a\u304f\u3001\u5f53\u8a72\u30c7\u30fc\u30bf\u79fb\u8ee2\u306b\u81ea\u52d5\u7684\u306b\u9069\u7528\u3055\u308c\u307e\u3059\u3002MAPSLY\u306f\u3001\u30c7\u30fc\u30bf\u79fb\u8ee2\u306b\u3064\u3044\u3066Data Privacy Framework\u306b\u4f9d\u62e0\u3059\u308b\u9650\u308a\u3001Data Privacy Framework\u8a8d\u8a3c\u3092\u7dad\u6301\u3057\u307e\u3059\u3002<\/p>

9.4 \u6a19\u6e96\u5951\u7d04\u6761\u9805\u306e\u88dc\u5b8c.<\/span><\/b> For each Data Transfer to which the Standard Contractual Clauses apply, the Standard Contractual Clauses are deemed completed as follows: (i) Module Two (transfer controller to processor) applies where Customer acts as a Controller, and Module Three (transfer processor to processor) applies where Customer acts as a Processor; (ii) in Clause 7, the optional docking clause does not apply; (iii) in Clause 9, Option 2 (general written authorisation) applies, and the time period for prior notice of Sub-processor changes is thirty (30) days, in accordance with Section 6.1; (iv) in Clause 11, the optional language does not apply; (v) in Clauses 17 and 18, the governing law and the competent courts are those of Ireland; and (vi) Annex I of the Standard Contractual Clauses is deemed completed with the information set out in Annex B to this DPA, Annex II is deemed completed with Annex A to this DPA, and Annex III is deemed completed with the Sub-processor list referenced in Section 6.1. Where the UK Addendum applies: Table 1 is deemed completed with the parties\u2019 details under the Agreement; Table 2 with the Standard Contractual Clauses as completed above; Table 3 with the Annex information above; and, for Table 4, neither party may end the UK Addendum as set out in Section 19 of the UK Addendum.<\/p>

10. DPA\u306e\u7d42\u4e86<\/strong><\/h2>

\u672cDPA\u306f\u3001\u672c\u5951\u7d04\u306e\u7d42\u4e86\uff08\u300c\u7d42\u4e86\u65e5\u300d\uff09\u307e\u3067\u6709\u52b9\u306b\u5b58\u7d9a\u3057\u307e\u3059\u3002<\/p>

11. \u9867\u5ba2\u30c7\u30fc\u30bf\u306e\u524a\u9664<\/strong><\/h2>

MAPSLY will, without undue delay, notify all relevant parties in such action (for example, creditors, bankruptcy trustee) that any Customer Data subjected to those proceedings is Customer\u2019s property and area of responsibility and that Customer Data is at Customer\u2019s sole disposition.<\/p>
