SUCH LOSSES INCLUDE, WITHOUT LIMITATION, ANY SPECIAL, INDIRECT, INCIDENTAL, STATUTORY, PUNITIVE OR CONSEQUENTIAL LOSSES OR DAMAGES AS WELL AS ANY LOSSES OR DAMAGES CAUSED BY INTERRUPTION OF OPERATIONS. NOTWITHSTANDING ANY OTHER CIRCUMSTANCES OR UNDERSTANDINGS SURROUNDING ANY RELATIONS AMONG THE PARTIES, Mapsly\u2019S ENTIRE LIABILITY TO PARTNER UNDER THIS AGREEMENT SHALL NOT EXCEED US$100 FOR ANY AND ALL CLAIMS FOR DAMAGES OF ANY KIND MADE BY PARTNER UNDER THIS AGREEMENT, AND BY ENTERING THIS AGREEMENT PARTNER RECOGNIZES THE LIMITATIONS HEREIN ON MAPSLY\u2019S LIABILITY.<\/li>\n\n\n\n<li>\u72ec\u7acb\u8acb\u8ca0\u696d\u8005. \u672c\u5951\u7d04\u306b\u304a\u3044\u3066\u3001\u4e21\u5f53\u4e8b\u8005\u306f\u72ec\u7acb\u8acb\u8ca0\u696d\u8005\u3068\u3057\u3066\u81ea\u5df1\u306e\u305f\u3081\u306b\u884c\u52d5\u3057\u307e\u3059. \u672c\u5951\u7d04\u306e\u3044\u304b\u306a\u308b\u898f\u5b9a\u3082\u3001\u672c\u5951\u7d04\u306b\u5b9a\u3081\u308b\u95a2\u4fc2\u3092\u8d85\u3048\u3066\u3001\u4e21\u5f53\u4e8b\u8005\u9593\u306b\u5408\u5f01\u3001\u4ee3\u7406\u3001\u30d5\u30e9\u30f3\u30c1\u30e3\u30a4\u30ba\u3001\u8ca9\u58f2\u4ee3\u7406\u3001\u96c7\u7528\u3001\u307e\u305f\u306f\u305d\u306e\u4ed6\u306e\u3044\u304b\u306a\u308b\u95a2\u4fc2\u3082\u5275\u51fa\u3059\u308b\u3082\u306e\u3067\u306f\u306a\u304f\u3001\u30d1\u30fc\u30c8\u30ca\u30fc\u306f Mapsly \u306e\u4ee3\u7406\u3068\u3057\u3066\u884c\u52d5\u3059\u308b\u3053\u3068\u3092\u660e\u793a\u7684\u306b\u7981\u3058\u3089\u308c\u307e\u3059. \u672c\u5951\u7d04\u306b\u57fa\u3065\u304f\u30d1\u30fc\u30c8\u30ca\u30fc\u306b\u3088\u308b\u30e9\u30a4\u30bb\u30f3\u30b9\u5bfe\u8c61\u6a19\u7ae0\u306e\u8868\u793a\u3001\u30d1\u30fc\u30c8\u30ca\u30fc\u304c\u63d0\u793a\u3059\u308b\u305d\u306e\u4ed6\u306e\u30b3\u30f3\u30c6\u30f3\u30c4\u3001\u307e\u305f\u306f\u30d1\u30fc\u30c8\u30ca\u30fc\u3068\u7b2c\u4e09\u8005\u3068\u306e\u63a5\u89e6\u306f\u3001\u672c\u66f8\u306b\u8a18\u8f09\u3055\u308c\u305f\u95a2\u4fc2\u3092\u8aa4\u3063\u3066\u8868\u793a\u3057\u3066\u306f\u306a\u308a\u307e\u305b\u3093.<\/li>\n\n\n\n<li>\u88dc\u511f. Partner\u307e\u305f\u306f\u305d\u306e\u5f93\u696d\u54e1\u3001\u4ee3\u7406\u4eba\u3001\u8acb\u8ca0\u696d\u8005\u3082\u3057\u304f\u306f\u62db\u5f85\u8005\u304c\u3001\u4e0a\u8a18\u306b\u8a00\u53ca\u3055\u308c\u305f\u6cd5\u5f8b\u304a\u3088\u3073\u898f\u5236\u3092\u9075\u5b88\u3057\u306a\u3044\u3053\u3068.<\/li>\n\n\n\n<li>\u6a5f\u5bc6\u60c5\u5831\u304a\u3088\u3073\u5f15\u304d\u629c\u304d\u306e\u7981\u6b62. \u5404\u5f53\u4e8b\u8005\u306f, \u5951\u7d04\u306e\u7de0\u7d50\u524d, \u7de0\u7d50\u4e2d\u304a\u3088\u3073\u7de0\u7d50\u5f8c\u306b\u76f8\u624b\u65b9\u304b\u3089\u53d7\u9818\u3057\u305f\u6a5f\u5bc6\u6027\u3092\u6709\u3059\u308b\u3059\u3079\u3066\u306e\u60c5\u5831\u304c\u6a5f\u5bc6\u3068\u3057\u3066\u4fdd\u6301\u3055\u308c\u308b\u3053\u3068\u3092\u4fdd\u8a3c\u3057\u307e\u3059. \u60c5\u5831\u306f, \u4fa1\u683c, \u5272\u5f15, \u7d39\u4ecb\u306b\u95a2\u3059\u308b\u60c5\u5831\u306b\u95a2\u9023\u3059\u308b\u5834\u5408, \u307e\u305f\u306f\u3044\u305a\u308c\u304b\u306e\u5f53\u4e8b\u8005\u306b\u3088\u308a\u6a5f\u5bc6\u3068\u3057\u3066\u6307\u5b9a\u3055\u308c\u305f\u5834\u5408, \u3044\u304b\u306a\u308b\u5834\u5408\u3082\u6a5f\u5bc6\u3068\u307f\u306a\u3055\u308c\u307e\u3059. \u3044\u305a\u308c\u306e\u5f53\u4e8b\u8005\u3082, \u672c\u5951\u7d04\u306e\u671f\u9593\u4e2d\u304a\u3088\u3073\u305d\u306e\u7d42\u4e86\u5f8c1\u5e74\u9593, \u76f8\u624b\u65b9\u306e\u5f93\u696d\u54e1\u3092\u96c7\u7528, \u63a1\u7528\u307e\u305f\u306f\u52e7\u8a98\u3057\u3066\u306f\u306a\u3089\u305a, \u307e\u305f\u5f53\u8a72\u5f93\u696d\u54e1\u3092\u76f4\u63a5\u307e\u305f\u306f\u9593\u63a5\u3092\u554f\u308f\u305a\u5f53\u8a72\u5f53\u4e8b\u8005\u306e\u305f\u3081\u306b\u50cd\u304b\u305b\u3066\u306f\u306a\u308a\u307e\u305b\u3093.<\/li>\n\n\n\n<li>\u4e0d\u53ef\u6297\u529b. \u3044\u305a\u308c\u306e\u5f53\u4e8b\u8005\u3082\u3001\u4e0d\u53ef\u6297\u529b\u306e\u72b6\u6cc1\u306b\u3088\u308a\u59a8\u3052\u3089\u308c\u305f\u5834\u5408\u3001\u672c\u66f8\u306b\u304a\u3051\u308b\u3044\u304b\u306a\u308b\u7fa9\u52d9\u306e\u5c65\u884c\u3082\u7fa9\u52d9\u4ed8\u3051\u3089\u308c\u306a\u3044\u3082\u306e\u3068\u3057\u307e\u3059. \u201c\u4e0d\u53ef\u6297\u529b\u201d\u4e8b\u7531\u306b\u306f\u3001\u5929\u707d\u3001\u653f\u5e9c\u306e\u884c\u70ba\u3001\u81ea\u7136\u73fe\u8c61\u3001\u30b9\u30c8\u30e9\u30a4\u30ad\u307e\u305f\u306f\u66b4\u52d5\u3001\u306a\u3089\u3073\u306bMapsly\u306e\u30b5\u30d7\u30e9\u30a4\u30e4\u30fc\u306b\u3088\u308b\u4e0d\u9069\u5207\u306a\u5c65\u884c\u3001\u307e\u305f\u306f\u7b2c\u4e09\u8005\u306e\u7269\u54c1\u3001\u8cc7\u6599\u3082\u3057\u304f\u306f\u30bd\u30d5\u30c8\u30a6\u30a7\u30a2\u306e\u6b20\u9665\u3092\u542b\u3080\u3001\u5f53\u4e8b\u8005\u306e\u5408\u7406\u7684\u306a\u652f\u914d\u3092\u8d85\u3048\u308b\u4e8b\u7531\u304c\u542b\u307e\u308c\u308b\u3082\u306e\u3068\u3057\u307e\u3059. \u4e0d\u53ef\u6297\u529b\u306e\u72b6\u6cc1\u304c\u4e09\u5341\uff0830\uff09\u65e5\u3092\u8d85\u3048\u3066\u7d99\u7d9a\u3059\u308b\u5834\u5408\u3001\u3044\u305a\u308c\u306e\u5f53\u4e8b\u8005\u3082\u3001\u76f8\u624b\u65b9\u5f53\u4e8b\u8005\u3078\u306e\u66f8\u9762\u306b\u3088\u308b\u901a\u77e5\u306b\u3088\u308a\u3001\u672c\u5951\u7d04\u3092\u7d42\u4e86\u3059\u308b\u3053\u3068\u304c\u3067\u304d\u307e\u3059.<\/li>\n\n\n\n<li>\u5b8c\u5168\u5408\u610f\uff1b\u5206\u96e2\u53ef\u80fd\u6027\u3002\u672c\u5951\u7d04\u306f\u3001\u305d\u306e\u5bfe\u8c61\u4e8b\u9805\u306a\u3089\u3073\u306b\u672c\u5951\u7d04\u306b\u304a\u3051\u308b\u5f53\u4e8b\u8005\u305d\u308c\u305e\u308c\u306e\u7fa9\u52d9\u304a\u3088\u3073\u78ba\u7d04\u306b\u95a2\u3057\u3066\u3001\u5f53\u4e8b\u8005\u9593\u306e\u5b8c\u5168\u306a\u5408\u610f\u3092\u8868\u3057\u307e\u3059\u3002\u305d\u306e\u4ed6\u306e\u6587\u66f8\u3001\u307e\u305f\u306f\u5f53\u4e8b\u8005\u9593\u306e\u53e3\u982d\u3082\u3057\u304f\u306f\u66f8\u9762\u306b\u3088\u308b\u5408\u610f\u306f\u3001\u672c\u5951\u7d04\u306b\u5b9a\u3081\u3089\u308c\u305f\u5408\u610f\u3092\u3044\u304b\u306a\u308b\u5f62\u3067\u3082\u53cd\u6620\u3059\u308b\u3082\u306e\u3067\u306f\u3042\u308a\u307e\u305b\u3093\u3002\u53ef\u80fd\u306a\u9650\u308a\u3001\u672c\u5951\u7d04\u306e\u5404\u6761\u9805\u306f\u3001\u9069\u7528\u6cd5\u306e\u4e0b\u3067\u6709\u52b9\u304b\u3064\u52b9\u529b\u3092\u6709\u3059\u308b\u3088\u3046\u306b\u89e3\u91c8\u3055\u308c\u308b\u3082\u306e\u3068\u3057\u307e\u3059\u304c\u3001\u672c\u5951\u7d04\u306e\u3044\u305a\u308c\u304b\u306e\u6761\u9805\u304c\u9069\u7528\u6cd5\u306b\u3088\u308a\u7981\u6b62\u3055\u308c\u308b\u3001\u307e\u305f\u306f\u9069\u7528\u6cd5\u306e\u4e0b\u3067\u7121\u52b9\u3068\u3055\u308c\u308b\u5834\u5408\u3001\u5f53\u8a72\u6761\u9805\u306f\u304b\u304b\u308b\u7981\u6b62\u307e\u305f\u306f\u7121\u52b9\u306e\u7bc4\u56f2\u306b\u9650\u308a\u52b9\u529b\u3092\u6709\u3057\u306a\u3044\u3082\u306e\u3068\u3057\u3001\u5f53\u8a72\u6761\u9805\u306e\u6b8b\u308a\u306e\u90e8\u5206\u307e\u305f\u306f\u672c\u5951\u7d04\u306e\u6b8b\u308a\u306e\u6761\u9805\u3092\u7121\u52b9\u306b\u3059\u308b\u3082\u306e\u3067\u306f\u3042\u308a\u307e\u305b\u3093\u3002<\/li>\n\n\n\n<li>Anti-Bribery and Export Compliance. Partner agrees not to promote, approach or submit Referrals, or use distribute, transfer, provide, sub-license, share with, or otherwise offer the Service in violation of any Laws or this Agreement, including, without limitation, the United States Foreign Corrupt Practices Act, the UK Bribery Act and similar anti-corruption statutes in all jurisdictions. Without limiting the foregoing, Partner will not knowingly directly or indirectly export, re-export, transfer, make available or release (collectively, \u201cExport\u201d) the Service to any destination, person, entity or end use prohibited or restricted under US law without prior US government authorization to the extent required by regulation, including without limitation, any parties listed on any of the denied parties lists or specially designated nationals lists maintained under the EAR or the Security, and the Foreign Asset Control Regulations (31 CFR 500 et seq.) administered by the US Department of Treasury, Office of Foreign Assets Control without appropriate US government authorization to the extent required by regulation. Compliance with the trade laws of other countries pertaining to the Export, import, use, or distribution of the Service to Customers and End Users is Partner\u2019s responsibility. Partner agrees to complete, and return to Mapsly, Mapsly\u2019s Partner Questionnaire within ten (10) business days of the Effective Date or the date the materials are supplied to You. Further, Partner agrees to the Acknowledgement of Mapsly\u2019s Global Anti-Corruption Policy attached as Exhibit C to the Agreement and to complete updated compliance certifications as requested by Mapsly from time to time.<\/li>\n\n\n\n<li>\u975e\u8ab9\u8b17\u4e2d\u50b7. \u671f\u9593\u4e2d\u304a\u3088\u3073\u305d\u306e\u5f8c\u4e94 (5) \u5e74\u9593, Partner\u306f\u3001Mapsly\u307e\u305f\u306f\u305d\u306e\u5f79\u54e1\u3001\u53d6\u7de0\u5f79\u3082\u3057\u304f\u306f\u5f93\u696d\u54e1\u3092\u8ab9\u8b17\u4e2d\u50b7\u305b\u305a\u3001\u307e\u305fMapsly\u306e\u8a55\u5224\u306b\u60aa\u5f71\u97ff\u3092\u53ca\u307c\u3059\u3053\u3068\u304c\u5408\u7406\u7684\u306b\u4e88\u60f3\u3055\u308c\u308b\u305d\u306e\u4ed6\u306e\u884c\u70ba\u3092\u884c\u308f\u306a\u3044\u3053\u3068\u306b\u540c\u610f\u3057\u307e\u3059. \u672c\u5951\u7d04\u306e\u76ee\u7684\u4e0a, \u201c\u8ab9\u8b17\u4e2d\u50b7\u3059\u308b\u201d\u3068\u306f\u3001Mapsly\u307e\u305f\u306f\u305d\u306e\u5f79\u54e1\u3001\u53d6\u7de0\u5f79\u3082\u3057\u304f\u306f\u5f93\u696d\u54e1\u306b\u95a2\u3059\u308b\u3001\u66f8\u9762\u307e\u305f\u306f\u53e3\u982d\u3092\u554f\u308f\u306a\u3044\u5426\u5b9a\u7684\u306a\u767a\u8a00\u3092\u610f\u5473\u3057\u307e\u3059. \u4e21\u5f53\u4e8b\u8005\u306f\u3001\u672c\u975e\u8ab9\u8b17\u4e2d\u50b7\u6761\u9805\u304c\u672c\u5951\u7d04\u306e\u91cd\u8981\u306a\u6761\u4ef6\u3067\u3042\u308a\u3001\u3053\u308c\u304c\u5b58\u5728\u3057\u306a\u3051\u308c\u3070Mapsly\u306f\u672c\u5951\u7d04\u306e\u7de0\u7d50\u3092\u62d2\u5426\u3057\u3066\u3044\u305f\u3067\u3042\u308d\u3046\u3053\u3068\u306b\u540c\u610f\u3057\u3001\u3053\u308c\u3092\u8a8d\u3081\u307e\u3059.<\/li>\n\n\n\n<li>\u5f53\u4e8b\u8005\u306e\u8cbb\u7528. \u5404\u5f53\u4e8b\u8005\u306f\u3001\u672c\u5951\u7d04\u306e\u5c65\u884c\u306b\u304a\u3044\u3066\u81ea\u3089\u304c\u8ca0\u62c5\u3057\u305f\u305d\u308c\u305e\u308c\u306e\u3059\u3079\u3066\u306e\u8cbb\u7528\u3001\u6599\u91d1\u304a\u3088\u3073\u7d4c\u8cbb\u3092\u8ca0\u62c5\u3057\u652f\u6255\u3046\u3082\u306e\u3068\u3057\u307e\u3059, \u305f\u3060\u3057\u3001\u5f53\u4e8b\u8005\u304c\u4e8b\u524d\u306b\u66f8\u9762\u3067\u5225\u9014\u5408\u610f\u3057\u305f\u5834\u5408\u3092\u9664\u304d\u307e\u3059.<\/li>\n\n\n\n<li>\u901a\u77e5\u3002\u672c\u5951\u7d04\u306b\u95a2\u9023\u3059\u308b\u3059\u3079\u3066\u306e\u901a\u77e5\u306f\u3001\u96fb\u5b50\u30e1\u30fc\u30eb\uff08\u53d7\u9818\u78ba\u8a8d\u4ed8\u304d\uff09\u307e\u305f\u306f\u7fcc\u65e5\u914d\u9054\u90f5\u4fbf\u306b\u3088\u308a\u3001\u8868\u7d19\u306b\u8a18\u8f09\u3055\u308c\u305f\u4f4f\u6240\u5b9b\u3066\u306b\u9001\u4ed8\u3055\u308c\u308b\u3082\u306e\u3068\u3057\u307e\u3059\u3002<\/li>\n\n\n\n<li>\u6e96\u62e0\u6cd5;
