These Mapsly Terms of Service (this \u201cAgreement\u201d) are between Mapsly LLC, a California limited liability company (\u201cMapsly\u201d), and the entity on whose behalf these Terms of Service are accepted or, if they are not accepted on behalf of an entity, the individual accepting them (\u201cUser\u201d), collectively referred to as the \u201cParties\u201d and individually as the \u201cParty\u201d. By accessing or using the Service, registering for an account, or clicking to accept these Terms of Service, User agrees to be bound by this Agreement. Quotes and order forms (collectively, \u201cQuotes\u201d) executed between Mapsly and User shall be governed by this Agreement. Any capitalized terms used herein but not defined shall have the meanings respectively set forth in the applicable Quote.<\/p>\n\n

1. Servizio Mapsly (\u201cServizio\u201d),<\/strong><\/h2>\n\n

1.1 The Service.<\/strong> The Service is designed to provide User with the capability to visualize location data, analyze it and use it to manage User\u2019s sales and service workforce and business. The Service is based on the Mapsly Internet-based geo-intelligence software platform (the \u201cMapsly Software\u201d) that is hosted by Mapsly or on Mapsly\u2019s behalf and accessible by User remotely through the Mapsly website and mobile applications.<\/p>\n\n

1.2 Business Use.<\/strong> The Service is intended solely for use in User\u2019s trade or business and not for personal, family, or household purposes.<\/p>\n\n

1.3 Third-Party Services.<\/strong> The Service interoperates with third-party products, platforms, and services, including CRM systems, spreadsheet platforms, and mapping and data providers (\u201cThird-Party Services\u201d). Third-Party Services are not part of the Service, and User\u2019s use of them is governed by the applicable third party\u2019s terms. Mapsly does not control Third-Party Services and is not responsible for their availability, accuracy, security, or continued interoperability with the Service. If a third party materially changes, restricts, or withdraws an API or other integration mechanism on which an integration depends, Mapsly may modify, suspend, or discontinue the affected integration without liability to User, and will use commercially reasonable efforts to notify affected Users.<\/p>\n\n

1.4 AI Features.<\/strong> Certain features of the Service use artificial intelligence or machine learning technologies, including features that generate, summarize, transcribe, or suggest content or actions (\u201cAI Features\u201d). AI Features are probabilistic in nature: outputs may be inaccurate, incomplete, or unsuitable for User\u2019s purposes, and may vary for similar inputs. User is responsible for configuring, authorizing, reviewing, and supervising AI Features, and remains solely responsible for outputs generated and actions taken through the Service on User\u2019s behalf \u2014 including communications sent, transactions or workflows initiated, and data created, modified, or deleted in User\u2019s systems. AI Features are provided \u201cas is\u201d and may be modified, supplemented, or discontinued over time. Mapsly does not use User Data or User\u2019s Confidential Information to train generalized artificial intelligence or machine learning models; User Data may be processed by AI model providers acting as Mapsly\u2019s sub-processors solely to provide the Service to User. Where User elects to use its own AI provider account or API keys with the Service, User\u2019s relationship with that provider is governed solely by User\u2019s agreement with that provider; User is responsible for all fees charged by the provider, and Mapsly is not responsible for the provider\u2019s availability, performance, or acts or omissions. As between Mapsly and User, to the extent Mapsly acquires any right, title, or interest in output generated by AI Features for User, Mapsly assigns such rights to User, subject to applicable law and applicable third-party provider terms. AI-generated output may not be unique, and other users may receive the same or similar output. Mapsly does not represent that AI-generated output is copyrightable, exclusively owned, or free of third-party rights. AI usage performed through User\u2019s own AI provider credentials is not charged by Mapsly and does not draw on the AI Allowance or Credits described in Sections 3.11 and 3.12; Mapsly may meter such usage for display and for the purposes of Section 6.7. AI Features may be made available on a limited-availability or beta basis \u2014 including activation by Mapsly on request \u2014 and Mapsly may limit their availability by plan, region, or otherwise; nothing in this Agreement commits Mapsly to make any AI Feature generally available.<\/p>\n\n

2. Concessione della licenza e utilizzo del Service<\/strong><\/h2>\n\n

2.1 Concessione della licenza.<\/strong> Fatto salvo quanto previsto dal presente Accordo, Mapsly concede all\u2019Utente un diritto e una licenza limitati, non trasferibili, non esclusivi e non sublicenziabili per accedere al Servizio e utilizzarlo per la Durata del presente Accordo (la \u201cLicense\u201d), salvo risoluzione anticipata.<\/p>\n\n

2.2 Utilizzo da parte dei dipendenti e dei contraenti dell\u2019Utente.<\/strong> L\u2019Utente pu\u00f2 consentire ai propri dipendenti e collaboratori (collettivamente, \u201cUtenti finali\u201d) di accedere al Servizio, in conformit\u00e0 con i presenti Termini di servizio, a esclusivo beneficio dell\u2019Utente. L\u2019Utente \u00e8 responsabile di garantire che i propri Utenti finali rispettino i presenti Termini di servizio.<\/p>\n\n

3. Pagamento<\/strong><\/h2>\n\n

3.1 Abbonamento al Servizio.<\/strong> Il Servizio diventa disponibile per l\u2019Utente tramite l\u2019abbonamento al Servizio e dopo il pagamento della quota di abbonamento applicabile (la \u201cQuota del Servizio\u201d). Tutte le quote sono pagabili in anticipo e, salvo quanto espressamente stabilito nel presente Contratto o richiesto dalla legge applicabile, non sono rimborsabili n\u00e9 accreditabili, incluse le quote per abbonamenti annuali pagate anticipatamente. Mapsly pu\u00f2 scegliere, a sua esclusiva discrezione, di emettere un rimborso o un credito in un caso particolare; ci\u00f2 non obbliga Mapsly a emettere rimborsi o crediti in qualsiasi altro caso e non costituisce una rinuncia alla presente Sezione.<\/p>\n\n

3.2 Data di fatturazione e periodo di fatturazione.<\/strong> Il Servizio viene addebitato mensilmente o annualmente. Per un abbonamento mensile, la \u201cData di fatturazione\u201d \u00e8 il giorno del mese del primo pagamento della Tariffa del Servizio, e un \u201cPeriodo di fatturazione\u201d inizia alla Data di fatturazione di un mese e dura fino alla Data di fatturazione del mese successivo. Per un abbonamento annuale, la Data di fatturazione \u00e8 il giorno dell\u2019anno del primo pagamento, e il Periodo di fatturazione inizia alla Data di fatturazione di un anno e dura fino al primo anniversario della Data di fatturazione. Gli abbonamenti si rinnovano automaticamente per Periodi di fatturazione successivi alle tariffe allora in vigore, a meno che l\u2019Utente non annulli l\u2019abbonamento prima dell\u2019inizio del Periodo di fatturazione successivo. Per gli abbonamenti annuali, Mapsly invier\u00e0 un avviso di rinnovo all\u2019indirizzo email associato all\u2019account dell\u2019Utente prima della data di rinnovo.<\/p>\n\n

3.3 Prezzi dinamici.<\/strong> Il Corrispettivo del Servizio per ciascun mese \u00e8 determinato in base alle metriche di utilizzo correnti dell\u2019Utente (inclusi, a titolo esemplificativo ma non esaustivo, il numero di postazioni utente acquistate dall\u2019Utente, il volume dei Dati dell\u2019Utente e le funzionalit\u00e0 aggiuntive a pagamento attivate) in conformit\u00e0 ai prezzi di Mapsly pubblicati su, https:\/\/mapsly.com\/pricing<\/a> e pu\u00f2 cambiare di mese in mese in base alle metriche di utilizzo dell\u2019Utente.<\/p>\n\n

Ogni volta che la tariffa di servizio stimata per il mese successivo cambia, Mapsly notificher\u00e0 l'utente via email, a meno che la modifica non sia stata avviata dall'utente nella sezione Fatturazione del software Mapsly.<\/p>\n\n

La struttura dei prezzi, i prezzi di funzionalit\u00e0 specifiche e i metodi di fatturazione possono essere aggiornati nel tempo. Tali modifiche non avranno effetto sull\u2019Utente durante il Periodo di Fatturazione corrente, e l\u2019Utente sar\u00e0 informato di tali modifiche con almeno 30 giorni di anticipo, salvo quanto previsto nella Sezione 3.9 per le modifiche imposte dai fornitori terzi alle loro tariffe, che possono applicarsi dal momento del consumo. Se Mapsly e l\u2019Utente hanno sottoscritto Preventivi con prezzi individuali, i prezzi individuali indicati nei Preventivi hanno la precedenza.<\/p>\n\n

3.4 Upgrade e downgrade.<\/strong> Quando l'Utente esegue l'upgrade a un piano di pagamento superiore o acquista posti utente aggiuntivi, Mapsly addebiter\u00e0 un importo proporzionale fino alla fine del periodo di fatturazione corrente. Quando l'Utente esegue il downgrade a un piano di pagamento inferiore o rimuove posti utente, la nuova Tariffa di Servizio entrer\u00e0 in vigore a partire dal prossimo ciclo di fatturazione.<\/p>\n\n

3.5 Periodo di prova.<\/strong> Per un periodo di tempo limitato, Mapsly pu\u00f2 offrire all\u2019Utente la possibilit\u00e0 di utilizzare il Servizio senza pagamento (il \u201cPeriodo di prova\u201d), come indicato in, https:\/\/mapsly.com\/pricing<\/a>. Alcune funzionalit\u00e0 del Servizio potrebbero non essere disponibili durante il Periodo di prova o potrebbero essere disponibili con limiti di utilizzo pi\u00f9 rigorosi. Al termine del Periodo di prova l\u2019Utente deve sottoscrivere un account a pagamento per continuare a utilizzare il Servizio.<\/p>\n\n

3.6 Sospensione del servizio.<\/strong> If any amounts owed by User for the Service are fourteen (14) or more days overdue, Mapsly may, without limiting Mapsly\u2019s other rights and remedies, suspend User\u2019s subscription and access to the Service until the overdue amounts are paid in full. Mapsly may also suspend User\u2019s access to the Service, in whole or in part, if Mapsly reasonably determines that (i) User\u2019s use of the Service violates Section 6 or poses a security risk to the Service or any third party, or (ii) continued provision of the Service to User could expose Mapsly to liability or is prohibited by applicable law. Mapsly will limit any such suspension in scope and duration to what is reasonably necessary and will restore access promptly once the grounds for suspension are cured. Suspension does not relieve User of its payment obligations, and no Service Fees will be refunded or credited for periods of suspension under this Section.<\/p>\n\n

3.7 Imposte.<\/strong> I corrispettivi sono al netto di tutte le imposte, tasse, dazi e valutazioni governative simili di qualsiasi natura, incluse imposte sul valore aggiunto, sulle vendite, sull\u2019uso e ritenute alla fonte (\u201cImposte\u201d). L\u2019Utente \u00e8 responsabile di tutte le Imposte associate ai propri acquisti ai sensi del presente Accordo, ad eccezione delle imposte basate sul reddito netto di Mapsly. Se l\u2019Utente \u00e8 tenuto dalla legge applicabile a trattenere o dedurre qualsiasi importo da un pagamento a Mapsly, l\u2019Utente dovr\u00e0 aumentare il pagamento in modo che Mapsly riceva l\u2019intero importo che avrebbe ricevuto in assenza della trattenuta o deduzione, e dovr\u00e0 fornire a Mapsly ricevute ufficiali o altra prova del pagamento degli importi trattenuti.<\/p>\n\n

3.8 Pagamenti in ritardo.<\/strong> Qualsiasi importo non pagato alla scadenza matura interessi al tasso dell'1.5% al mese o al tasso massimo consentito dalla legge applicabile, se inferiore, dalla data di scadenza fino al pagamento integrale.<\/p>\n\n

3.9 Tariffe basate sull\u2019utilizzo; Assegnazioni.<\/strong> Alcune funzionalit\u00e0 e risorse del Servizio sono soggette a quote di utilizzo incluse e\/o a tariffe basate sull\u2019utilizzo. Le quote incluse, le unit\u00e0 di misurazione e le tariffe per l\u2019utilizzo oltre le quote incluse sono quelle pubblicate nel Servizio, all\u2019indirizzo, https:\/\/mapsly.com\/pricing<\/a>, at https:\/\/mapsly.com\/usage-limits-and-add-ons<\/a> (o pagine successive), o nella documentazione utente di Mapsly disponibile all'indirizzo https:\/\/help.mapsly.com<\/a> (the \u201cDocumentation\u201d), in each case as updated from time to time. Usage-based fees are calculated at the rates in effect at the time of consumption. Continued use of a metered feature or resource beyond an included allotment may require the purchase of additional capacity. Usage-based fees are charged as part of the Service Fee for the applicable Billing Period or, where a feature is offered on a prepaid basis, by deduction from prepaid capacity; a feature may pause when an allotment or prepaid capacity is exhausted (Section 6.6). Except for changes reflecting a change imposed by the applicable third-party provider to the provider\u2019s rate for the relevant model or service (Section 3.3), changes to usage-based rates are subject to the notice requirements of Section 3.3. Material reductions to included allotments or Published Limits (as defined in Section 6.6) applicable to a paid subscription are likewise subject to the notice requirements of Section 3.3, except where an immediate change is reasonably necessary to protect the security or integrity of the Service. Included allotments reset as published (for example, daily for routing credits and monthly for visit-planner packages) and unused allotment does not carry over. AI usage is additionally governed by Sections 3.11 through 3.13.<\/p>\n\n

Se l\u2019Utente non \u00e8 soddisfatto del Servizio per qualsiasi motivo, Mapsly rimborser\u00e0, su richiesta, le tariffe di abbonamento definite di seguito, a condizione che: (a) l\u2019Utente abbia completato una sessione di onboarding gratuita con un ingegnere delle soluzioni Mapsly \u2014 in qualsiasi momento prima della richiesta, e non oltre trenta (30) giorni dopo il primo pagamento che avvia il Periodo di Garanzia applicabile di seguito (oppure, qualora l\u2019Utente abbia richiesto la sessione entro tale periodo e Mapsly non abbia potuto tenerla entro il periodo, nel primo momento reso disponibile da Mapsly; una richiesta da sola non soddisfa questa condizione); e (b) la richiesta di rimborso sia effettuata via email a, support@mapsly.com<\/a> within the applicable Guarantee Period. The \u201cGuarantee Period\u201d is: (x) for User\u2019s first monthly subscription, thirty (30) days from the first monthly payment, covering a refund of that first monthly payment; and (y) for User\u2019s first annual subscription (including an annual subscription first purchased by a User previously subscribed monthly), ninety (90) days from the first annual payment, covering a refund of all subscription fees paid for that annual subscription. Where the applicable subscription is also User\u2019s first paid subscription, the request must in any event be made no later than one hundred eighty (180) days after User\u2019s Mapsly account was created. Trial periods do not start a Guarantee Period. Mapsly may verify that a request originates from User or, if User is an entity, from an authorized representative of User. The refund is issued to the original payment method, normally within ten (10) business days. Exercising this guarantee cancels User\u2019s subscription; access to the Service ends upon cancellation, and User Data is handled in accordance with Section 11.2 and the DPA. This guarantee: (i) may be exercised once per User, including User\u2019s affiliates, successors, and any related accounts or entities under common control or operation, across both Guarantee Periods combined, and does not apply to renewals or to subscriptions started after a prior refund under this Section; (ii) does not cover fees for professional services, purchases of Credits (Section 3.12), or other amounts under Section 3.9 to the extent consumed; for clarity, the AI Allowance (Section 3.11) has no separately refundable value and its consumption does not reduce the refund; (iii) will never exceed the amounts actually paid, net of credits or refunds already issued; and (iv) may be refused where the request follows a material violation of Section 6, fraudulent conduct, or abuse of the guarantee. Requests made after the applicable Guarantee Period will not be processed, and Section 3.1 applies.<\/p>\n\n

3.12 crediti AI.<\/strong> User may purchase AI usage credits in advance, in the packages and at the prices offered in the Service in the currency of User\u2019s subscription (\u201cCredits\u201d). AI usage draws first on the AI Allowance for the current period and then on Credits, at the rates published under Section 3.13 at the time of use. When both are exhausted, or when a budget User has configured is reached, Mapsly pauses new AI usage until the next allowance period, a further purchase, or a budget change; because metering may occur after an interaction has begun, a limited amount of usage may occur after a balance or budget is reached, and such usage does not create a charge to User or a negative balance. If User enables automatic replenishment (\u201cAutopay\u201d), User authorizes Mapsly and its payment processor to charge User\u2019s payment method on file for a package purchase in the amount User has set whenever User\u2019s Credit balance falls below the threshold User has set; each replenishment is a purchase under this Section, User may change or disable Autopay at any time in Setup with effect for future replenishments, and Mapsly will notify User\u2019s administrators when a replenishment is declined or paused. Mapsly limits the Credit balance User may hold at any time (the \u201cMax Balance\u201d), as published in the Documentation, and may set a different Max Balance for User\u2019s account; no purchase may raise User\u2019s balance above it. Credits are a prepaid entitlement to AI usage within the Service and nothing else: they are not currency, stored value, a deposit, or a gift card; they have no independently redeemable cash value and may not be redeemed or exchanged for cash except as expressly provided in this Agreement; they may not be transferred to another organization or account; and they may be used solely for AI usage within the Service. Except as provided in the next sentence, purchases of Credits are final \u2014 non-refundable whether or not consumed and not covered by the guarantee in Section 3.10 \u2014 and Section 3.1 applies. Except as otherwise expressly provided in this Agreement, Mapsly will refund User\u2019s unconsumed Credits \u2014 valued at the amounts actually paid for those Credits, as determined from Mapsly\u2019s transaction records \u2014 only if Mapsly discontinues AI Features generally, or if User cancels under Section 14.1 because of an amendment that materially and adversely changes this Section, the rates under Section 3.13, or the availability of AI Features for which the Credits were purchased. Purchased Credits do not expire for as long as User\u2019s subscription remains active and may be consumed until User\u2019s access to the Service ends under Section 11, including, after cancellation, for the remainder of the paid period; Credits remaining when access ends are forfeited without refund or compensation. Controls Mapsly provides for AI spend, such as budgets, alerts, and limits, are conveniences; they do not relieve User of responsibility for activity initiated through User\u2019s account (Section 6.3), and usage after a balance or budget is reached is treated as described above.<\/p>\n\n

3.13 Tariffe di utilizzo di AI.<\/strong> Mapsly pubblica le tariffe con cui l\u2019utilizzo di AI attinge all\u2019AI Allowance e ai Credits \u2014 espresse in Credits per unit\u00e0 di consumo e variabili in base al modello e alla funzione \u2014 nel Servizio e nella Documentazione (la \u201cRate Card\u201d). 4. Impegno sul tempo di attivit\u00e0 del servizio<\/strong><\/h2>\n\n

4.1 Manutenzione.<\/strong> Mapsly pu\u00f2 di tanto in tanto eseguire manutenzione programmata, aggiornamenti di sistema e miglioramenti dell\u2019infrastruttura per mantenere e migliorare il Servizio, il che potrebbe richiedere la temporanea indisponibilit\u00e0 del Servizio. Mapsly far\u00e0 ogni ragionevole sforzo per fornire agli Utenti un preavviso di almeno quarantotto (48) ore per la manutenzione programmata e per ridurre al minimo la durata e l\u2019impatto di tali finestre di manutenzione.<\/p>\n\n

4.2 Esclusione di responsabilit\u00e0.<\/strong> SEBBENE MAPSLY SI IMPEGNI A MANTENERE UN\u2019ELEVATA DISPONIBILIT\u00c0 E A RIDURRE AL MINIMO I TEMPI DI INATTIVIT\u00c0, L\u2019UTENTE RICONOSCE CHE ALCUNE INTERRUZIONI SONO INEVITABILI. DI CONSEGUENZA, SALVO QUANTO ESPRESSAMENTE STABILITO NEL PRESENTE ACCORDO, MAPSLY NON SAR\u00c0 RESPONSABILE PER ALCUNA PERDITA DI ATTIVIT\u00c0, RICAVI O DATI, N\u00c9 PER ALCUN DANNO INDIRETTO, INCIDENTALE O CONSEQUENZIALE DERIVANTE DALL\u2019INDISPONIBILIT\u00c0 DEL SERVIZIO, ANCHE DURANTE PERIODI DI MANUTENZIONE O AGGIORNAMENTI.<\/p>\n\n

4.3 Definizione di tempo di inattivit\u00e0.<\/strong> \u201cTempo di inattivit\u00e0\u201d indica qualsiasi periodo durante il quale il Servizio non \u00e8 disponibile o non riesce a svolgere la sua funzionalit\u00e0 principale a seguito di un evento o incidente non pianificato all\u2019interno dei sistemi o dell\u2019infrastruttura di Mapsly, misurato dal momento in cui l\u2019indisponibilit\u00e0 viene rilevata o segnalata fino alla sua risoluzione.<\/p>\n\n

Il tempo di inattivit\u00e0 non include alcun periodo di indisponibilit\u00e0 o prestazioni degradate che sia:,<\/p>\n\n

(A) a causa di manutenzione programmata, durante la quale Mapsly fornisce un preavviso di almeno quarantotto (48) ore tramite messaggistica in-app o email;<\/p>\n\n

(B) a causa della manutenzione di emergenza necessaria per proteggere l\u2019integrit\u00e0 o la sicurezza del sistema;<\/p>\n\n

(C) a causa di fattori al di fuori del ragionevole controllo di Mapsly, inclusi, a titolo esemplificativo ma non esaustivo, eventi di forza maggiore, atti governativi, interruzioni diffuse di Internet o guasti dei provider di hosting o delle integrazioni di terze parti;<\/p>\n\n

(D) attribuibile ai sistemi, al software, alla rete, all\u2019accesso a Internet dell\u2019Utente o all\u2019uso improprio del Servizio in violazione del presente Accordo; oppure,<\/p>\n\n

(E) a causa di funzionalit\u00e0 identificate come Beta, anteprima o funzionalit\u00e0 non generalmente disponibili.<\/p>\n\n

4.4 Percentuale di uptime mensile.<\/strong> Mapsly compir\u00e0 sforzi commercialmente ragionevoli per rendere disponibile il Servizio con una Percentuale di uptime mensile di almeno 99.0% (l\u2019\u201cImpegno minimo di servizio\u201d), misurata su ciascun mese di calendario. Alcuni piani di abbonamento possono includere un impegno di uptime pi\u00f9 rigoroso (ad es., 99.5% o 99.9%), nel qual caso si applicher\u00e0 l\u2019impegno pi\u00f9 elevato specificato nel piano o nel Preventivo applicabile. 4.5 Credito di servizio.<\/strong> Se l\u2019impegno di disponibilit\u00e0 applicabile ai sensi della Sezione 4.4 non viene rispettato per due (2) mesi di calendario consecutivi, l\u2019Utente pu\u00f2 richiedere un credito di servizio pari a una settimana del Corrispettivo del Servizio calcolato pro rata.<\/p>\n\n

4.6 Idoneit\u00e0 al credito di servizio.<\/strong> Per avere diritto al credito di servizio, l\u2019Utente deve inviare una richiesta scritta al team di supporto di Mapsly all\u2019indirizzo, support@mapsly.com<\/a> entro 15 giorni di calendario dalla fine del secondo mese interessato, incluso:

4.7 Exclusive Remedy.<\/strong> The credit described above constitutes User\u2019s sole and exclusive remedy for Mapsly\u2019s failure to meet the applicable uptime commitment under Section 4.4.<\/p>\n\n

5. Dati utente; dati aggregati<\/strong><\/h2>\n\n

5.1 User Data.<\/strong> Tutti i dati caricati dall\u2019Utente in Mapsly Software o creati al suo interno (\u201cDati dell\u2019Utente\u201d) restano di propriet\u00e0 dell\u2019Utente. L\u2019Utente possiede tutti i diritti, i titoli e gli interessi relativi ai Dati dell\u2019Utente. L\u2019output generato da AI \u00e8 soggetto alla Sezione 1.4. Mapsly\u2019s processing of personal data on User\u2019s behalf is governed by the DPA (Section 5.4), not the Privacy Policy. User acknowledges the Privacy Policy and that Mapsly may update it as described therein.<\/p>\n\n

5.3 Statistical Data.<\/strong> Mapsly pu\u00f2 raccogliere, sviluppare, creare, estrarre, compilare, sintetizzare e analizzare statistiche, benchmark, misure e altre informazioni (i \u201cDati statistici\u201d) basati sui Dati utente che sono:
\u2022 aggregati e anonimizzati e n\u00e9 identificabili n\u00e9 suscettibili di essere reidentificati rispetto a qualsiasi persona (incluso qualsiasi utente finale) o entit\u00e0,,
\u2022 combinati con i dati di altri clienti o fonti di dati aggiuntive, e,

Such \u201cStatistical Data\u201d will be owned solely by Mapsly and may be used for any lawful business purpose without a duty of accounting to User. Mapsly will not attempt to re-identify Statistical Data.<\/p>\n\n

5.4 Data Processing Addendum.<\/strong> To the extent Mapsly processes personal data on behalf of User in providing the Service, the Mapsly Data Processing Addendum available at https:\/\/mapsly.com\/dpa<\/a> (the \u201cDPA\u201d) is incorporated into and forms part of this Agreement. With respect to the processing of personal data, in the event of a conflict: (i) the Standard Contractual Clauses (as defined in the DPA) control to the extent required by their terms; (ii) the DPA controls over these Terms of Service; and (iii) for all matters other than the processing of personal data, these Terms of Service control.<\/p>\n\n

6. Obblighi dell\u2019utente<\/strong><\/h2>\n\n

6.1 Acceptable Use Policy.<\/strong> L\u2019utente non pu\u00f2:
\u2022 vendere, rivendere, noleggiare, concedere in leasing, concedere in licenza, concedere in sublicenza, trasferire, cedere, distribuire o sfruttare commercialmente in altro modo il Servizio o renderlo disponibile a terze parti in qualsiasi modo salvo quanto consentito dal presente Accordo;,
\u2022 violare intenzionalmente o involontariamente qualsiasi legge e regolamento locale, statale, nazionale e internazionale applicabile;
\u2022 utilizzare il Servizio per archiviare o trasmettere materiale in violazione, email di marketing non richieste, materiale diffamatorio o altrimenti discutibile, illecito o lesivo;,
\u2022 archiviare o trasmettere materiale in violazione dei diritti di terzi;
\u2022 interferire con il Servizio, la sua integrit\u00e0 o le sue prestazioni o interromperli;
\u2022 test, probe, or scan vulnerability of the Service, or attempt to gain unauthorized access to the Service or its related systems or networks;

6.5 Export Control and Sanctions.<\/strong> User represents and warrants that User (i) is not located in, organized under the laws of, or ordinarily resident in any country or territory that is subject to comprehensive sanctions administered by the United States (including by the Office of Foreign Assets Control), the European Union, or the United Kingdom; (ii) is not identified on any applicable government list of prohibited, denied, or restricted parties; and (iii) will not use or access the Service, or permit any End-User to use or access the Service, in violation of any applicable export control or sanctions laws.<\/p>\n\n

For features and resources without Published Limits, User\u2019s consumption must remain within reasonable volumes consistent with ordinary business use of the Service by comparable customers. Mapsly may apply technical measures, such as rate limits, to protect the integrity and performance of the Service for all customers. If User\u2019s consumption of such unmetered features materially exceeds reasonable volumes or imposes a disproportionate load or cost on the Service, Mapsly will notify User and the Parties will discuss in good faith an appropriate plan, limit, or fee adjustment; Mapsly may throttle the excess consumption if it continues more than ten (10) business days after notice. This Section does not limit Mapsly\u2019s rights under Sections 3.6 and 6.1.<\/p>\n\n

USER UNDERSTANDS AND AGREES THAT MAPSLY\u2019S SERVICES ARE PROVIDED \u201cAS IS\u201d AND \u201cAS AVAILABLE.\u201d MAPSLY, ITS AFFILIATES, AND SUPPLIERS DO NOT MAKE, AND HEREBY DISCLAIM, ALL WARRANTIES OF ANY KIND, EXPRESS, STATUTORY OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, QUALITY, SUITABILITY, OPERABILITY, SYSTEM INTEGRATION, NON-INTERFERENCE, WORKMANSHIP, TRUTH, ACCURACY, ABSENCE OF DEFECTS, WHETHER LATENT OR PATENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE.<\/p>\n\n

IL SOFTWARE MAPSLY E I SERVIZI MAPSLY POSSONO ESSERE SOGGETTI A LIMITAZIONI, RITARDI E ALTRI PROBLEMI INERENTI ALL\u2019USO DI INTERNET E DELLE COMUNICAZIONI ELETTRONICHE. MAPSLY NON \u00c8 RESPONSABILE DI EVENTUALI RITARDI O ALTRI DANNI DERIVANTI DA TALI PROBLEMI. L\u2019UTENTE SAR\u00c0 L\u2019UNICO RESPONSABILE DI QUALSIASI DANNO AI SISTEMI DELL\u2019UTENTE O PERDITA DI DATI DERIVANTE DALL\u2019USO DEL SOFTWARE MAPSLY, DEI SERVIZI MAPSLY O DI OFFERTE DI TERZE PARTI.<\/p>\n\n

8. Limitazione di responsabilit\u00e0<\/strong><\/h2>\n\n

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WHATSOEVER SHALL EITHER MAPSLY OR ITS AFFILIATES, OR THEIR RESPECTIVE EMPLOYEES, OFFICERS, SHAREHOLDERS, AGENTS, LICENSORS OR REPRESENTATIVES, NOR USER OR ITS AFFILIATES, OR THEIR RESPECTIVE EMPLOYEES, OFFICERS, SHAREHOLDERS, AGENTS, LICENSORS OR REPRESENTATIVES, BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUE, INCLUDING BUT NOT LIMITED TO LOSS OF SALES, DATA, PROFIT, REVENUE, GOODWILL, BUSINESS INTERRUPTION, LOSS OF INFORMATION OR UNAUTHORIZED ACCESS TO INFORMATION AND THE LIKE, EVEN IF EITHER PARTY OR AN AFFILIATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL EITHER PARTY OR ITS AFFILIATES BE LIABLE TO THE OTHER PARTY FOR AN AMOUNT IN EXCESS OF THE TOTAL MONETARY AMOUNT ACTUALLY RECEIVED BY MAPSLY FROM USER FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT WHICH GAVE RISE TO THE CLAIM. THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION DO NOT APPLY TO: (I) USER\u2019S OBLIGATION TO PAY FEES AND TAXES DUE UNDER THIS AGREEMENT; (II) USER\u2019S INDEMNIFICATION OBLIGATIONS UNDER SECTION 12.2; (III) USER\u2019S BREACH OF SECTION 6.1 (ACCEPTABLE USE POLICY) OR USE OF THE SERVICE IN VIOLATION OF APPLICABLE LAW; OR (IV) USER\u2019S BREACH OF SECTION 9 (MUTUAL CONFIDENTIALITY). MAPSLY\u2019S INDEMNIFICATION OBLIGATIONS UNDER SECTION 12.1 ARE SUBJECT TO THE LIMITATIONS IN THIS SECTION.<\/p>\n\n

9. Riservatezza reciproca<\/strong><\/h2>\n\n

9.1 Definition.<\/strong> \u201cConfidential Information\u201d is oral, electronic, or written information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of its disclosure. Mapsly\u2019s Confidential Information includes without limitation the non-public information about pricing, features, and performance of the Service. User\u2019s Confidential Information includes, without limitation, User Data.<\/p>\n\n

9.2 Exclusion.<\/strong> Le informazioni riservate non includono quanto segue:

9.3 Protection of Confidential Information.<\/strong> The Recipient may only use the Discloser\u2019s Confidential Information in relation to this Agreement. The Recipient shall maintain the confidentiality of the Discloser\u2019s Confidential Information with at least the same degree of care that it uses to protect its own confidential and proprietary information, implement reasonable administrative, physical, and technical safeguards, and no less than a reasonable degree of care. The Recipient shall not disclose any of the Discloser\u2019s Confidential Information except to the Recipient\u2019s employees, contractors, agents, and professional advisers who have a need to know the information to exercise the Recipient\u2019s rights or perform the Recipient\u2019s obligations under this Agreement, in which case Recipient shall cause these recipients to agree to and abide by commercially reasonable confidentiality terms. The obligations in this Section 9 survive for five (5) years after termination of this Agreement, except that obligations with respect to trade secrets continue for as long as the information remains a trade secret under applicable law, and obligations with respect to personal data continue as required by the DPA and applicable law.<\/p>\n\n

10. Riserva dei diritti<\/strong><\/h2>\n\n

11. Durata e risoluzione<\/strong><\/h2>\n\n

11.1 Durata.<\/strong> This Agreement starts when User accepts these Terms of Service and continues until the end of the paid period after the subscription to Service has been canceled, unless the Agreement is terminated earlier by either Party.<\/p>\n\n

11.2 Cancellation of Service by User.<\/strong> User may terminate this Agreement by canceling the subscription to Service at any time, without providing notice. After the subscription has been canceled, User may continue to use the Service until the end of the paid period, after which the Agreement is terminated. User is not charged after the date of cancellation but is responsible for all charges incurred up until the date of cancellation. Mapsly is not obligated to refund any of the already paid fees. After this Agreement is terminated, User can no longer access User Data via the Service. User is responsible for exporting User Data before this Agreement terminates. Following termination, Mapsly will delete User Data in accordance with the DPA, no later than ninety (90) days after termination, except to the extent applicable law requires retention. Mapsly may, but is not obligated to, provide reasonable assistance with the export of User Data during that period at Mapsly\u2019s then-current rates.<\/p>\n\n

11.3 Risoluzione per giusta causa.<\/strong> Either Party may terminate the Agreement with immediate effect and without incurring any additional liability by serving written notice, if: (i) the other Party files a petition for bankruptcy or is adjudicated as bankrupt; (ii) a petition in bankruptcy is filed against the other Party and such petition is not removed or resolved within thirty (30) calendar days; (iii) the other Party makes an assignment for the benefit of its creditors or an arrangement for its creditors pursuant to bankruptcy law; (iv) the other Party discontinues its business; (v) a receiver is appointed over all or substantially all of the other Party\u2019s assets or business; or (vi) the other Party is dissolved or liquidated.<\/p>\n\n

Per qualsiasi altra violazione sostanziale da parte dell\u2019Utente, Mapsly pu\u00f2 risolvere il presente Accordo se la violazione rimane non sanata trenta (30) giorni dopo che Mapsly ha fornito una comunicazione scritta che descrive la violazione; Mapsly pu\u00f2 sospendere l\u2019accesso dell\u2019Utente ai sensi della Sezione 3.6 mentre una presunta violazione viene indagata o sanata. La risoluzione da parte di Mapsly ai sensi della presente Sezione non d\u00e0 diritto all\u2019Utente ad alcun rimborso delle tariffe prepagate, e qualsiasi tariffa maturata ma non pagata alla data della risoluzione diventa immediatamente dovuta ed esigibile.<\/p>\n\n

11.5 Effetto della risoluzione.<\/strong> La risoluzione del presente Accordo non sollever\u00e0 una Parte da qualsiasi responsabilit\u00e0 per violazione dello stesso.<\/p>\n\n

12. Indennizzo<\/strong><\/h2>\n\n

12.1 Indennizzo di Mapsly.<\/strong><\/p>\n\n

Generale.<\/strong> Mapsly difender\u00e0 o transiger\u00e0 qualsiasi reclamo di terzi contro l\u2019Utente nella misura in cui tale reclamo sostenga che il Software Mapsly da solo, e non in combinazione con il software o l\u2019hardware dell\u2019Utente o di terzi, violi o si appropri indebitamente di un diritto d\u2019autore, brevetto, marchio o altro diritto di propriet\u00e0 intellettuale (ciascuno, un \u201cReclamo\u201d), subordinatamente a quanto segue: (i) l\u2019Utente dovr\u00e0 notificare tempestivamente a Mapsly tale Reclamo; (ii) l\u2019Utente dovr\u00e0 consentire a Mapsly di controllare in via esclusiva la difesa e la transazione di tale Reclamo; e (iii) su richiesta e a spese di Mapsly, l\u2019Utente dovr\u00e0 fornire tutta l\u2019assistenza ragionevole nella difesa di tale Reclamo.<\/p>\n\n

Costi.<\/strong> Mapsly pagher\u00e0 i ragionevoli costi di difesa per le Rivendicazioni di violazione sostenuti nell\u2019ambito degli obblighi di Mapsly di cui sopra, gli importi di transazione negoziati da Mapsly, e i danni riconosciuti dal tribunale. Mapsly non sar\u00e0 responsabile nei confronti dell\u2019Utente per eventuali danni indiretti inclusi senza limitazione la perdita di reddito o di attivit\u00e0.<\/p>\n\n

Mitigazione e processo.<\/strong> Se una qualsiasi di tali Richieste per violazione che Mapsly \u00e8 tenuta a difendere si \u00e8 verificata o appare probabile che si verifichi, Mapsly pu\u00f2, a sua esclusiva discrezione: (i) modificare il Mapsly Software per renderlo non lesivo senza ridurne materialmente la funzionalit\u00e0 complessiva; (ii) procurarsi i diritti necessari; oppure (iii) risolvere il presente Accordo e rimborsare all\u2019Utente le tariffe prepagate e non utilizzate (se nessuna delle opzioni di cui sopra \u00e8 ragionevolmente disponibile).<\/p>\n\n

Esclusioni.<\/strong> Gli obblighi di Mapsly di cui sopra non si applicheranno se un Reclamo deriva da: (i) la conformit\u00e0 di Mapsly alle specifiche dell\u2019Utente; (ii) tecnologia non sviluppata o fornita da Mapsly (componenti di terze parti); (iii) uso di Mapsly in combinazione con qualsiasi altra tecnologia non fornita da Mapsly qualora la presunta violazione riguardi tale combinazione; (iv) modifiche o alterazioni al software Mapsly diverse da quelle effettuate da Mapsly; (v) uso continuato di Mapsly da parte dell\u2019Utente dopo che Mapsly ha notificato all\u2019Utente di interrompere l\u2019uso del Servizio a causa di un Reclamo; (vi) sistemi dell\u2019Utente; (vii) violazione da parte dell\u2019Utente della legge applicabile o del presente Accordo; o (viii) output delle Funzionalit\u00e0 AI.<\/p>\n\n

Rimedio esclusivo.<\/strong> LA SEZIONE \u201cINDENNIT\u00c0 MAPSLY\u201d STABILISCE L\u2019INTERA RESPONSABILIT\u00c0 DI MAPSLY RIGUARDO ALLA VIOLAZIONE DI QUALSIASI DIRITTO DI PROPRIET\u00c0 DA PARTE DI MAPSLY, E L\u2019UTENTE CON LA PRESENTE RINUNCIA ESPRESSAMENTE A QUALSIASI ALTRA RESPONSABILIT\u00c0 O OBBLIGO DI MAPSLY A TAL PROPOSITO.<\/p>\n\n

12.2 Indennizzo dell'utente.<\/strong> User will defend, indemnify, and hold harmless Mapsly and its affiliates, and their respective officers, directors, employees, agents, partners, and licensors, from and against any third-party claim, demand, or proceeding, and all resulting damages, settlements, costs, and reasonable attorneys\u2019 fees, to the extent arising out of: (i) User Data, including any claim that User Data infringes or misappropriates a third party\u2019s rights or violates applicable law; (ii) User\u2019s or its End-Users\u2019 use of the Service in violation of this Agreement or applicable law, including any unlawful monitoring or tracking of End-Users; (iii) User\u2019s instructions, configurations, or integration of the Service with systems, software, or data not provided by Mapsly; or (iv) User\u2019s material breach of Section 6 or Section 9, to the extent giving rise to the claim. Mapsly will: (a) promptly notify User of the claim, provided that delayed notice relieves User of its obligations only to the extent User is materially prejudiced by the delay; (b) permit User to control the defense and settlement of the claim, except that User may not settle any claim in a manner that imposes any liability, admission, or non-monetary obligation on Mapsly without Mapsly\u2019s prior written consent; and (c) provide reasonable cooperation in the defense at User\u2019s expense.<\/p>\n\n

13. Legge applicabile e arbitrato<\/strong><\/h2>\n\n

THIS AGREEMENT IS GOVERNED BY THE LAWS OF DELAWARE, WITHOUT REGARD TO CONFLICT OF LAWS PRINCIPLES. THE PARTIES AGREE THAT THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS IS SPECIFICALLY EXCLUDED FROM APPLICATION TO THESE TERMS. ANY DISPUTE BETWEEN USER AND MAPSLY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL BE REFERRED TO AND FINALLY RESOLVED BY BINDING ARBITRATION BEFORE A SINGLE ARBITRATOR, ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS COMMERCIAL ARBITRATION RULES. THE SEAT OF ARBITRATION IS WILMINGTON, DELAWARE; HEARINGS MAY BE CONDUCTED REMOTELY; AND THE PROCEEDINGS SHALL BE CONDUCTED IN ENGLISH AND KEPT CONFIDENTIAL. JUDGMENT ON THE AWARD MAY BE ENTERED IN ANY COURT OF COMPETENT JURISDICTION. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES\u2019 INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING, AND THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF MORE THAN ONE USER. TO THE EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY. NOTWITHSTANDING THE FOREGOING, EITHER PARTY MAY SEEK TEMPORARY OR PRELIMINARY INJUNCTIVE RELIEF IN ANY COURT OF COMPETENT JURISDICTION TO PRESERVE THE STATUS QUO OR PROTECT ITS CONFIDENTIAL INFORMATION OR INTELLECTUAL PROPERTY PENDING ARBITRATION. THE PREVAILING PARTY IN ANY ARBITRATION OR LITIGATION IS ENTITLED TO RECOVER ITS REASONABLE ATTORNEYS\u2019 FEES AND COSTS FROM THE OTHER PARTY.<\/p>\n\n

14. Altri termini<\/strong><\/h2>\n\n

14.1 Intero accordo e modifiche.<\/strong> Il presente Accordo, incluse eventuali Quotazioni sottoscritte ai sensi dello stesso, costituisce l\u2019intero accordo tra l\u2019Utente e Mapsly in relazione ai Servizi, e sostituisce e rimpiazza tutti gli accordi, le proposte, le intese e le comunicazioni precedenti e contemporanei\u2014sia orali sia scritti. In caso di conflitto tra il presente Accordo e qualsiasi accordo precedente di tale tipo, prevarranno i termini del presente Accordo, salvo diversa espressa indicazione in un accordo scritto firmato da entrambe le Parti che faccia riferimento al presente Accordo per nome. Il presente Accordo non sostituisce alcun accordo di non divulgazione o riservatezza precedentemente sottoscritto tra le Parti, salvo nella misura in cui tale accordo dichiari espressamente di essere sostituito dal presente Accordo; se sia il presente Accordo sia tale accordo si applicano alle stesse Informazioni riservate, prevale la disposizione che offre una maggiore protezione.<\/p>\n\n

Mapsly pu\u00f2 modificare il presente Accordo (ad eccezione della Sezione 13, Legge applicabile e arbitrato) di tanto in tanto pubblicando la versione modificata su https:\/\/mapsly.com\/terms<\/a> and updating the last-modified date. An amended version applies, from the time of acceptance, to subscriptions first accepted under it. For subscriptions already in effect when an amended version is posted: (i) amendments that materially reduce User\u2019s rights or materially increase User\u2019s obligations take effect for that subscription no earlier than thirty (30) days after Mapsly notifies User of the amendment by email and\/or in-app notification, and the previously applicable version continues to govern that subscription until then; and (ii) amendments that are not material \u2014 including corrections, clarifications, and changes required to comply with applicable law \u2014 take effect upon posting. User\u2019s continued use of the Service after an amendment takes effect for User\u2019s subscription constitutes acceptance of the amended Agreement. If User does not agree to an amendment described in clause (i), User\u2019s sole and exclusive remedy is to stop using the Service and cancel the subscription pursuant to Section 11.2 before the amendment takes effect for User\u2019s subscription; if User cancels on this basis, Mapsly will refund the prepaid fees prorated for the unused portion of the then-current Billing Period. This Section does not authorize Mapsly to unilaterally modify any term expressly set forth in a mutually executed Quote or Order Form for so long as that Quote or Order Form remains in effect (see Section 14.2). Amendments to Section 13, and any other amendment or waiver not made in accordance with this Section, require the signed written consent of both Parties. Neither failure nor delay on the part of any Party in exercising any right, power, or privilege hereunder shall operate as a waiver of such right, nor shall any single or partial exercise of any such right, power, or privilege preclude any further exercise thereof or the exercise of any other right, power, or privilege.<\/p>\n\n

14.2 Ordine di precedenza.<\/strong> In caso di conflitto tra i presenti Termini di servizio e le disposizioni di un Preventivo, Modulo d\u2019ordine o altro accordo scritto reciprocamente sottoscritto che faccia espressamente riferimento ai presenti Termini, le disposizioni del Preventivo o dell\u2019accordo prevarranno esclusivamente in relazione all\u2019oggetto trattato in tale documento. Tutte le altre disposizioni dei presenti Termini resteranno pienamente valide ed efficaci.<\/p>\n\n

14.3 Contraenti indipendenti.<\/strong> Si conviene espressamente che Mapsly e l\u2019Utente saranno contraenti indipendenti e che il rapporto tra loro non costituir\u00e0 una partnership, joint venture o agenzia.<\/p>\n\n

14.4 Separabilit\u00e0.<\/strong> Nel caso in cui una qualsiasi disposizione del presente Accordo venga ritenuta nulla o non applicabile, tale determinazione non influir\u00e0 sul resto del presente Accordo, che continuer\u00e0 a essere in vigore.<\/p>\n\n

14.5 Forza maggiore.<\/strong> Ad eccezione del pagamento di somme di denaro, nessuna Parte \u00e8 responsabile per eventi al di fuori del suo ragionevole controllo, inclusi, senza limitazione eventi di Forza Maggiore. \u201cForza Maggiore\u201d indica qualsiasi causa al di fuori del ragionevole controllo di una Parte, inclusi, a titolo esemplificativo ma non esaustivo, un evento naturale, un atto o un\u2019omissione delle autorit\u00e0 civili o militari di uno stato o nazione, epidemia, pandemia, incendio, sciopero, alluvione, sommossa, guerra. In caso di qualsiasi ritardo giustificato di questo tipo, il termine per l\u2019adempimento di tali obblighi sar\u00e0 prorogato per un periodo pari al tempo perso a causa del ritardo. Una Parte che rivendichi il beneficio di questa disposizione dovr\u00e0, non appena ragionevolmente possibile dopo l\u2019insorgere di qualsiasi evento di Forza Maggiore, (a) fornire comunicazione scritta all\u2019altra Parte della natura e dell\u2019entit\u00e0 di tale condizione di Forza Maggiore; e (b) compiere sforzi commercialmente ragionevoli per evitare o rimuovere tali cause e riprendere l\u2019adempimento ai sensi del presente Accordo non appena ragionevolmente possibile.<\/p>\n\n

14.6 Pubblicit\u00e0.<\/strong> Mapsly ha il diritto di mostrare la ragione sociale e i marchi dell\u2019Utente sul sito web e nei materiali di marketing di Mapsly che identificano l\u2019Utente come abbonato al Servizio, a meno che l\u2019Utente non comunichi a Mapsly per iscritto entro trenta (30) giorni dall\u2019accettazione dei presenti Termini di servizio che l\u2019Utente non concede a Mapsly tali diritti. Mapsly utilizzer\u00e0 i marchi dell\u2019Utente in conformit\u00e0 con eventuali linee guida del marchio che l\u2019Utente fornisce a Mapsly e non emetter\u00e0 un comunicato stampa, pubblicher\u00e0 un caso di studio che nomina l\u2019Utente, n\u00e9 dichiarer\u00e0 o implicher\u00e0 l\u2019approvazione di Mapsly da parte dell\u2019Utente senza il previo consenso scritto dell\u2019Utente.<\/p>\n\n

14.7 Sopravvivenza dei Termini.<\/strong> Le sezioni 5.3, 7, 8, 9, 10, 11.5, 12, 13 e 14, insieme a qualsiasi obbligo di pagamento maturato prima della risoluzione e a qualsiasi altra clausola che per sua natura debba sopravvivere, sopravvivranno alla risoluzione o alla scadenza del presente Accordo.<\/p>\n\n

14.8 Feedback.<\/strong> Se l\u2019Utente fornisce a Mapsly feedback, suggerimenti, valutazioni, richieste di funzionalit\u00e0 o idee (collettivamente, \u201cFeedback\u201d), l\u2019Utente cede con il presente atto irrevocabilmente a Mapsly tutti i diritti di propriet\u00e0 intellettuale relativi al Feedback, e Mapsly (e i suoi clienti) pu\u00f2 utilizzarlo senza alcun obbligo nei confronti dell\u2019Utente.<\/p>\n\n

14.9 Autorit\u00e0.<\/strong> Ciascuna Parte dichiara e garantisce di avere pieno diritto, potere e autorit\u00e0 per stipulare il presente Accordo. Se accetti i presenti Termini per conto di una societ\u00e0 o di un\u2019altra entit\u00e0 legale, dichiari di avere l\u2019autorit\u00e0 per vincolare tale entit\u00e0 al presente Accordo.<\/p>\n\n

14.10 Lingua.<\/strong> Il presente Accordo e tutti i documenti correlati sono stati redatti in inglese. Qualsiasi traduzione visualizzata su mapsly.com \u00e8 fornita esclusivamente per comodit\u00e0. In caso di incoerenza o conflitto tra una versione tradotta e la versione inglese disponibile all\u2019indirizzo, https:\/\/mapsly.com\/terms<\/a>, prevarr\u00e0 la versione inglese.<\/p>\n\n

14.11 Comunicazioni.<\/strong> Mapsly pu\u00f2 fornire comunicazioni all\u2019Utente ai sensi del presente Contratto via e-mail all\u2019indirizzo e-mail associato all\u2019account dell\u2019Utente, tramite notifica in-app, o mediante pubblicazione all\u2019interno del Servizio, e tali comunicazioni si considerano ricevute quando vengono inviate o pubblicate. L\u2019Utente \u00e8 responsabile di mantenere accurato e aggiornato l\u2019indirizzo e-mail del proprio account. Le comunicazioni a Mapsly devono essere inviate via e-mail a, legal@mapsly.com<\/a> o per posta a Mapsly LLC, 440 N Barranca Ave #4985, Covina, CA 91723, USA, e si considerano ricevute alla consegna confermata.<\/p>\n\n

14.12 Assegnazione.<\/strong> L\u2019Utente non pu\u00f2 cedere n\u00e9 trasferire il presente Accordo, in tutto o in parte, senza il previo consenso scritto di Mapsly, e qualsiasi tentativo di cessione in violazione della presente Sezione \u00e8 nullo; a condizione che l\u2019Utente possa cedere il presente Accordo nella sua interezza, previa comunicazione scritta a Mapsly, a un successore in relazione a una fusione, acquisizione o vendita di tutti o sostanzialmente tutti i beni dell\u2019Utente, purch\u00e9 il successore non sia un concorrente di Mapsly. Mapsly pu\u00f2 cedere il presente Accordo a un\u2019affiliata o in relazione a una fusione, acquisizione, riorganizzazione societaria o vendita di tutti o sostanzialmente tutti i beni di Mapsly.
