These Mapsly Terms of Service (this \u201cAgreement\u201d) are between Mapsly LLC, a California limited liability company (\u201cMapsly\u201d), and the entity on whose behalf these Terms of Service are accepted or, if they are not accepted on behalf of an entity, the individual accepting them (\u201cUser\u201d), collectively referred to as the \u201cParties\u201d and individually as the \u201cParty\u201d. By accessing or using the Service, registering for an account, or clicking to accept these Terms of Service, User agrees to be bound by this Agreement. Quotes and order forms (collectively, \u201cQuotes\u201d) executed between Mapsly and User shall be governed by this Agreement. Any capitalized terms used herein but not defined shall have the meanings respectively set forth in the applicable Quote.<\/p>\n\n

1. Servicio de Mapsly (\u201cServicio\u201d),<\/strong><\/h2>\n\n

1.1 The Service.<\/strong> The Service is designed to provide User with the capability to visualize location data, analyze it and use it to manage User\u2019s sales and service workforce and business. The Service is based on the Mapsly Internet-based geo-intelligence software platform (the \u201cMapsly Software\u201d) that is hosted by Mapsly or on Mapsly\u2019s behalf and accessible by User remotely through the Mapsly website and mobile applications.<\/p>\n\n

1.2 Business Use.<\/strong> The Service is intended solely for use in User\u2019s trade or business and not for personal, family, or household purposes.<\/p>\n\n

1.3 Third-Party Services.<\/strong> The Service interoperates with third-party products, platforms, and services, including CRM systems, spreadsheet platforms, and mapping and data providers (\u201cThird-Party Services\u201d). Third-Party Services are not part of the Service, and User\u2019s use of them is governed by the applicable third party\u2019s terms. Mapsly does not control Third-Party Services and is not responsible for their availability, accuracy, security, or continued interoperability with the Service. If a third party materially changes, restricts, or withdraws an API or other integration mechanism on which an integration depends, Mapsly may modify, suspend, or discontinue the affected integration without liability to User, and will use commercially reasonable efforts to notify affected Users.<\/p>\n\n

1.4 AI Features.<\/strong> Certain features of the Service use artificial intelligence or machine learning technologies, including features that generate, summarize, transcribe, or suggest content or actions (\u201cAI Features\u201d). AI Features are probabilistic in nature: outputs may be inaccurate, incomplete, or unsuitable for User\u2019s purposes, and may vary for similar inputs. User is responsible for configuring, authorizing, reviewing, and supervising AI Features, and remains solely responsible for outputs generated and actions taken through the Service on User\u2019s behalf \u2014 including communications sent, transactions or workflows initiated, and data created, modified, or deleted in User\u2019s systems. AI Features are provided \u201cas is\u201d and may be modified, supplemented, or discontinued over time. Mapsly does not use User Data or User\u2019s Confidential Information to train generalized artificial intelligence or machine learning models; User Data may be processed by AI model providers acting as Mapsly\u2019s sub-processors solely to provide the Service to User. Where User elects to use its own AI provider account or API keys with the Service, User\u2019s relationship with that provider is governed solely by User\u2019s agreement with that provider; User is responsible for all fees charged by the provider, and Mapsly is not responsible for the provider\u2019s availability, performance, or acts or omissions. As between Mapsly and User, to the extent Mapsly acquires any right, title, or interest in output generated by AI Features for User, Mapsly assigns such rights to User, subject to applicable law and applicable third-party provider terms. AI-generated output may not be unique, and other users may receive the same or similar output. Mapsly does not represent that AI-generated output is copyrightable, exclusively owned, or free of third-party rights. AI usage performed through User\u2019s own AI provider credentials is not charged by Mapsly and does not draw on the AI Allowance or Credits described in Sections 3.11 and 3.12; Mapsly may meter such usage for display and for the purposes of Section 6.7. AI Features may be made available on a limited-availability or beta basis \u2014 including activation by Mapsly on request \u2014 and Mapsly may limit their availability by plan, region, or otherwise; nothing in this Agreement commits Mapsly to make any AI Feature generally available.<\/p>\n\n

2. Concesi\u00f3n de licencia y uso del Service<\/strong><\/h2>\n\n

2.1 Concesi\u00f3n de licencia.<\/strong> Sujeto a este Acuerdo, Mapsly concede al Usuario un derecho y licencia limitados, intransferibles, no exclusivos y no sublicenciables para acceder al Servicio y utilizarlo durante la Vigencia de este Acuerdo (la \u201cLicense\u201d), a menos que se rescinda antes.<\/p>\n\n

2.2 Uso por parte de los empleados y contratistas del Usuario.<\/strong> El Usuario podr\u00e1 permitir que sus empleados y contratistas (colectivamente, \u201cUsuarios finales\u201d) accedan al Servicio, de conformidad con estos T\u00e9rminos de servicio, en beneficio exclusivo del Usuario. El Usuario es responsable de garantizar que sus Usuarios finales cumplan estos T\u00e9rminos de servicio.<\/p>\n\n

3. Pago<\/strong><\/h2>\n\n

3.1 Suscripci\u00f3n al Servicio.<\/strong> El Servicio est\u00e1 disponible para el Usuario mediante la suscripci\u00f3n al Servicio y tras el pago de la tarifa de suscripci\u00f3n aplicable (la \u201cTarifa del Servicio\u201d). Todas las tarifas se pagan por adelantado y, salvo que se establezca expresamente en este Acuerdo o lo exija la ley aplicable, no son reembolsables ni acreditables, incluidas las tarifas de las suscripciones anuales pagadas por adelantado. 3.2 Fecha de facturaci\u00f3n y per\u00edodo de facturaci\u00f3n.<\/strong> El Servicio se cobra mensual o anualmente. Para una suscripci\u00f3n mensual, la \u201cFecha de facturaci\u00f3n\u201d es el d\u00eda del mes del primer pago de la Tarifa del Servicio, y un \u201cPer\u00edodo de facturaci\u00f3n\u201d comienza en la Fecha de facturaci\u00f3n de un mes y dura hasta la Fecha de facturaci\u00f3n del mes siguiente. Para una suscripci\u00f3n anual, la Fecha de facturaci\u00f3n es el d\u00eda del a\u00f1o del primer pago, y el Per\u00edodo de facturaci\u00f3n comienza en la Fecha de facturaci\u00f3n de un a\u00f1o y dura hasta el aniversario de un a\u00f1o de la Fecha de facturaci\u00f3n. Las suscripciones se renuevan autom\u00e1ticamente por Per\u00edodos de facturaci\u00f3n sucesivos a las tarifas vigentes en ese momento, a menos que el Usuario cancele la suscripci\u00f3n antes del inicio del siguiente Per\u00edodo de facturaci\u00f3n. Cada vez que cambie la Tarifa de Servicio estimada para el pr\u00f3ximo mes, Mapsly notificar\u00e1 al Usuario por correo electr\u00f3nico, a menos que el cambio haya sido iniciado por el Usuario en la secci\u00f3n de Facturaci\u00f3n del software Mapsly.<\/p>\n\n

La estructura de precios, los precios de funciones espec\u00edficas y los m\u00e9todos de facturaci\u00f3n pueden actualizarse con el tiempo. 3.4 Subidas y bajadas de categor\u00eda.<\/strong> Cuando el Usuario actualiza a un plan de pago superior o compra asientos de usuario adicionales, Mapsly cobrar\u00e1 una cantidad prorrateada hasta el final del per\u00edodo de facturaci\u00f3n actual. Cuando el Usuario baja a un plan de pago inferior o elimina asientos de usuario, la nueva Tarifa de Servicio entrar\u00e1 en vigor a partir del siguiente ciclo de facturaci\u00f3n.<\/p>\n\n

3.5 Per\u00edodo de prueba.<\/strong> Durante un per\u00edodo limitado, Mapsly puede ofrecer al Usuario utilizar el Servicio sin pago (el \u201cPer\u00edodo de prueba\u201d), seg\u00fan se indique en, https:\/\/mapsly.com\/pricing<\/a>. Algunas funciones del Servicio pueden no estar disponibles durante el Per\u00edodo de prueba o pueden estar disponibles con l\u00edmites de uso m\u00e1s estrictos. Una vez finalizado el Per\u00edodo de prueba el Usuario debe suscribirse a una cuenta de pago para seguir utilizando el Servicio.<\/p>\n\n

3.6 Suspensi\u00f3n del servicio.<\/strong> If any amounts owed by User for the Service are fourteen (14) or more days overdue, Mapsly may, without limiting Mapsly\u2019s other rights and remedies, suspend User\u2019s subscription and access to the Service until the overdue amounts are paid in full. Mapsly may also suspend User\u2019s access to the Service, in whole or in part, if Mapsly reasonably determines that (i) User\u2019s use of the Service violates Section 6 or poses a security risk to the Service or any third party, or (ii) continued provision of the Service to User could expose Mapsly to liability or is prohibited by applicable law. Mapsly will limit any such suspension in scope and duration to what is reasonably necessary and will restore access promptly once the grounds for suspension are cured. Suspension does not relieve User of its payment obligations, and no Service Fees will be refunded or credited for periods of suspension under this Section.<\/p>\n\n

3.7 Impuestos.<\/strong> Las tarifas no incluyen ning\u00fan impuesto, gravamen, arancel ni evaluaci\u00f3n gubernamental similar de cualquier naturaleza, incluidos los impuestos sobre el valor a\u00f1adido, ventas, uso y retenci\u00f3n (\u201cImpuestos\u201d). 3.9 Tarifas basadas en el uso; Asignaciones.<\/strong> Ciertas funciones y recursos del Servicio est\u00e1n sujetos a asignaciones de uso incluidas y\/o tarifas basadas en el uso. Las asignaciones incluidas, las unidades de medici\u00f3n y las tarifas por el uso que supere las asignaciones incluidas son las publicadas en el Servicio, en, https:\/\/mapsly.com\/pricing<\/a>, at https:\/\/mapsly.com\/usage-limits-and-add-ons<\/a> (o p\u00e1ginas sucesoras), o en la documentaci\u00f3n de usuario de Mapsly disponible en https:\/\/help.mapsly.com<\/a> (the \u201cDocumentation\u201d), in each case as updated from time to time. Usage-based fees are calculated at the rates in effect at the time of consumption. Continued use of a metered feature or resource beyond an included allotment may require the purchase of additional capacity. Usage-based fees are charged as part of the Service Fee for the applicable Billing Period or, where a feature is offered on a prepaid basis, by deduction from prepaid capacity; a feature may pause when an allotment or prepaid capacity is exhausted (Section 6.6). Except for changes reflecting a change imposed by the applicable third-party provider to the provider\u2019s rate for the relevant model or service (Section 3.3), changes to usage-based rates are subject to the notice requirements of Section 3.3. Material reductions to included allotments or Published Limits (as defined in Section 6.6) applicable to a paid subscription are likewise subject to the notice requirements of Section 3.3, except where an immediate change is reasonably necessary to protect the security or integrity of the Service. Included allotments reset as published (for example, daily for routing credits and monthly for visit-planner packages) and unused allotment does not carry over. AI usage is additionally governed by Sections 3.11 through 3.13.<\/p>\n\n

The \u201cGuarantee Period\u201d is: (x) for User\u2019s first monthly subscription, thirty (30) days from the first monthly payment, covering a refund of that first monthly payment; and (y) for User\u2019s first annual subscription (including an annual subscription first purchased by a User previously subscribed monthly), ninety (90) days from the first annual payment, covering a refund of all subscription fees paid for that annual subscription. Where the applicable subscription is also User\u2019s first paid subscription, the request must in any event be made no later than one hundred eighty (180) days after User\u2019s Mapsly account was created. Trial periods do not start a Guarantee Period. Mapsly may verify that a request originates from User or, if User is an entity, from an authorized representative of User. The refund is issued to the original payment method, normally within ten (10) business days. Exercising this guarantee cancels User\u2019s subscription; access to the Service ends upon cancellation, and User Data is handled in accordance with Section 11.2 and the DPA. This guarantee: (i) may be exercised once per User, including User\u2019s affiliates, successors, and any related accounts or entities under common control or operation, across both Guarantee Periods combined, and does not apply to renewals or to subscriptions started after a prior refund under this Section; (ii) does not cover fees for professional services, purchases of Credits (Section 3.12), or other amounts under Section 3.9 to the extent consumed; for clarity, the AI Allowance (Section 3.11) has no separately refundable value and its consumption does not reduce the refund; (iii) will never exceed the amounts actually paid, net of credits or refunds already issued; and (iv) may be refused where the request follows a material violation of Section 6, fraudulent conduct, or abuse of the guarantee. Requests made after the applicable Guarantee Period will not be processed, and Section 3.1 applies.<\/p>\n\n

3.12 cr\u00e9ditos de AI.<\/strong> User may purchase AI usage credits in advance, in the packages and at the prices offered in the Service in the currency of User\u2019s subscription (\u201cCredits\u201d). AI usage draws first on the AI Allowance for the current period and then on Credits, at the rates published under Section 3.13 at the time of use. When both are exhausted, or when a budget User has configured is reached, Mapsly pauses new AI usage until the next allowance period, a further purchase, or a budget change; because metering may occur after an interaction has begun, a limited amount of usage may occur after a balance or budget is reached, and such usage does not create a charge to User or a negative balance. If User enables automatic replenishment (\u201cAutopay\u201d), User authorizes Mapsly and its payment processor to charge User\u2019s payment method on file for a package purchase in the amount User has set whenever User\u2019s Credit balance falls below the threshold User has set; each replenishment is a purchase under this Section, User may change or disable Autopay at any time in Setup with effect for future replenishments, and Mapsly will notify User\u2019s administrators when a replenishment is declined or paused. Mapsly limits the Credit balance User may hold at any time (the \u201cMax Balance\u201d), as published in the Documentation, and may set a different Max Balance for User\u2019s account; no purchase may raise User\u2019s balance above it. Credits are a prepaid entitlement to AI usage within the Service and nothing else: they are not currency, stored value, a deposit, or a gift card; they have no independently redeemable cash value and may not be redeemed or exchanged for cash except as expressly provided in this Agreement; they may not be transferred to another organization or account; and they may be used solely for AI usage within the Service. Except as provided in the next sentence, purchases of Credits are final \u2014 non-refundable whether or not consumed and not covered by the guarantee in Section 3.10 \u2014 and Section 3.1 applies. Except as otherwise expressly provided in this Agreement, Mapsly will refund User\u2019s unconsumed Credits \u2014 valued at the amounts actually paid for those Credits, as determined from Mapsly\u2019s transaction records \u2014 only if Mapsly discontinues AI Features generally, or if User cancels under Section 14.1 because of an amendment that materially and adversely changes this Section, the rates under Section 3.13, or the availability of AI Features for which the Credits were purchased. Purchased Credits do not expire for as long as User\u2019s subscription remains active and may be consumed until User\u2019s access to the Service ends under Section 11, including, after cancellation, for the remainder of the paid period; Credits remaining when access ends are forfeited without refund or compensation. Controls Mapsly provides for AI spend, such as budgets, alerts, and limits, are conveniences; they do not relieve User of responsibility for activity initiated through User\u2019s account (Section 6.3), and usage after a balance or budget is reached is treated as described above.<\/p>\n\n

4. Compromiso de tiempo de actividad del servicio<\/strong><\/h2>\n\n

4.1 Mantenimiento.<\/strong> Mapsly podr\u00e1 realizar ocasionalmente mantenimiento programado, actualizaciones del sistema y mejoras de la infraestructura para mantener y mejorar el Servicio, lo que puede requerir la indisponibilidad temporal del Servicio. Mapsly har\u00e1 esfuerzos razonables para proporcionar a los Usuarios un aviso con al menos cuarenta y ocho (48) horas de antelaci\u00f3n sobre el mantenimiento programado y para minimizar la duraci\u00f3n y el impacto de dichas ventanas de mantenimiento.<\/p>\n\n

4.2 Descargo de responsabilidad.<\/strong> SI BIEN MAPSLY SE ESFUERZA POR MANTENER UNA ALTA DISPONIBILIDAD Y MINIMIZAR EL TIEMPO DE INACTIVIDAD, EL USUARIO RECONOCE QUE ALGUNAS INTERRUPCIONES SON INEVITABLES. EN CONSECUENCIA, SALVO LO ESTABLECIDO EXPRESAMENTE EN ESTE ACUERDO, MAPSLY NO SER\u00c1 RESPONSABLE DE NINGUNA P\u00c9RDIDA DE NEGOCIO, INGRESOS O DATOS, NI DE NING\u00daN DA\u00d1O INDIRECTO, INCIDENTAL O CONSECUENTE DERIVADO DE LA FALTA DE DISPONIBILIDAD DEL SERVICIO, INCLUIDOS LOS PER\u00cdODOS DE MANTENIMIENTO O ACTUALIZACIONES.<\/p>\n\n

4.3 Definici\u00f3n del tiempo de inactividad.<\/strong> \u201cTiempo de inactividad\u201d significa cualquier per\u00edodo durante el cual el Servicio no est\u00e1 disponible o no cumple su funcionalidad principal como resultado de un evento o incidente no planificado dentro de los sistemas o la infraestructura de Mapsly, medido desde el momento en que la indisponibilidad se detecta o se informa hasta que se resuelve.<\/p>\n\n

(B) debido al mantenimiento de emergencia que sea necesario para proteger la integridad o la seguridad del sistema;<\/p>\n\n

(C) debido a factores fuera del control razonable de Mapsly, incluidos, entre otros, eventos de fuerza mayor, actos gubernamentales, interrupciones generalizadas de Internet o fallos de proveedores de hosting o integraciones de terceros;<\/p>\n\n

4.4 Porcentaje de tiempo de actividad mensual.<\/strong> Mapsly realizar\u00e1 esfuerzos comercialmente razonables para que el Servicio est\u00e9 disponible con un Porcentaje de disponibilidad mensual de al menos el 99.0% (el \u201cCompromiso m\u00ednimo de servicio\u201d), medido durante cada mes calendario. 4.5 Cr\u00e9dito de servicio.<\/strong> Si no se cumple el compromiso de tiempo de actividad aplicable conforme a la Secci\u00f3n 4.4 en dos (2) meses calendario consecutivos, el Usuario podr\u00e1 solicitar un cr\u00e9dito de servicio equivalente a una semana de la Tarifa de servicio prorrateada.<\/p>\n\n

4.6 Elegibilidad para cr\u00e9ditos de servicio.<\/strong> Para ser elegible para el cr\u00e9dito de servicio, el Usuario debe enviar una solicitud por escrito al equipo de soporte de Mapsly a, support@mapsly.com<\/a> dentro de los 15 d\u00edas naturales posteriores al final del segundo mes afectado, incluyendo:

\u2022 No son transferibles, no son reembolsables, y no se pueden canjear por efectivo.<\/p>\n\n

4.7 Exclusive Remedy.<\/strong> The credit described above constitutes User\u2019s sole and exclusive remedy for Mapsly\u2019s failure to meet the applicable uptime commitment under Section 4.4.<\/p>\n\n

5.1 User Data.<\/strong> Todos los datos cargados por el Usuario en Mapsly Software o creados dentro de este (\u201cDatos del Usuario\u201d) siguen siendo propiedad del Usuario. Mapsly\u2019s processing of personal data on User\u2019s behalf is governed by the DPA (Section 5.4), not the Privacy Policy. User acknowledges the Privacy Policy and that Mapsly may update it as described therein.<\/p>\n\n

5.3 Statistical Data.<\/strong> Mapsly puede recopilar, desarrollar, crear, extraer, compilar, sintetizar y analizar estad\u00edsticas, referencias, mediciones y otra informaci\u00f3n (los \u201cDatos estad\u00edsticos\u201d) a partir de Datos de usuario que sean:

Such \u201cStatistical Data\u201d will be owned solely by Mapsly and may be used for any lawful business purpose without a duty of accounting to User. Mapsly will not attempt to re-identify Statistical Data.<\/p>\n\n

5.4 Data Processing Addendum.<\/strong> To the extent Mapsly processes personal data on behalf of User in providing the Service, the Mapsly Data Processing Addendum available at https:\/\/mapsly.com\/dpa<\/a> (the \u201cDPA\u201d) is incorporated into and forms part of this Agreement. With respect to the processing of personal data, in the event of a conflict: (i) the Standard Contractual Clauses (as defined in the DPA) control to the extent required by their terms; (ii) the DPA controls over these Terms of Service; and (iii) for all matters other than the processing of personal data, these Terms of Service control.<\/p>\n\n

6. Obligaciones del usuario<\/strong><\/h2>\n\n

6.1 Acceptable Use Policy.<\/strong> El usuario no puede:
\u2022 vender, revender, alquilar, arrendar, licenciar, sublicenciar, transferir, ceder, distribuir o explotar comercialmente de cualquier otra forma el Servicio o ponerlo a disposici\u00f3n de cualquier tercero de cualquier manera excepto seg\u00fan lo permitido por este Acuerdo;,
\u2022 infringir intencionadamente o no cualquier ley y normativa local, estatal, nacional e internacional aplicable;
\u2022 utilizar el Servicio para almacenar o transmitir material infractor, correos electr\u00f3nicos de marketing no solicitados, material difamatorio o de otro modo objetable, il\u00edcito o extracontractual;,
\u2022 almacenar o transmitir material que infrinja derechos de terceros;
\u2022 interferir con el Servicio, su integridad o rendimiento o interrumpirlos;
\u2022 test, probe, or scan vulnerability of the Service, or attempt to gain unauthorized access to the Service or its related systems or networks;

6.5 Export Control and Sanctions.<\/strong> User represents and warrants that User (i) is not located in, organized under the laws of, or ordinarily resident in any country or territory that is subject to comprehensive sanctions administered by the United States (including by the Office of Foreign Assets Control), the European Union, or the United Kingdom; (ii) is not identified on any applicable government list of prohibited, denied, or restricted parties; and (iii) will not use or access the Service, or permit any End-User to use or access the Service, in violation of any applicable export control or sanctions laws.<\/p>\n\n

Mapsly may enforce Published Limits automatically, including by rate-limiting, pausing, or declining the affected feature when a limit or allotment is reached; Section 3.9 governs fees for usage beyond included allotments. For features and resources without Published Limits, User\u2019s consumption must remain within reasonable volumes consistent with ordinary business use of the Service by comparable customers. Mapsly may apply technical measures, such as rate limits, to protect the integrity and performance of the Service for all customers. If User\u2019s consumption of such unmetered features materially exceeds reasonable volumes or imposes a disproportionate load or cost on the Service, Mapsly will notify User and the Parties will discuss in good faith an appropriate plan, limit, or fee adjustment; Mapsly may throttle the excess consumption if it continues more than ten (10) business days after notice. This Section does not limit Mapsly\u2019s rights under Sections 3.6 and 6.1.<\/p>\n\n

USER UNDERSTANDS AND AGREES THAT MAPSLY\u2019S SERVICES ARE PROVIDED \u201cAS IS\u201d AND \u201cAS AVAILABLE.\u201d MAPSLY, ITS AFFILIATES, AND SUPPLIERS DO NOT MAKE, AND HEREBY DISCLAIM, ALL WARRANTIES OF ANY KIND, EXPRESS, STATUTORY OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, QUALITY, SUITABILITY, OPERABILITY, SYSTEM INTEGRATION, NON-INTERFERENCE, WORKMANSHIP, TRUTH, ACCURACY, ABSENCE OF DEFECTS, WHETHER LATENT OR PATENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE.<\/p>\n\n

MAPSLY NO ES RESPONSABLE DE NING\u00daN RETRASO U OTROS DA\u00d1OS RESULTANTES DE DICHOS PROBLEMAS. EL USUARIO SER\u00c1 EL \u00daNICO RESPONSABLE DE CUALQUIER DA\u00d1O A LOS SISTEMAS DEL USUARIO O P\u00c9RDIDA DE DATOS QUE RESULTE DEL USO DEL SOFTWARE DE MAPSLY, LOS SERVICIOS DE MAPSLY U OFERTAS DE TERCEROS.<\/p>\n\n

8. Limitaci\u00f3n de responsabilidad<\/strong><\/h2>\n\n

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WHATSOEVER SHALL EITHER MAPSLY OR ITS AFFILIATES, OR THEIR RESPECTIVE EMPLOYEES, OFFICERS, SHAREHOLDERS, AGENTS, LICENSORS OR REPRESENTATIVES, NOR USER OR ITS AFFILIATES, OR THEIR RESPECTIVE EMPLOYEES, OFFICERS, SHAREHOLDERS, AGENTS, LICENSORS OR REPRESENTATIVES, BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUE, INCLUDING BUT NOT LIMITED TO LOSS OF SALES, DATA, PROFIT, REVENUE, GOODWILL, BUSINESS INTERRUPTION, LOSS OF INFORMATION OR UNAUTHORIZED ACCESS TO INFORMATION AND THE LIKE, EVEN IF EITHER PARTY OR AN AFFILIATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL EITHER PARTY OR ITS AFFILIATES BE LIABLE TO THE OTHER PARTY FOR AN AMOUNT IN EXCESS OF THE TOTAL MONETARY AMOUNT ACTUALLY RECEIVED BY MAPSLY FROM USER FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT WHICH GAVE RISE TO THE CLAIM. THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION DO NOT APPLY TO: (I) USER\u2019S OBLIGATION TO PAY FEES AND TAXES DUE UNDER THIS AGREEMENT; (II) USER\u2019S INDEMNIFICATION OBLIGATIONS UNDER SECTION 12.2; (III) USER\u2019S BREACH OF SECTION 6.1 (ACCEPTABLE USE POLICY) OR USE OF THE SERVICE IN VIOLATION OF APPLICABLE LAW; OR (IV) USER\u2019S BREACH OF SECTION 9 (MUTUAL CONFIDENTIALITY). MAPSLY\u2019S INDEMNIFICATION OBLIGATIONS UNDER SECTION 12.1 ARE SUBJECT TO THE LIMITATIONS IN THIS SECTION.<\/p>\n\n

9. Confidencialidad mutua<\/strong><\/h2>\n\n

9.1 Definition.<\/strong> \u201cConfidential Information\u201d is oral, electronic, or written information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of its disclosure. Mapsly\u2019s Confidential Information includes without limitation the non-public information about pricing, features, and performance of the Service. User\u2019s Confidential Information includes, without limitation, User Data.<\/p>\n\n

9.2 Exclusion.<\/strong> La informaci\u00f3n confidencial no incluye lo siguiente:

9.3 Protection of Confidential Information.<\/strong> The Recipient may only use the Discloser\u2019s Confidential Information in relation to this Agreement. The Recipient shall maintain the confidentiality of the Discloser\u2019s Confidential Information with at least the same degree of care that it uses to protect its own confidential and proprietary information, implement reasonable administrative, physical, and technical safeguards, and no less than a reasonable degree of care. The Recipient shall not disclose any of the Discloser\u2019s Confidential Information except to the Recipient\u2019s employees, contractors, agents, and professional advisers who have a need to know the information to exercise the Recipient\u2019s rights or perform the Recipient\u2019s obligations under this Agreement, in which case Recipient shall cause these recipients to agree to and abide by commercially reasonable confidentiality terms. The obligations in this Section 9 survive for five (5) years after termination of this Agreement, except that obligations with respect to trade secrets continue for as long as the information remains a trade secret under applicable law, and obligations with respect to personal data continue as required by the DPA and applicable law.<\/p>\n\n

11. Plazo y terminaci\u00f3n<\/strong><\/h2>\n\n

11.1 Vigencia.<\/strong> This Agreement starts when User accepts these Terms of Service and continues until the end of the paid period after the subscription to Service has been canceled, unless the Agreement is terminated earlier by either Party.<\/p>\n\n

11.2 Cancellation of Service by User.<\/strong> User may terminate this Agreement by canceling the subscription to Service at any time, without providing notice. After the subscription has been canceled, User may continue to use the Service until the end of the paid period, after which the Agreement is terminated. User is not charged after the date of cancellation but is responsible for all charges incurred up until the date of cancellation. Mapsly is not obligated to refund any of the already paid fees. After this Agreement is terminated, User can no longer access User Data via the Service. User is responsible for exporting User Data before this Agreement terminates. Following termination, Mapsly will delete User Data in accordance with the DPA, no later than ninety (90) days after termination, except to the extent applicable law requires retention. Mapsly may, but is not obligated to, provide reasonable assistance with the export of User Data during that period at Mapsly\u2019s then-current rates.<\/p>\n\n

11.3 Terminaci\u00f3n por causa justificada.<\/strong> Either Party may terminate the Agreement with immediate effect and without incurring any additional liability by serving written notice, if: (i) the other Party files a petition for bankruptcy or is adjudicated as bankrupt; (ii) a petition in bankruptcy is filed against the other Party and such petition is not removed or resolved within thirty (30) calendar days; (iii) the other Party makes an assignment for the benefit of its creditors or an arrangement for its creditors pursuant to bankruptcy law; (iv) the other Party discontinues its business; (v) a receiver is appointed over all or substantially all of the other Party\u2019s assets or business; or (vi) the other Party is dissolved or liquidated.<\/p>\n\n

11.4 Terminaci\u00f3n por parte de Mapsly.<\/strong> Mapsly podr\u00e1 rescindir este Acuerdo con efecto inmediato mediante notificaci\u00f3n por escrito si el incumplimiento de este Acuerdo por parte del Usuario implica una conducta il\u00edcita, fraude, una infracci\u00f3n de la Secci\u00f3n 6.5 (Control de exportaciones y sanciones), un riesgo de seguridad material para el Servicio o cualquier tercero, o un incumplimiento que no pueda subsanarse. 12. Indemnizaci\u00f3n<\/strong><\/h2>\n\n

12.1 Indemnizaci\u00f3n de Mapsly.<\/strong><\/p>\n\n

General.<\/strong> Mapsly defender\u00e1 o resolver\u00e1 cualquier reclamaci\u00f3n de terceros contra el Usuario en la medida en que dicha reclamaci\u00f3n alegue que el Software de Mapsly por s\u00ed solo, y no en combinaci\u00f3n con el software o hardware del Usuario o de un tercero, infringe o se apropia indebidamente de un derecho de autor, patente, marca comercial u otro derecho de propiedad intelectual (cada una, una \u201cReclamaci\u00f3n\u201d), sujeto a lo siguiente: (i) el Usuario notificar\u00e1 de inmediato a Mapsly dicha Reclamaci\u00f3n; (ii) el Usuario permitir\u00e1 que Mapsly controle exclusivamente la defensa y resoluci\u00f3n de dicha Reclamaci\u00f3n; y (iii) a solicitud y expensas de Mapsly, el Usuario proporcionar\u00e1 toda asistencia razonable en la defensa de dicha Reclamaci\u00f3n.<\/p>\n\n

Costos.<\/strong> Mapsly pagar\u00e1 los costos razonables de defensa frente a Reclamaciones por infracci\u00f3n incurridos como parte de las obligaciones de Mapsly anteriores, los importes de acuerdos negociados por Mapsly, y los da\u00f1os y perjuicios otorgados por el tribunal. Mitigaci\u00f3n y proceso.<\/strong> Si se ha producido o parece probable que se produzca cualquier Reclamaci\u00f3n por infracci\u00f3n de este tipo que Mapsly est\u00e9 obligada a defender, Mapsly podr\u00e1, a su exclusivo criterio: (i) modificar el Mapsly Software para que no infrinja derechos sin reducir materialmente su funcionalidad general; (ii) obtener los derechos necesarios; o (iii) rescindir este Acuerdo y reembolsar al Usuario las tarifas prepagadas y no utilizadas (si ninguna de las opciones anteriores est\u00e1 razonablemente disponible).<\/p>\n\n

Exclusiones.<\/strong> Las obligaciones anteriores de Mapsly no se aplicar\u00e1n si una Reclamaci\u00f3n surge de: (i) el cumplimiento por parte de Mapsly de las especificaciones del Usuario; (ii) tecnolog\u00eda no desarrollada ni proporcionada por Mapsly (componentes de terceros); (iii) el uso de Mapsly en combinaci\u00f3n con cualquier otra tecnolog\u00eda no proporcionada por Mapsly cuando la supuesta infracci\u00f3n se relacione con dicha combinaci\u00f3n; (iv) modificaciones o alteraciones del software de Mapsly que no sean realizadas por Mapsly; (v) el uso continuado de Mapsly por parte del Usuario despu\u00e9s de que Mapsly notifique al Usuario que deje de usar el Servicio debido a una Reclamaci\u00f3n; (vi) sistemas del Usuario; (vii) la infracci\u00f3n por parte del Usuario de la ley aplicable o de este Acuerdo; o (viii) resultados de las Funciones de AI.<\/p>\n\n

Recurso exclusivo.<\/strong> LA SECCI\u00d3N \u201cINDEMNIDAD MAPSLY\u201d ESTABLECE LA RESPONSABILIDAD COMPLETA DE MAPSLY RESPECTO A LA INFRACCI\u00d3N DE CUALQUIER DERECHO DE PROPIEDAD POR PARTE DE MAPSLY, Y EL USUARIO POR LA PRESENTE RENUNCIA EXPRESAMENTE A CUALQUIER OTRA RESPONSABILIDAD U OBLIGACI\u00d3N DE MAPSLY AL RESPECTO.<\/p>\n\n

12.2 Indemnizaci\u00f3n del usuario.<\/strong> User will defend, indemnify, and hold harmless Mapsly and its affiliates, and their respective officers, directors, employees, agents, partners, and licensors, from and against any third-party claim, demand, or proceeding, and all resulting damages, settlements, costs, and reasonable attorneys\u2019 fees, to the extent arising out of: (i) User Data, including any claim that User Data infringes or misappropriates a third party\u2019s rights or violates applicable law; (ii) User\u2019s or its End-Users\u2019 use of the Service in violation of this Agreement or applicable law, including any unlawful monitoring or tracking of End-Users; (iii) User\u2019s instructions, configurations, or integration of the Service with systems, software, or data not provided by Mapsly; or (iv) User\u2019s material breach of Section 6 or Section 9, to the extent giving rise to the claim. Mapsly will: (a) promptly notify User of the claim, provided that delayed notice relieves User of its obligations only to the extent User is materially prejudiced by the delay; (b) permit User to control the defense and settlement of the claim, except that User may not settle any claim in a manner that imposes any liability, admission, or non-monetary obligation on Mapsly without Mapsly\u2019s prior written consent; and (c) provide reasonable cooperation in the defense at User\u2019s expense.<\/p>\n\n

13. Ley aplicable y arbitraje<\/strong><\/h2>\n\n

THIS AGREEMENT IS GOVERNED BY THE LAWS OF DELAWARE, WITHOUT REGARD TO CONFLICT OF LAWS PRINCIPLES. THE PARTIES AGREE THAT THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS IS SPECIFICALLY EXCLUDED FROM APPLICATION TO THESE TERMS. ANY DISPUTE BETWEEN USER AND MAPSLY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL BE REFERRED TO AND FINALLY RESOLVED BY BINDING ARBITRATION BEFORE A SINGLE ARBITRATOR, ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS COMMERCIAL ARBITRATION RULES. THE SEAT OF ARBITRATION IS WILMINGTON, DELAWARE; HEARINGS MAY BE CONDUCTED REMOTELY; AND THE PROCEEDINGS SHALL BE CONDUCTED IN ENGLISH AND KEPT CONFIDENTIAL. JUDGMENT ON THE AWARD MAY BE ENTERED IN ANY COURT OF COMPETENT JURISDICTION. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES\u2019 INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING, AND THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF MORE THAN ONE USER. TO THE EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY. NOTWITHSTANDING THE FOREGOING, EITHER PARTY MAY SEEK TEMPORARY OR PRELIMINARY INJUNCTIVE RELIEF IN ANY COURT OF COMPETENT JURISDICTION TO PRESERVE THE STATUS QUO OR PROTECT ITS CONFIDENTIAL INFORMATION OR INTELLECTUAL PROPERTY PENDING ARBITRATION. THE PREVAILING PARTY IN ANY ARBITRATION OR LITIGATION IS ENTITLED TO RECOVER ITS REASONABLE ATTORNEYS\u2019 FEES AND COSTS FROM THE OTHER PARTY.<\/p>\n\n

14. Otros t\u00e9rminos<\/strong><\/h2>\n\n

14.1 Acuerdo completo y cambios.<\/strong> Este Acuerdo, incluidos cualesquiera Presupuestos formalizados en virtud del mismo, constituye el acuerdo \u00edntegro entre el Usuario y Mapsly con respecto a los Servicios, y sustituye y reemplaza todos los acuerdos, propuestas, entendimientos y comunicaciones anteriores y contempor\u00e1neos\u2014ya sean orales o escritos. Este Acuerdo no sustituye ning\u00fan acuerdo de no divulgaci\u00f3n o confidencialidad previamente formalizado entre las Partes, excepto en la medida en que dicho acuerdo indique expresamente que queda sustituido por este Acuerdo; si tanto este Acuerdo como dicho acuerdo se aplican a la misma Informaci\u00f3n Confidencial, prevalecer\u00e1 la disposici\u00f3n que proporcione mayor protecci\u00f3n.<\/p>\n\n

Mapsly puede modificar este Acuerdo (excepto la Secci\u00f3n 13, Ley aplicable y arbitraje) peri\u00f3dicamente mediante la publicaci\u00f3n de la versi\u00f3n modificada en https:\/\/mapsly.com\/terms<\/a> and updating the last-modified date. An amended version applies, from the time of acceptance, to subscriptions first accepted under it. For subscriptions already in effect when an amended version is posted: (i) amendments that materially reduce User\u2019s rights or materially increase User\u2019s obligations take effect for that subscription no earlier than thirty (30) days after Mapsly notifies User of the amendment by email and\/or in-app notification, and the previously applicable version continues to govern that subscription until then; and (ii) amendments that are not material \u2014 including corrections, clarifications, and changes required to comply with applicable law \u2014 take effect upon posting. User\u2019s continued use of the Service after an amendment takes effect for User\u2019s subscription constitutes acceptance of the amended Agreement. If User does not agree to an amendment described in clause (i), User\u2019s sole and exclusive remedy is to stop using the Service and cancel the subscription pursuant to Section 11.2 before the amendment takes effect for User\u2019s subscription; if User cancels on this basis, Mapsly will refund the prepaid fees prorated for the unused portion of the then-current Billing Period. This Section does not authorize Mapsly to unilaterally modify any term expressly set forth in a mutually executed Quote or Order Form for so long as that Quote or Order Form remains in effect (see Section 14.2). Amendments to Section 13, and any other amendment or waiver not made in accordance with this Section, require the signed written consent of both Parties. Neither failure nor delay on the part of any Party in exercising any right, power, or privilege hereunder shall operate as a waiver of such right, nor shall any single or partial exercise of any such right, power, or privilege preclude any further exercise thereof or the exercise of any other right, power, or privilege.<\/p>\n\n

14.2 Orden de prelaci\u00f3n.<\/strong> En caso de cualquier conflicto entre estos T\u00e9rminos de servicio y las disposiciones de una Cotizaci\u00f3n, Formulario de pedido u otro acuerdo escrito ejecutado mutuamente que haga referencia expresa a estos T\u00e9rminos, las disposiciones de la Cotizaci\u00f3n o del acuerdo prevalecer\u00e1n \u00fanicamente con respecto al asunto abordado en dicho documento. 14.3 Contratistas independientes.<\/strong> Se acuerda expresamente que Mapsly y el Usuario ser\u00e1n contratistas independientes y que la relaci\u00f3n entre ellos no constituir\u00e1 una sociedad, empresa conjunta o agencia.<\/p>\n\n

14.4 Divisibilidad.<\/strong> En caso de que alguna disposici\u00f3n de este Acuerdo sea determinada como nula o inaplicable, dicha determinaci\u00f3n no afectar\u00e1 el resto de este Acuerdo, el cual continuar\u00e1 en vigor.<\/p>\n\n

14.5 Fuerza mayor.<\/strong> Excepto por el pago de sumas de dinero, ninguna de las Partes ser\u00e1 responsable por eventos que est\u00e9n fuera de su control razonable, incluidos, entre otros eventos de Fuerza Mayor. \u201cFuerza Mayor\u201d significa cualquier causa que est\u00e9 fuera del control razonable de una Parte, incluidos, entre otros, un acto de Dios, un acto u omisi\u00f3n de autoridades civiles o militares de un estado o naci\u00f3n, epidemia, pandemia, incendio, huelga, inundaci\u00f3n, disturbio, guerra. En caso de cualquier demora excusada de este tipo, el plazo para el cumplimiento de dichas obligaciones se extender\u00e1 por un per\u00edodo igual al tiempo perdido debido a la demora. 14.6 Publicidad.<\/strong> Mapsly tiene derecho a mostrar el nombre corporativo y las marcas comerciales del Usuario en el sitio web y los materiales de marketing de Mapsly que identifiquen al Usuario como suscriptor del Servicio, a menos que el Usuario notifique a Mapsly por escrito dentro de los treinta (30) d\u00edas posteriores a la aceptaci\u00f3n de estos T\u00e9rminos de Servicio que el Usuario no concede a Mapsly dichos derechos. 14.7 Vigencia de los t\u00e9rminos.<\/strong> Las secciones 5.3, 7, 8, 9, 10, 11.5, 12, 13 y 14, junto con cualquier obligaci\u00f3n de pago acumulada antes de la terminaci\u00f3n y cualquier otro t\u00e9rmino que por su naturaleza deba subsistir, subsistir\u00e1n a la terminaci\u00f3n o expiraci\u00f3n de este Acuerdo.<\/p>\n\n

14.8 Comentarios.<\/strong> Si el Usuario proporciona comentarios, sugerencias, evaluaciones, solicitudes de funciones o ideas a Mapsly (colectivamente, \u201cComentarios\u201d), el Usuario cede por la presente de forma irrevocable todos los derechos de propiedad intelectual relacionados con los Comentarios a Mapsly, y Mapsly (y sus clientes) puede utilizarlos sin obligaci\u00f3n alguna frente al Usuario.<\/p>\n\n

14.9 Autoridad.<\/strong> Cada Parte declara y garantiza que tiene pleno derecho, poder y autoridad para celebrar este Acuerdo. Si acepta estos T\u00e9rminos en nombre de una empresa u otra entidad legal, declara que tiene la autoridad para vincular a dicha entidad a este Acuerdo.<\/p>\n\n

14.10 Idioma.<\/strong> Este Acuerdo y todos los documentos relacionados se han preparado en ingl\u00e9s. Cualquier traducci\u00f3n mostrada en mapsly.com es solo para su conveniencia. En caso de cualquier inconsistencia o conflicto entre una versi\u00f3n traducida y la versi\u00f3n en ingl\u00e9s disponible en, https:\/\/mapsly.com\/terms<\/a>, prevalecer\u00e1 la versi\u00f3n en ingl\u00e9s.<\/p>\n\n

14.11 Notificaciones.<\/strong> Mapsly podr\u00e1 enviar avisos al Usuario en virtud de este Acuerdo por correo electr\u00f3nico a la direcci\u00f3n de correo electr\u00f3nico asociada con la cuenta del Usuario, mediante notificaci\u00f3n dentro de la aplicaci\u00f3n, o mediante publicaci\u00f3n dentro del Servicio, y dichos avisos se considerar\u00e1n recibidos cuando se env\u00eden o publiquen. 14.12 Asignaci\u00f3n.<\/strong> El Usuario no podr\u00e1 ceder ni transferir este Acuerdo, en su totalidad o en parte, sin el consentimiento previo por escrito de Mapsly, y cualquier intento de cesi\u00f3n que infrinja esta Secci\u00f3n ser\u00e1 nulo; siempre que el Usuario pueda ceder este Acuerdo en su totalidad, previa notificaci\u00f3n por escrito a Mapsly, a un sucesor en relaci\u00f3n con una fusi\u00f3n, adquisici\u00f3n o venta de todos o sustancialmente todos los activos del Usuario, siempre que el sucesor no sea un competidor de Mapsly.
